WHAT THE BUSINESS IS Energy Services of America is a union-labor construction and maintenance contractor based in West Virginia. Through C.J. Hughes (pipeline construction) and Nitro Construction Services (electrical, mechanical, HVAC and fire protection), it builds, replaces and repairs natural gas pipelines, water and sewer lines, and industrial electrical and mechanical systems. Revenue for the year to September 2025 was $411 million: 47.9% electrical, mechanical and general contracting (customers such as Toyota, Nucor, Dow, Bayer and American Electric Power), 36.4% gas and water distribution (utilities such as NiSource, Mountaineer Gas and the American Water subsidiaries, plus public service districts), and 15.7% gas and petroleum transmission (TransCanada, Marathon). Most of the work is in West Virginia, Virginia, Ohio, Pennsylvania and Kentucky. The company wins most of its work through competitive bidding, so margins depend on how well projects are priced and run. HOW WE MEASURED EARNING POWER We start from cash generated by operations and remove short-term swings in receivables, contract balances and payables. A contractor's cash flow moves a lot with billing timing: in fiscal 2025 operating cash flow was only $4.1 million, but about $10 million of that shortfall was cash tied up in receivables and unbilled work on a much bigger book of projects. We also subtract stock compensation and the equipment spending needed to keep the fleet running. Equipment bought with financing agreements counts as spending, and proceeds from selling old equipment are netted against it. Amortization of acquired intangibles, mostly acquired backlog and customer relationships of about $1 million a year, is added back. We treat it as a sunk acquisition cost and do not assume acquired backlog lasts past what reported backlog supports. On this basis owner earnings per share were $0.59 (fiscal 2022), $0.61 (2023), $1.63 (2024) and $0.55 (2025). Before 2022 the company was about a third its current size and earned close to nothing on this measure, with losses in 2017 and 2021. Since the fiscal 2022 expansion, through acquisitions (West Virginia Pipeline, Ryan Environmental, Tribute Contracting for about $21 million in fiscal 2025, Rigney Digital Systems) and growth in water and electrical work, the business looks different. So we anchor on the median of fiscal 2022 to 2025, about $0.60 per share. Fiscal 2024 was unusually strong: a large electrical project finished more profitably than expected and transmission margins were 14%. Fiscal 2025 was weak: transmission gross profit fell from $11.6 million to $4.5 million on tougher bidding and fewer gas project awards, and water margins narrowed on more low-margin public work. RECENT RESULTS Owner earnings fell about 66% in fiscal 2025. Our base case assumes a higher first year because the three reported quarters of fiscal 2026 are all better. For the nine months to June 2026, revenue was $337 million against $281 million, gross profit was $38.5 million against $22.3 million, and pre-tax income was $8.3 million against a loss of $5.5 million. That puts fiscal 2026 owner earnings on pace for roughly $0.85 per share. In early 2026 the company sold about 1.9 million new shares in a roughly $20 million public offering, lifting the count to 18.6 million. Long-term debt fell from $72 million in September 2025 to $45 million in June 2026. All per-share figures here use the larger share count. THE CASES Base ($11.08): owner earnings of $0.72 per share in the first year, below the current run rate. Depreciation (about $13 million a year since the Tribute acquisition) is running well above equipment spending, and we expect fleet reinvestment to catch up over time. Earnings then grow 3% a year for ten years, backed by utility gas-main and water-line replacement programs and a backlog that held roughly steady at $286.6 million in June 2026, against $280.7 million a year earlier. After year ten we hold earnings flat for 15 more years and then stop. Long customer relationships support that, but nothing in the filings guarantees the work beyond that. Bear ($3.29): margins fall back to fiscal 2025 levels or worse, and the company again has occasional loss years as it did in 2017 and 2021. Transmission bidding stays tight, low-margin public water work grows, and a bad fixed-price job produces a loss. Earnings average $0.35 per share for ten years, then fade to zero over the next ten. The company carries about $45 million of debt against roughly $15 million of cash, which leaves little room for a run of bad projects. Bull ($19.24): owner earnings of $0.95 in the first year, the fiscal 2026 pace including a normally strong fourth quarter. They grow 6% a year as water and electrical work expands and margins move back toward fiscal 2024 levels, then hold flat for 20 years. Even this case only gets back to about the fiscal 2024 level by year ten. All cash flows are discounted at 6%. WHAT COULD MAKE THIS WRONG The main risk is project execution and bidding. Almost all revenue comes from competitively bid contracts with thin margins, so a gross margin of 9% instead of 12% on $450 million of revenue wipes out most of a year's earnings. Growth has partly come from acquisitions, and we give no credit for future acquisitions. Backlog fell from $325.1 million in March 2026 to $286.6 million in June 2026 as projects were completed, so near-term growth needs new awards. A large share of the workforce is unionized under agreements that expire at different times. In the other direction, if equipment spending stays well below depreciation, as it has for two years, earnings would be higher than our base case assumes. The shares appear to be worth about $11 in our base case, with a wide range from about $3 to $19. That range reflects a thin-margin contracting business whose record before 2022 was poor, and it calls for a large margin of safety in the margin-of-safety price.
