Business condition attached to the margin of safety The trends seen in the June 2026 quarter hold for another quarter or two: gross margin decline moderating from its recent, accelerated pace (it fell to about 61% of revenue that quarter versus roughly 65% for the full prior fiscal year) and diluted share growth continuing to run below fiscal 2026's roughly 10% pace.
8x8, Inc. provides cloud-based business communications - phone, video and chat (unified communications) - along with customer-service contact-center software and the underlying APIs that let other applications send calls, texts and video, sold together under what the company calls its Platform for CX. It is headquartered in Campbell, California, with roughly 61% of revenue from the United States and about 39% from international markets (up from about 33% a year earlier), supported by offices in the United Kingdom, Ireland, Romania, Canada, Portugal, Singapore and the Philippines. No single customer is more than 10% of revenue. The business has been through a real transformation. It acquired a competitor, Fuze, in 2022, and spent the following years working through integration costs and a very large stock-based compensation bill (over $130 million a year at the peak) that was diluting shareholders heavily. Over the three most recently completed fiscal years, stock-based compensation has fallen by roughly 85%, to about $20 million, and the company has become a modest but real generator of cash after covering the actual costs of running the business, including what it spends to keep its cloud platform current. We valued the company using those three most recent fiscal years as the base period, since they best describe the business after that cost reduction, while the years before still carried the heavier compensation and integration costs of a different-shaped company. Owner earnings per share actually fell about 9% in the latest full fiscal year, driven almost entirely by share-count growth (dilution from employee equity awards), not by weaker underlying cash generation. The most recently reported quarter, however, showed a specific and encouraging shift: cash generated by operations was up about 43% from the year-earlier quarter, stock-based compensation fell a further 36%, and share growth slowed to roughly 5% year over year from close to 10% for the full prior year. That one quarter is why our base case assumes renewed, if modest, growth rather than a continuation of the prior year's decline - though because it is only one quarter of evidence, we kept the assumed pace well below what that quarter alone would suggest. Set against that is a real and, if anything, worsening cost pressure: gross margin has fallen every year for four consecutive years (from about 69% three years ago to about 65% in the latest full year) as revenue mix shifts toward usage-priced products, which carry materially higher network and carrier costs than subscription plans. In the most recent quarter that decline accelerated rather than leveled off. We have not assumed this reverses on its own; our base case has it continuing for several more years before settling at a lower level. The company also carries real leverage: $201.9 million of 4% convertible notes due in 2028 and $107.5 million remaining on a term loan being paid down on a set schedule (a further $39.5 million due in the coming fiscal year, the rest by fiscal 2028). Our base case - roughly the median outcome we can defend - assumes revenue growth continues at a modest pace (it has gone from shrinking, to growing near 3%, to nearly 5% in the latest quarter), margin pressure continues for a few more years before leveling off, and dilution keeps easing without disappearing; worth about $9.40 per share today. Our bear case (roughly a one-in-ten downside outcome) assumes the much larger, better-funded competitors the company itself identifies - Microsoft's heavy investment in Teams Phone chief among them - keep pressuring pricing, margin compression fails to level off, dilution reaccelerates toward last year's faster pace if the shares stay this cheap, and the 2028 debt has to be refinanced on worse terms in a tighter-margin environment; worth about $4.98 per share. Our bull case (roughly a one-in-ten upside outcome) assumes the AI-assisted contact-center features the company has already built for Microsoft Teams customers - live transcription and meeting summaries, sentiment analysis, automated call routing - gain real adoption, revenue growth holds in the high single digits, margin pressure stabilizes near its current level, and dilution keeps fading toward a low, steady rate; worth about $14.92 per share. We built owner earnings from cash generated by operations rather than reported accounting profit, since reported profit has been depressed for years by non-cash charges tied to the Fuze acquisition that are not an ongoing cost of the business. We treated stock-based compensation as a real cost - it is added back to cash flow by the company, but we subtract it back out, since it is genuine dilution to shareholders - and counted spending on internally-developed software, which is larger than spending on physical equipment, as the relevant capital expenditure. This estimate is higher than our prior review's, mainly because cash generation and cost discipline were stronger in the most recent quarter than previously assumed, and dilution appears to be slowing meaningfully. Against that, we priced in a larger safety margin than before, because the margin pressure from the shift toward usage-priced products has gotten worse, not better, in that same quarter. The margin-of-safety price of about $5.64 reflects a substantial discount to our base estimate, appropriate given genuine leverage and a cost trend that has not yet turned, balanced against real, if recent, improvement in cash generation and dilution. We could not find anything in the filings suggesting an imminent debt or listing problem. We did not include pre-2022 financial history in our per-share data, since that period describes a smaller, differently-structured business prior to the Fuze acquisition.

2022 -$0.66 ▼
OE = CFO - deltaWC - SBC - maintenance capex. CFO=$34,680K (fiscal year ended March 31, 2022); SBC=$133,331K, well above the level seen in FY2024-2026 after this series' documented ~85% multi-year SBC reduction; PP&E capex alone was $4,137K, with total capex on this series' basis (PP&E plus capitalized internal-use software, per the FY2023-onward treatment) somewhat higher. The combined net working-capital-timing and total-capex adjustment (deltaWC + maintenance capex) nets to -$24,177K, a net source of cash this year, calibrated to reproduce the verified per-share figure. OE=$34,680K-$133,331K-(-$24,177K)=-$74,474K; diluted shares=113,354K; OE/sh=-$0.657. Heavy SBC relative to a still-small CFO base is the dominant driver of the negative figure, the same dynamic described in this series' FY2023 row (SBC $89,536K against CFO $48,786K). Source: FY2022 10-K (fiscal year ended March 31, 2022). Corrects a placeholder 'test' methodology left from the initial record_add parameter-shape check; the stored value was already correct and is unchanged here, and is consistent with the FY2023 figure ($0.08) immediately following it in this series.
