Business condition attached to the margin of safety The Federal Government segment's book-to-bill ratio back to 1.0x or higher for a full year (it fell to 0.9x in 2025 from 1.1x in 2024), Commercial consulting growth sustaining for two more quarters without an offsetting acceleration in Assignment-revenue decline, and borrowings growing no faster than EBITDA.
This company (stored symbol EFOR) is ASGN Incorporated, an IT staffing and consulting company with about $4.0 billion of annual revenue, in the process of rebranding its combined operations -- Apex Systems, Creative Circle, CyberCoders, ECS, GlideFast and TopBloc -- under a new parent name, Everforth. It runs two segments: Commercial (70% of 2025 revenue, $2.79B), which places technology, creative and digital professionals with large corporate clients and increasingly sells project-based consulting rather than hourly staffing; and Federal Government (30%, $1.19B), delivered through ECS, providing data/AI, cybersecurity and IT services to defense, intelligence and civilian agencies, backed by a $2.9 billion contract backlog. The business is being pulled in two directions. Consulting revenue, now $2.5 billion (62% of the total), grew 5.1% in 2025, with Commercial consulting up 14.4% as clients shift from hourly staffing toward project work. But hourly Assignment revenue fell 13.8%, and Federal revenue fell 3.3% as contracts were lost to government efficiency-driven budget initiatives -- the Federal segment's book-to-bill ratio fell to 0.9x in 2025 from 1.1x in 2024, a genuine warning sign. The company also completed two sizable, debt-funded acquisitions in quick succession -- TopBloc for $340 million (March 2025) and Quinnox for $290 million (early 2026) -- adding integration costs and acquired-intangible amortization. In the first half of 2026, revenue was roughly flat but operating income fell 35%; part of the associated cash-flow weakness was a receivables-timing swing, but the operating-income drop itself was real. We measure cash an owner could take out of the business each year -- operations cash flow with working-capital swings removed, stock compensation charged as a real cost, and only maintenance-level capital spending deducted. On this basis the company earned between $4.51 and $6.83 per share every year from 2019 through 2025 (2021 excluded for a large non-comparable divestiture); the median, about $5.35 per share, anchors this valuation. Our base case assumes the weak first half of 2026 continues through year-end (owner earnings down roughly 20% for the year), then integration costs fade, the federal backlog gradually converts to revenue, and Commercial consulting keeps taking share from declining hourly staffing, bringing per-share earnings back to roughly the historical mid-cycle level by around 2030 and growing modestly thereafter. Worth about $101 a share. Our bear case assumes the Federal book-to-bill stays below 1.0 and revenue keeps eroding, Assignment revenue keeps declining, and the shift toward debt-funded acquisitions (borrowings rose from about $1.03B at year-end 2024 to roughly $1.44B by mid-2026) continues to crowd out the share buybacks that have shrunk share count from 53 million to 41 million since 2019. Worth about $48 a share. (Leverage, at roughly 1.5x debt-to-EBITDA against a covenant limit of 3.75x, is not close to distress -- this is a business getting smaller, not one at risk of default.) Our bull case assumes Commercial consulting growth continues at double digits, the federal disruption proves temporary as new contract awards recover toward the 1.1-1.2x book-to-bill posted in 2023-2024, and buybacks resume closer to the $327 million 2024 pace once acquisition spending slows. Worth about $146 a share. Given how wide the range is and how much of the near-term picture is unsettled, the margin-of-safety price sits at a substantial discount -- about $58 a share -- and assumes a federal book-to-bill back above 1.0, sustained consulting growth, and cooling borrowing growth.

OE = CFO - dWC - SBC - maintenance capex, computed on continuing operations. The Oxford segment was sold in April 2021 for $503.8M cash with a $216.9M pre-tax gain; reported net income of $409.9M includes $178.1M of after-tax discontinued-operations income, so continuing-operations net income of $231.8M is used. CFO=$193.7M (combined basis, depressed by cash taxes on the disposal gain and by repayment of the 2020 payroll-tax deferral); dWC=$(193.6)M on that basis; SBC=$52.7M; capex=$34.7M; capex ratio 0.898%; revenue rose $58.9M so growth capex=$0.5M, maintenance capex=$34.2M; OE=$300.4M; diluted shares=53.5M; OE/sh=$5.62. D&A and capex remain on a combined basis (Oxford included to the sale date), so this year is approximate and is excluded from the valuation anchor.
