Kforce is a staffing company that places technology, finance, and accounting professionals with client businesses on a contract and direct-hire basis. In April 2019 the company sold its federal government staffing business (Kforce Government Solutions) to ManTech International for $115 million, becoming a pure-play commercial staffing firm focused on technology and finance & accounting placements. That sale is the dividing line in the company's history: the years before it describe a larger, different business, so we anchored this valuation on the six full years since (2020 through 2025). Owner earnings - the cash the business generates after removing stock-based compensation and the swings in working capital, and after setting aside enough capital spending to keep the business running as-is - have ranged from about $1.82 to $4.06 per share over that six-year stretch, with a median of roughly $3.24 per share. The pattern tracks the staffing industry's hiring cycle closely: a COVID-year trough in 2020, a boom in 2021-2022 as companies scrambled for tech talent, and a steady decline since as corporate hiring - especially for contract technology roles - has cooled. The 2025 figure of $1.82 per share sits near the low end of that range; capital spending that year was elevated (roughly double the prior year) due to a Workday systems implementation, which we counted in full as an ongoing cost even though it looks more like a one-time project than a permanent increase in the cost of doing business, so the $1.82 figure is if anything conservative. We valued the shares assuming a gradual recovery from today's cyclical trough toward that $3.24 median level over the next several years, then modest single-digit growth after that helped by continued, if more moderate, share buybacks. Beyond the ten-year forecast, we assumed the staffing business - which has now operated through the dot-com bust, the 2008-09 recession, and COVID without disappearing - continues in some form, but we capped the assumed long-run growth at about 1% a year given a real, current risk: AI-assisted coding and recruiting tools may durably reduce demand for the kind of contract technology staffing that has been Kforce's biggest growth engine. That "years 11 and beyond" assumption still accounts for roughly two-thirds of our base-case value, so it deserves emphasis - this valuation depends more on Kforce's staffing model remaining relevant a decade from now than on any near-term detail. Our base case, our single best estimate, works out to about $64 per share. Our bear case - roughly a one-in-ten downside outcome - assumes the current hiring slowdown runs deeper and longer than normal: AI tools meaningfully displace demand for contract developers rather than merely delaying hiring, and owner earnings stay depressed in the $1.50-$1.80 per share range for several years before recovering only partway. It also reflects a real, current vulnerability - the company has been drawing more heavily on its credit line (borrowings roughly doubled over the last year to about $66 million against only about $2 million of cash) while earnings have been falling, which could force a choice between shrinking the dividend and buyback program and paying down debt. That case is worth roughly $29 per share. Our bull case assumes the hiring freeze thaws, enterprise technology spending reaccelerates, and Kforce successfully repositions around higher-value technology specialties - AI implementation, data, cybersecurity - that complement rather than compete with automation, restoring 2021-2022-level growth and profitability with room to keep growing for years after. That case is worth roughly $99 per share. Given the spread between these cases, the margin-of-safety price sits at a meaningful discount to our base-case estimate - roughly 38% - reflecting a cyclical business now carrying more balance-sheet leverage than it has historically, alongside a genuine structural question mark over its long-term growth engine. That points to a margin-of-safety price of around $40 per share. One item we could not fully reconcile from the filings: a handful of smaller cash-flow line items (a legacy pension-plan termination payment, an equity-method investment write-down, and minor reclassifications between "other assets" and "other liabilities" captions) are labeled somewhat differently from one year's filing to the next. None of these affected our per-share figures by more than about 1%, and none change the conclusions above.

Non-cash items embedded in CFO include a $3,148K gain on sale of assets held for sale and a $12,243K deferred tax charge from 2017 TCJA rate remeasurement - both ride through CFO automatically, per methodology. OE = CFO - real working-capital movement - SBC - maintenance capex, using CFO/NI/D&A/SBC on a combined basis (predivestiture business, includes the Government Solutions segment later sold in 2019). CFO=$39,447K (accession 0000930420-17-000053); WC movement (trade receivables -8,403; income tax refund receivable 354; prepaid/other current assets -1,631; other assets -495; AP/other current liab -1,920; accrued payroll -1,320; income taxes payable -489; other LT liab -139) = -$14,043K; SBC=$6,705K; capex=$12,420K, revenue growth basis not comparable pre/post 2019 GS divestiture so maintenance capex set equal to full capex (conservative). OE=39,447-(-14,043)-6,705-12,420=$34,365K; diluted shares=26,274K; OE/sh=$1.31. Source: FY2016 10-K, accession 0000930420-17-000053. Note: this year predates the April 2019 sale of the Government Solutions segment and describes a different (larger, government-services-inclusive) business than Kforce operates today; excluded from the valuation anchor for that reason.
