What the company is now. Data Storage Corporation sold its main business, the CloudFirst cloud-hosting and disaster-recovery operation, on September 11, 2025 for a $40 million base price ($38.1 million cash at closing; about $31.6 million net after expenses and taxes). In January 2026 it bought back 5,625,129 shares at $5.20 in a tender offer ($29.3 million), leaving about 2.17 million shares and a little over $10 million of cash. What remains is (1) Nexxis, a small provider of managed business voice, internet, data transport and SD-WAN services, and (2) the cash. At June 30, 2026 the company held about $9.0 million of marketable securities, $0.3 million of cash and $1.0 million of restricted cash, against total liabilities of about $1.0 million and no debt: roughly $10.1 million of net assets, or about $4.30 per share on 2,337,738 shares outstanding. What drives value. Nexxis is growing but earns essentially nothing: 2025 revenue was $1.38 million (up 13.4%), gross margin 44%, and segment operating profit $11,622 after a $93,513 loss in 2024. The decisive number is the corporate cost of running the listed company: corporate operating expenses were $3.22 million in 2024 and $3.59 million in 2025 (including $1.0 million of stock compensation; salaries and director fees were $1.86 million and professional fees $1.02 million). Excluding stock compensation, the company has spent about $2.6 to $2.7 million a year in cash in each of 2024, 2025 and the first half of 2026. Interest on the remaining cash (about $200,000 in the first half of 2026) covers only a small part. Management said in its annual report that it expected 2026 expenses to fall because staff moved to the buyer and legal and accounting costs would be lower, but first-half 2026 overhead was $2.92 million including $1.22 million of stock compensation, higher than in 2025, not lower. The Board says it is looking at acquisitions in AI software, GPU infrastructure, cybersecurity and telecom, or a sale or merger of the company, and has not decided how to use the cash. Nothing has been signed, so no value is given for any future deal. How we measured earnings. Owner earnings for the business that exists today, before any interest on excess cash is considered, were about -$2.7 million in both 2024 and 2025. In 2025 we removed a one-time $1.9 million tax benefit that the remaining business received only because it could offset tax on the gain from the CloudFirst sale. For the years before the sale, equipment bought through finance leases was counted as capital spending. Because almost everything the company owns is cash, we value it as the cash on hand minus the future cash it is likely to spend. We do not add value for growth or for deals that have not happened. Stock compensation is treated as a real cost because it spreads what is left across more shares. Cases. Base case ($0.80 per share): corporate spending continues at the level seen in all three recent periods (about $2.6 million a year in cash plus about $1.0 million in stock) for about three more years before what is left, roughly $3.3 million, reaches shareholders through another buyback or a sale. Bear case ($0.20): spending continues at the first-half 2026 pace, including stock awards running near $2.4 million a year, and Nexxis slips back to a small loss. Within about three and a half years little cash is left for owners, and it is spread over many more shares. A bad acquisition would lead to a similar result; the company wrote off $2.3 million of goodwill in 2022, a year after a $6.1 million cash acquisition. Bull case ($2.40): the cost cuts management described take corporate cash spending down to about $2.0 million with stock awards near the 2024 level, and within two years the Board returns most of the remaining cash (about $7 million), as it did with the sale proceeds in January 2026. What the shares appear to be worth. Roughly $0.80 per share, well below the $4.30 of net assets per share, because the corporate cost of about $2.6 million a year is large next to $10 million of cash. The value depends mostly on how long that spending continues before the cash is returned or put to use. Insiders own about 23% of the shares, so they also bear this cost. The estimate would be too low if the Board soon commits to returning the cash or cuts corporate costs sharply. It would be too high if the cash goes into an acquisition that does not cover the overhead. The company has reported an unremediated weakness in its internal controls, linked to an error in accounting for taxes on the sale. The second-quarter 2026 report text was not available to us; figures for that period come from its financial data.
