Business condition attached to the margin of safety Two consecutive quarters of demonstrably positive owner earnings (operating cash flow after stock compensation and real sustaining capital spending), or capital spending visibly returning toward the 10-14% of revenue it ran at from 2023-2025 rather than the markedly higher rate seen in the first half of 2026.
Cryoport provides the temperature-controlled supply chain that keeps cell and gene therapies, and the biological materials used to make them, viable as they move from collection or manufacturing to the clinic and back. Its Cryoport Express shippers, Smart Pak condition-monitoring devices and Cryoportal tracking platform support the regulated chain of custody these therapies require. A second business, MVE Biological Solutions, manufactures the cryogenic freezers and dewars used to store biological material, selling both into life sciences and into the unrelated animal health market; MVE's freezers are made at plants in Minnesota and in Chengdu, China. In June 2025, Cryoport sold its CryoPDP specialty courier business to DHL for roughly $210 million in cash, recording a $117 million gain and using part of the proceeds to retire debt and repurchase stock. The sale narrows the company to the two businesses above and leaves a very strong balance sheet: roughly $411 million in cash and short-term investments at the end of 2025, against modest remaining debt. What the business is worth today. Owner earnings - cash generated from the business after real, sustaining capital spending and after treating stock compensation as a genuine cost - have been negative in each of the last three years, though the loss has narrowed substantially: from about $46 million in 2024 to about $18 million in 2025, as revenue grew 12% and costs were held roughly flat. That improvement is the central fact behind this valuation, and it is also the most fragile one: capital spending in the first half of 2026 ran well above its 2023-2025 average relative to revenue, for reasons the company has not yet explained in its public filings. Until that resolves, we have treated the higher, current level of spending as the norm going forward rather than assuming it fades. Because Cryoport's cash flow statement does not separate the divested courier business from the remaining two segments on every line, the historical owner-earnings figures involve some reasonable estimation to strip it out; we have used the company's own segment disclosures to do this as precisely as the filings allow. The case for the business. Roughly 1,100 cell and gene therapy programs are in active clinical trials worldwide, and Cryoport supported 760 of them at the end of 2025 (up from 701 a year earlier); 20 of the therapies it supports have now reached commercial approval. Revenue tied to already-approved therapies grew 24% in 2025, faster than the business overall, because a therapy that reaches the market needs the same cold-chain handling repeatedly rather than as a one-time clinical shipment. That mechanism - clinical programs graduating into recurring, approved-product volume - is the basis for our base and bull cases. It is also, so far, still a small part of the business: about $30-34 million of $176 million in 2025 revenue, combined across both segments. It cannot by itself carry aggressive near-term growth, and we have sized our base case accordingly. Bear case (about $4/share): Growth stalls near the pace of 2024, when revenue actually declined as biotech funding tightened industry-wide; capital spending stays at its current elevated level rather than easing; and losses narrow only slowly, crossing to breakeven in year eight or nine. Even here the company's cash position comfortably funds the business through the period - there is no near-term solvency concern - but the case implies little return to shareholders for a decade. Base case (about $10/share): Revenue grows at a high-single-digit pace as the approved-therapy pipeline continues to convert and the cost discipline shown in 2025 holds, with owner earnings crossing to breakeven around year four and reaching a mid-single-digit percentage of revenue by year ten. We have not assumed the business keeps compounding indefinitely after that; we have simply carried forward the earnings level it has reached by then. Bull case (about $23-24/share): The approved-therapy pipeline converts faster, and gross margin keeps improving at the pace already demonstrated in 2025 (product margin rose from 42% to 45% on manufacturing efficiency alone), taking revenue past $500 million and owner earnings to a mid-teens percentage of revenue within ten years. A structural note: Cryoport also has $200 million of convertible preferred stock outstanding, issued in 2020 to help fund the MVE acquisition, which ranks ahead of common shareholders and carries a 4% paid-in-kind dividend. We have treated that $200 million as a senior claim against the business in every case above, since the values here are well below the price at which that preferred stock would convert into common shares. Given the improving but still-unproven path to sustained positive cash generation, the unresolved question around current capital spending, and the preferred stock's senior claim, the margin-of-safety price is around $5 per share - a meaningful discount to our base-case estimate.
