bear $0.91 base $4.72 bull $10.16 margin of safety $2.36 market price* $5.47
Business condition attached to the margin of safety The Estech Systems integration shows at least two consecutive quarters of combined-company cash flow generation without a new impairment or write-down.
Crexendo provides cloud-based phone, video, contact-center and managed IT services to businesses, competing to replace traditional on-premise phone systems with cloud subscriptions. The company transformed itself with two acquisitions - NetSapiens in 2021 and Allegiant Networks in late 2022 - that roughly quadrupled revenue from about $16 million in 2020 to over $68 million in 2025. We measured owner earnings from 2023 forward, once both deals were fully absorbed, rather than from the much smaller pre-acquisition business. An important piece of history: the goodwill from the NetSapiens deal was written down by about $32.7 million in late 2022, roughly 88% of its recorded value, within about a year of closing. That write-down was a paper loss, not a cash one, so it doesn't reduce the cash-based earnings we value the business on - but it does say something about the price management paid and its acquisition track record, and we've weighed that when sizing the downside case. More recently, in February 2026, Crexendo agreed to acquire Estech Systems for $27.3 million in cash plus about $7.7 million in stock - a meaningful deal relative to the company's size. Because it was signed after the 2025 fiscal year closed, its effect on cash flow isn't yet visible in the historical numbers we anchored on, so we've built it into the growth assumptions instead, and increased the share count used per-share to include the new shares issued for the deal. Since 2023, the underlying business has scaled attractively: revenue growth has moderated from very high rates toward a more normal pace, while costs like stock-based compensation have grown much more slowly than revenue, so cash generation has grown faster than sales. We anchored the valuation on the median of 2023-2025 owner earnings per share (post-split-adjusted for the new Estech shares), which is a deliberately conservative starting point given how fast the underlying number has been moving. Base case: assumes the Estech acquisition integrates reasonably well and organic growth continues to moderate gradually over the next decade as the cloud-phone-system replacement cycle matures. This produces a value of roughly $4.72 a share. Bull case: Estech integrates smoothly (learning from the NetSapiens experience), and Crexendo keeps winning share as businesses continue replacing legacy on-premise phone systems with cloud alternatives. Value of roughly $10.16 a share. Bear case, and the one we weigh most heavily given the company's history: Estech disappoints the way NetSapiens did, integration costs and the debt or cash used to fund the $27.3 million cash payment weigh on results, and competition from larger cloud-communications providers slows organic growth. In this case we estimate the shares are worth closer to $0.91. The wide gap between these cases reflects real uncertainty about a small, still-fast-changing company with a mixed acquisition record, not a lack of research. Given that gap, the margin-of-safety price is set at a meaningful discount to our base-case estimate, and the growth case is treated as intact only once Estech actually integrates cleanly - a couple of clean quarters without a repeat of the NetSapiens write-down. One accounting note for transparency: in a couple of the years we reviewed, the cash-flow figures in the filings didn't fully reconcile to the underlying net income and non-cash items using the data available to us, most notably around the two acquisition years. We don't believe this affects the years we actually anchored the valuation on (2023 through 2025), which reconciled well.

OE = CFO - ΔWC - SBC - maintenance capex. Included in anchor window (median of 2023-2025 used as the DCF anchor). Reconciliation within 1%. Note: OE/share nearly quadrupled from 2024 as fixed operating costs (SBC, integration overhead) shrank as a share of a fast-growing revenue base; this trailing growth rate was judged too extreme (base-effect driven) to extrapolate and was not carried into the year-1 growth assumption. OE = CFO - ΔWC - SBC - maintenance capex. Included in anchor window. A separately tagged 'amortization of intangible assets' figure ($3.0M) appears redundant with the total depreciation/amortization line already used here (including both moved the reconciliation further from CFO, not closer), so it was not added a second time. OE = CFO - ΔWC - SBC - maintenance capex. Transition year: Allegiant Networks acquisition closed Nov 1, 2022; the company also recorded a $32.7M non-cash goodwill and intangible-asset impairment (largely writing down the NetSapiens goodwill recorded the prior year), producing a $35.4M GAAP net loss. The impairment is a correct add-back (sunk, non-cash) and does not affect CFO or OE, but the repeated write-down is treated as a bear-case consideration in the valuation, not as an earnings-level adjustment. CFO=-$411,000; ΔWC=-$361,000+$0+(-$544,000)+$0=-$905,000; SBC=$4,374,000; capex=$289,000, growth capex=$7,687, maintenance capex=$281,313; OE=-$411,000-(-$905,000)-$4,374,000-$281,313=-$4,161,313; diluted shares=22,939,514; OE/sh=-$0.1814. Reconciliation left a residual likely tied to tax effects of the impairment (valuation allowance) not fully captured by available tags; excluded from the anchor window as a transition year. OE = CFO - ΔWC - SBC - maintenance capex. Transition year: the NetSapiens Inc. acquisition closed in 2021, roughly doubling revenue; not used as an anchor year since the combined business had not yet stabilized (a second acquisition, Allegiant Networks, followed in Nov 2022). CFO=-$1,006,000; ΔWC=$501,000+$92,000+(-$571,000)+(-$245,000)=-$223,000; SBC=$1,628,000; capex=$101,000, revenue grew YoY so growth capex=$9,509 (capex_ratio 0.081% x revenue increase), maintenance capex=$91,491; OE=-$1,006,000-(-$223,000)-$1,628,000-$91,491=-$2,502,491; diluted shares=20,275,691; OE/sh=-$0.1234. Reconciliation left an unresolved ~$2.1M gap, plausibly purchase-accounting/contingent-consideration items from the NetSapiens deal not separately tagged; excluded from the anchor window for this reason as well as the business-transformation rationale. OE = CFO - ΔWC - SBC - maintenance capex. Pre-transformation period, not used in anchor. Net income ($7,940,000) was inflated by a large non-cash deferred-tax benefit (a valuation-allowance release, judged as such since the raw tag was reported with conflicting signs across filings and a benefit of this size with no matching cash effect is the only economically sensible reading); that benefit is excluded from CFO by construction so does not affect OE. CFO=$647,000; ΔWC=$152,000+$49,000+$14,000+$50,000=$265,000; SBC=$623,000; capex=$0; OE=$647,000-$265,000-$623,000-$0=-$241,000; diluted shares=17,420,476; OE/sh=-$0.0138. Reconciliation could not be closed within 5% this year (residual likely tied to the deferred-tax item just described); immaterial to the current valuation since this year predates the transformative 2021-2022 acquisitions.
