Bandwidth sells voice and messaging services delivered over its own U.S. telephone network. Customers such as Microsoft, Google, Zoom, Cisco, RingCentral, Genesys and Five9 build calling into their products on Bandwidth's platform. 2025 revenue was $754 million: $561 million of cloud communications (Global Voice Plans, Programmable Messaging and Enterprise Voice) and $192 million of messaging surcharges that are largely passed through to carriers. Gross margin was 39%, up 2 points on 2024, as higher-margin voice traffic grew and pass-through messaging shrank. How we measure earnings. We start from operating cash flow and remove working-capital swings, stock-based compensation and the part of capital spending that maintains the business. Stock compensation is treated as a real cost: it was $52 million in 2025, about 7% of revenue. Capital spending includes capitalized software ($10.7 million in 2025). Depreciation and amortization ($54 million) are non-cash and are not deducted again. On this basis owner earnings per share were $0.71 (2017), $0.15, -$1.07, -$0.14, $0.84 (2021), -$0.69 (2022, the year of heavy headquarters-related equipment spending), $0.01, $0.56 (2024) and $0.33 (2025). We anchor on the median of 2021-2025, $0.33 per share, about $10 million in total, because the company's current scale and network date from those years. Earlier years describe a much smaller business. The latest year fell 42% (from $0.56 to $0.33) even though operating cash flow rose to $89 million, because capital spending rose to $33 million and stock compensation to $52 million. Our base case assumes no growth from that level, so it does not assume the decline reverses. The most recent quarter on file (Q1 2026) showed revenue of $209 million against $174 million a year earlier and operating cash flow of $8.8 million against an outflow of $3.1 million. We treat this as encouraging but a single quarter, so it has not moved the level. Base case, about $3.97 per share: owner earnings hold at $0.33 per share for ten years, then decline 5% a year afterwards. We credit no growth. Revenue grew only 1% in 2025 (voice traffic up, political messaging down 13%), and Enterprise Voice growth of 21% or the higher Q1 2026 revenue are not yet proven, repeatable drivers in owner earnings. The slow fade after year ten reflects that the business has not lost revenue in any year on record, but nothing named locks in earnings beyond that. Bear case, about $0.77 per share: the company has $258 million of convertible notes to repay, chiefly $250 million due April 1, 2028 with a conversion price of about $179 per share, far above where the notes could convert. Cash and securities were $111 million at the end of 2025, with a $150 million undrawn credit facility. We assume owner earnings fall back to near the 2023 low (about $0.05 per share) through 2027, then that refinancing roughly $139 million at higher rates consumes all earnings for 2028-2030, after which $0.10 per share is earned and fades 5% a year. The company also carries a $445 million, 20-year headquarters lease that began in 2023, which is already reflected in cash flow. Bull case, about $6.82 per share: owner earnings return to the $0.56 reached in 2024, a level the current business has already produced, and hold for ten years before the same 5% fade. Cost efficiency (gross margin +2 points in 2025) and the Enterprise Voice product are the levers, but only returning to demonstrated levels is credited; further growth is not. What could make this wrong: stock compensation is large relative to owner earnings, so a further rise would cut value quickly; diluted share count has risen from 25.6 million (2023) to 30.0 million (2025); and the pass-through messaging revenue is exposed to carrier and regulatory changes. Some working-capital lines differ slightly between filings in 2019-2020 and were reconciled by using the figures shown in most filings. A dispute with the City of San Francisco over a claimed $3.8 million access line tax was paid on deposit in July 2025 and is not material to these values.
