Business condition attached to the margin of safety One full fiscal year (FY2026 or later) of positive owner earnings from the post-divestiture business (operating cash flow before working-capital swings, after stock compensation and capital spending, above zero), with total debt at or below the roughly $89 million of mid-2026 and no new equity or warrant issuance to service it.
WHAT THE BUSINESS IS. Commercial Vehicle Group makes parts that go into heavy trucks, medium trucks, and construction and farm equipment. It has three segments. Global Seating makes truck and off-road seats ($287M of 2025 revenue). Global Electrical Systems makes wire harnesses and electrical assemblies, mainly for construction and farm machinery ($203M). Trim Systems and Components makes plastic cab trim, wipers, mirrors and aftermarket parts ($159M). In 2024 the company sold its cab-structures plant in Kings Mountain, North Carolina and its Industrial Automation segment, so the company today is about $650-730M of revenue, not the $980-995M it reported in 2022-2023. Two truck-maker customers made up 13% and 11% of 2025 revenue. Demand follows North American heavy-truck production, which fell to 251,247 units in 2025, and construction and farm equipment cycles. Both are deeply cyclical. HOW WE MEASURED EARNING POWER. We use owner earnings: the cash the business produces after stock compensation and the capital spending needed to keep it running, with year-to-year working-capital swings removed. Across 2016-2025 this ranged from $1.64 a share (2018) and $1.25 (2021) at the peaks down to losses of $0.94 (2024) and $0.58 (2025). The ten-year median is about $0.29 a share. We treated bad-debt provisions as a real cost, following the company's own later restated presentation. We added back non-cash items such as the 2020 impairment and the 2023-2024 tax-valuation swings. Because this is a cyclical business, we anchor on the full ten-year cycle and not on the two recent loss years alone. We then lowered that anchor for three reasons. First, the businesses sold in 2024 had contributed operating cash ($14.4M in 2022, $8.8M in 2023). Second, the remaining business has not yet earned a profit on its own: continuing operations lost $8.2M before tax in 2024 and $15.7M in 2025, including $10.6M and $5.3M of restructuring charges. Third, the June 2025 refinancing came with warrants for about 3.9 million shares at $1.52 and $2.07. We count those warrants in the share base, which is about 38.7 million fully diluted shares. On that basis our mid-cycle estimate is about $8.5M a year, or roughly $0.22 per fully diluted share. RECENT RESULTS. In the first half of 2026 revenue rose 7% to $366.7M, and gross profit rose 19% to $44.5M, with gross margin up from 10.9% to 12.1%. Restructuring charges also fell. Pre-tax results were a $4.0M loss, but that includes an $8.4M non-cash charge for the higher value of the lender warrants. Without it, the business earned about $4.5M before tax. That points to owner earnings of about $4M for 2026. This is a sharp improvement on 2025, and it rests on two reported quarters, not on forecasts. BASE CASE ($3.52). Owner earnings of about $4M in 2026 and $7M in 2027, as restructuring savings and margins already visible in 2026 carry through. From 2028 they average $8.5M a year across future truck cycles, which is an operating margin of about 3% on roughly $720M of revenue. That is below the company's pre-2024 median of about 4%, because interest costs are now higher (about $14M a year on roughly $89M of debt) and the smaller company still carries its corporate overhead. After year ten we assume the business keeps earning at that level. Our reason is that CVG has held supplier positions with every major North American truck maker for over two decades, and replacement demand is structural: the average Class 8 truck in service is 5.8 years old. We assume no growth beyond that. Everything is discounted at 6%. BEAR CASE ($0.48). The 2025 trough lasts through 2026-2027 at roughly minus $5M a year of owner earnings. Tariffs on imported materials keep squeezing margins, and the company has said there is significant uncertainty about passing those costs on. Mid-cycle earnings then settle at only about $5M a year, and nothing is credited beyond year ten. Several things make this case real: the high-cost term loan due in 2030, a lending covenant that kicks in if borrowing room gets tight, two customers that together make up about a quarter of sales, and a record of costly exits. The Industrial Automation business was bought in 2019 and sold at a loss in 2024. Refinancing on worse terms or issuing more shares would push value toward zero. BULL CASE ($6.17). The remaining business returns toward its 2023 results, when the same three segments earned $52.8M of segment operating income, including $22.6M from Electrical Systems versus $2.0M in 2025. Debt is paid down from cash flow, so interest costs fall. Owner earnings reach $6M in 2026, $12M in 2027 and average $15M a year from 2028, and that level persists. We gave no credit for electric-truck or autonomous-vehicle content wins, because none are contracted in the filings. WHAT WOULD MAKE THIS WRONG. The business has not yet produced a profitable full year since the 2024 sale. Everything depends on margins recovering toward historical levels while debt costs about 13-14% a year. If 2026's second half falls back to 2025-like results, the base case is too high. A lasting return to operating margins above 4% would make it too low. MARGIN-OF-SAFETY PRICE. Earnings are cyclical and leveraged, and the remaining business has no profitable year of its own yet, so the estimate applies a wide margin of safety of about 60% below the base value. The margin-of-safety price is $1.40, and it applies only after the business shows a full year of positive owner earnings with debt no higher than today.
