Adient is a global automotive seating supplier. It designs and builds complete seats and the components inside them (frames, mechanisms, foam, trim covers) and delivers them to automakers' assembly lines in sequence. It sells to all of the major global automakers; Ford was 11% and Volkswagen Group 10% of fiscal 2025 sales of $14,535 million. By region, fiscal 2025 sales were Americas $6,856 million, Europe/Middle East/Africa $4,773 million and Asia $2,983 million. What the business earns. We measure what is left for shareholders after cash operating costs, share-based pay and the capital spending needed to keep plants running, with swings in working capital removed. On that basis the business produced positive earnings in 7 of the 9 years from fiscal 2017 to 2025 (fiscal 2019 and 2020 were negative), from $(2.03) to $3.88 per share. We measure from fiscal 2021 forward, after the 2021 Yanfeng transaction (which produced a $1.2 billion non-cash gain that year); the earlier years describe the business before that transaction and include the fiscal 2020 sales drop of 23%. One item matters a great deal here. Some of Adient's joint ventures are consolidated, so operating cash flow includes cash that belongs to minority partners. Adient paid $90 million of distributions to those partners in fiscal 2025 and between $62 million and $106 million every year in the period. We deduct these. After that, the typical fiscal 2021 to 2025 result is $127 million a year, about $1.60 per current share (79.2 million diluted shares). What has changed recently. Nine-month fiscal 2026 sales rose about 5% to $11,438 million and Adient returned to a profit ($30 million attributable to shareholders versus a $299 million loss a year earlier). But cash left for shareholders is weaker: on our measure, $38 million for the nine months versus $106 million a year earlier, because capital spending rose to $205 million from $166 million and cash flow before working capital slipped from $378 million to $356 million. Fiscal 2026 ends this week, and we expect it to land near $60 million after partner distributions (the nine-month figure plus a fourth quarter similar to last year's). The cases. All three run from fiscal 2027 and discount at 6%. Base case, $16.74 per share: fiscal 2027 recovers 27% to about $76 million (just below the 28% improvement of fiscal 2025, from $99 million to $127 million), then $100 million in fiscal 2028 and the $127 million recent norm from fiscal 2029 through 2036. After that we fade the earnings in a straight line to zero over 20 years. The filings show no contracts or mechanisms that guarantee seat awards beyond current vehicle programs, so we do not assume they continue indefinitely. We credit no growth: sales growth, share gains and cost-saving targets are not yet secured. Bear case, $7.13 per share: earnings stay at about $60 million a year, roughly this year's level, for ten years, then fade to zero over ten more. This is built from disclosed pressures: overcapacity and pricing pressure in Europe, intensifying competition from Chinese imports and lost share for foreign and luxury brands in Asia, tariffs (a $17 million net cost in fiscal 2025), rising capital spending, and $193 million of annual financing charges on $2,395 million of long-term debt, including $500 million of 7.00% secured notes due 2028 that must be repaid or refinanced. Adient has announced restructuring in each of the last seven fiscal years, which argues against assuming these pressures ease. Bull case, $23.92 per share: Adient's own restructuring plans deliver. Its 2024 plan (mostly European severance, $169 million of charges) was expected to cut annual operating costs by about $110 million, about 60% of which would be net savings, and its 2025 plan added $58 million of charges. We credit about $50 million a year after tax from about fiscal 2028 (this assumes a 25% tax rate on the net savings, our assumption), for a level of $177 million, with $120 million in fiscal 2027, and the same 20-year fade. Accounting judgements. Non-cash charges are added back automatically. This matters for fiscal 2025, when a $333 million non-cash goodwill impairment in the European business drove a net loss of $281 million but did not reduce cash. We treat it as a warning about Europe and reflect it in the bear case rather than in the earnings level. Restructuring cash costs recur every year and stay inside our earnings figure. Capital spending is treated as maintenance except in years of rising sales, using the nine-year average of capital spending to sales of about 2.3%. Adient's own tables use adjusted EBITDA, which we do not use. What would make this wrong. Upside: a faster payoff from the restructuring plans, or a sustained rise in vehicle production. Downside: partner distributions keep rising while cash generation stays near this year's pace, or the 2028 refinancing is done on much worse terms. We could not reconcile why fiscal 2022 partner distributions were $106 million against about $70 million in neighbouring years; the median we use is not affected. Margin-of-safety price: $8.50, about 49% below the base value and 19% above the bear value. That margin reflects a thin-margin, cyclical, leveraged manufacturer whose earnings on our measure have ranged from about negative $2 to about $3 per share.
