Business condition attached to the margin of safety Favorable resolution (or a durable, multi-quarter stay) of the Fifth Circuit PMTA litigation over the company's nicotine marketing authorizations, AND demonstrated evidence that SBX sales are not being materially impaired by expanding state-level bans on China-manufactured vape products (e.g., a working domestic-manufacturing solution for SBX similar to the one already used for the Pachamama 25K line in Texas).
Charlie's Holdings formulates, markets and distributes vapor and alternative-nicotine products, including its Pachamama e-liquids and its newer SBX disposable line, built around a non-nicotine alkaloid the company calls Metatine. It is a small, asset-light distributor (its own capital spending is trivial relative to revenue) that competes in a crowded field of disposable-vape brands. 2025 was a transition year. The company sold 16 of its PACHA synthetic-nicotine products, and the FDA application rights tied to them, to one of the world's largest tobacco companies for $7.5 million upfront plus up to $4.2 million more if sales targets are hit, and it wound down Don Polly, a related-party CBD/hemp division that had been losing money. Both moves simplified the business and improved the balance sheet, which moved from a stockholders' deficit at the end of 2024 to about $3.4 million of positive equity at the end of 2025. But neither event recurs, and the underlying operating business still consumed cash in 2025: revenue from continuing operations nearly tripled to $20.9 million, driven almost entirely by SBX, but funding that growth required building $4.6 million of inventory, so operating cash flow was still negative for the year once that one-time gain is excluded. Looking back over the six years since the company's last major restructuring (a 2021 reverse stock split cleaned up a previously enormous, deeply diluted share count), owner earnings - operating cash flow after stripping out working-capital swings, stock compensation, and the small amount of maintenance capital spending - have been negative in five of six years and only modestly positive in one (2021). The middle-of-the-cycle figure across that period is about breakeven to slightly negative on a per-share basis. That is the starting point for this valuation, not the improved headline profit the sale gains produced this year. Two specific, dated developments shape the range of outcomes. First, the FDA issued marketing denial orders against a number of the company's nicotine-product applications; the company has a temporary court stay from the Fifth Circuit while it appeals, but the outcome of that litigation is not yet known. Second, and more consequential for the growth story, SBX - the product line that drove almost all of 2025's growth - is manufactured in China. Texas has already banned the sale of vape products manufactured or marketed as coming from China, effective September 2025, and Tennessee has similar legislation pending. The company has shown it can respond to this kind of rule: it opened a U.S. manufacturing line in California so its Pachamama 25K product could keep selling in Texas. Whether it can do the same for SBX, and whether more states follow Texas's lead, is the central question for this business over the next few years. The base case assumes owner earnings stay near breakeven in the near term, consistent with the trailing run rate, then improve gradually as SBX growth becomes less inventory-intensive and the company is not seriously impaired by the China-origin rules or the PMTA litigation. It does not assume the pending Fifth Circuit case is won, nor that state bans stop at Texas - only that the business continues operating roughly as it has. On that path, the shares are worth in the area of $0.05. The bear case assumes the China-manufacturing restriction spreads to additional states, as Tennessee's pending bill suggests it might, cutting into SBX just as it becomes the company's main growth driver, while the nicotine litigation is resolved unfavorably. Under that combination the company continues to burn cash much as it has in most of the last six years, funded by more borrowing from related parties and more share issuance, both of which have been recurring features of its financing. On this path, the value to a shareholder today is negative - roughly $0.09 per share worse than owning nothing - reflecting a real risk of continued dilution rather than a return of capital. The bull case assumes the opposite resolution of both open questions: the company wins its FDA litigation and extends the U.S.-manufacturing workaround to SBX before China-origin restrictions spread meaningfully, in which case the operating leverage in an asset-light distribution model becomes visible and owner earnings turn durably positive. That path is worth in the area of $0.19 per share. A few accounting judgments are worth stating plainly. All of the cash flow, share count and per-share figures here are stated on a post-split, continuing-operations basis: they exclude the discontinued Don Polly division and exclude the one-time $7.5 million gain from the PACHA asset sale, which is real cash but does not recur. Owner earnings therefore look considerably worse than the net income the company reported for 2025. We could not fully reconcile one item - the FY2019 stock-compensation figure was revised from $752,000 as originally reported to $3.8 million in the following year's comparative column, a large change without an explained cause in the filings; we used the later, restated figure, but flag the discrepancy. Because per-share values here are small fractions of a cent to single-digit cents, they should be read as directional rather than precise: this is a sub-scale, single-industry company whose value depends heavily on two litigation and regulatory outcomes that are not yet known. Given that combination of a break-even earnings history, real regulatory uncertainty attached to its main growth driver, and a history of shareholder dilution, the margin-of-safety price sits at a large discount to the base-case value, and it also assumes the regulatory picture actually clarifies - either a favorable outcome in the PMTA litigation or clear evidence that SBX can be produced domestically without losing its cost position.

Sales geography
United States (nationwide wholesale/retail distribution of vapor and alternative-nicotine products); international sales are minimal currently and cited by management as a future growth initiative. Some products are manufactured in China for U.S. sale, which has become directly relevant to sales geography because Texas now restricts sale of vape products manufactured in China, with similar legislation pending in Tennessee.
