Ambow Education is a Cayman Islands holding company whose operations are conducted by U.S. subsidiaries. It exited its China operations in 2022 and closed Bay State College in August 2023. Today it has two revenue lines: educational programs at NewSchool of Architecture & Design in San Diego ($7.1 million of 2025 revenue, down from $7.5 million) and HybriU, an AI-based hybrid classroom, conferencing and events platform sold and licensed ($2.4 million, up from $1.9 million). Total 2025 revenue was $9.5 million. How we measure earnings. We start from operating cash flow and subtract the cash effect of working-capital swings, share-based compensation, and the part of capital spending needed just to stay in business. On that basis owner earnings were about $0.5 million in 2024 (roughly $0.009 per share) and about $0.04 million in 2025 (roughly $0.001 per share). Reported net income of $1.4 million in 2025 included a $1.5 million non-cash gain from settling a lease, which we do not treat as earning power. Operating lease payments are kept as a real cost. Only two years of filings were available for this analysis, so the earnings level rests on a short and volatile record. We used the average of the two years, about $0.3 million a year, as a reference point. Operating cash flow for the first half of 2026 was negative $0.1 million, which does not support raising that level. Base case: about $0.2 million a year of owner earnings for ten years, with nothing left afterward, worth about $0.03 per share. We credit no growth. NewSchool revenue fell in 2025, and HybriU growth is a new product line without a multi-year record or contracted backlog, so it is left out. The one disclosed licence we could point to, a $1.3 million annually renewable, non-exclusive agreement signed in June 2024 with a Singapore-based company, is too small and cancellable to support growth. Bear case: owner earnings do not recover and the business needs new capital. The company states that it may require additional capital for its longer-term plan and cannot assure it can raise it, and with the 2026 cash flow already negative we see no owner earnings to value. Following our method, we do not add balance-sheet cash on top of a case or subtract debt, so this case is worth $0 per share; this is a business producing no owner earnings, not a case where liabilities exceed value. Bull case: owner earnings return to the 2024 level of about $0.5 million a year for ten years, worth about $0.06 per share, requiring HybriU sales to offset the decline in NewSchool revenue. What could make this wrong: the company holds about $0.8 million of unrestricted cash and had current assets $5.9 million above current liabilities at December 31, 2025, and net assets of $8.3 million. Balance-sheet assets could be worth more than our earnings-based value, and we have not counted them. Management states cash and operating cash flow should cover needs for the next 12 months. Rapid HybriU adoption would also lift the result, but we can not credit it from current evidence.
