Western New England Bancorp is the holding company for Westfield Bank, a 172-year-old community bank based in Westfield, Massachusetts. Through 25 branches it serves Hampden and Hampshire counties in western Massachusetts (the Springfield/Pioneer Valley area) and has expanded into the Hartford, Connecticut capital region. The bank makes commercial and residential real estate loans, commercial and industrial loans, and consumer loans, funded mainly by local deposits, and also offers wealth management services. It is a plain community bank rather than a specialty lender or capital-markets-heavy operation. What drives the value here is the bank's net interest margin — the spread between what it earns on loans and what it pays on deposits — more than any single product or contract. That margin swung sharply over the past decade: it expanded as the Federal Reserve raised rates in 2021-2022 (per-share owner earnings reached roughly $1.39 in 2022), then compressed hard in 2023-2024 as certificates of deposit and other funding repriced upward faster than loans did (owner earnings fell to about $0.58/share in 2024, the low point of the cycle). In 2025 the picture turned: the average cost of time deposits fell 63 basis points while average loan yields kept climbing, pushing owner earnings back up to about $0.77/share. We used the median of owner earnings per share across that full swing — FY2017 through FY2025, treating 2016 as a transition year distorted by the October 2016 acquisition of Chicopee Bancorp — as the normal, through-the-cycle level of cash generation: about $0.69/share. Owner earnings are calculated from operating cash flow after removing short-term balance-sheet timing swings, stock-based and ESOP compensation, and the modest ongoing capital spending (roughly $1-3 million a year) needed to keep the branch network and systems running. Base case: We assume the margin recovery visible in 2025 continues into 2026 but at a decelerating pace — the actual 2025 growth rate was roughly a third, which we do not extrapolate forward since much of it was a snap-back from an unusually depressed 2024. We instead assume high-single-digit growth in 2026, slowing to mid-single digits by mid-decade and about 3% by year 10, driven by continued (but slowing) deposit-cost relief, loan growth in line with the bank's demonstrated 4-5% average asset growth, and continued share buybacks — the company has cut its diluted share count from about 30 million in 2017 to about 20.3 million in 2025 and has an active repurchase authorization for roughly 5% of shares outstanding. Beyond year 10 we hold this earning power flat, crediting the bank's long operating record and established deposit franchise with persistence, but assuming no further named source of growth. Discounted at a fixed 6%, this produces a base-case value of roughly $17 per share. Bear case: The bank's commercial real estate book is concentrated — it equals 50% of total loans, and non-owner-occupied commercial real estate alone equals 325% of total risk-based capital, well above the level regulators typically flag for enhanced risk management. Criticized loans (special-mention plus substandard) were already elevated at $39.7 million, or 1.8% of total loans, at year-end 2025. The bank has shown before that credit costs can jump quickly — loan-loss provisions spiked to $7.8 million in 2020 versus a more typical $0.5-2 million — and a renewed downturn in regional commercial real estate, particularly office and multifamily properties refinancing at much higher rates than they were built on, could push credit costs higher again while reopening the kind of margin compression seen in 2023-2024. Here we assume owner earnings fall toward $0.55-0.66/share over the first few years and stay near that depressed level, without the recovery built into the base case. This produces a bear-case value of roughly $8.75 per share — a genuine, evidenced stress case, not the worst outcome imaginable, and below the bank's tangible book value. Bull case: If the margin recovery already underway continues at a faster pace — deposit costs keep falling and loan yields keep rising at a rate similar to what was just reported for 2025 — and buybacks continue at a similar pace to recent years, owner earnings could work back toward $1.00-1.15/share within a few years and grow modestly from there. This produces a bull-case value of roughly $24.75 per share. At a fixed 6% discount rate — roughly the long Treasury rate plus a small premium, applied identically to every company we value, with the real risk in a business like this showing up in the spread between the bear and bull cases rather than in the rate — the mid-point of these outcomes is the roughly $17 base case. Given the genuine credit-cycle risk sitting in the commercial real estate book, the margin-of-safety price is set at a meaningful discount to that figure, and assumes the criticized-loan trend is not worsening from the 2025 level. One accounting note: the bank amortizes a $13.7 million core deposit intangible from the 2016 Chicopee acquisition at a fixed $375,000 a year. Because this is a non-cash charge it is properly added back in owner earnings, and since it is a shrinking, finite item running off on its own fixed schedule, it needs no separate adjustment.
