Vera Bradley, Inc. (VRA) stock intrinsic value fair value estimate & owner earnings analysis

Margin of safety$0.00 ComplexityAverage Updated
Business condition attached to the margin of safety Sales at Vera Bradley stores and online stop shrinking on a like-for-like basis, and the business generates positive cash after working capital, stock compensation and maintenance capital spending for several consecutive quarters.
Vera Bradley designs and sells handbags, luggage, travel items and accessories under the Vera Bradley name. It sells through its own stores and website (VB Direct) and through specialty and other retailers (VB Indirect). In fiscal 2026 (year ended January 31, 2026) net revenues were $269.7 million, down 15.4% from $318.8 million, which itself was down 16.9% from $383.7 million the year before. These figures exclude Pura Vida, which was sold on March 31, 2025. What we measure. We value the shares on owner earnings: cash from operations, less the cash effect of working-capital swings, less stock compensation, less the portion of capital spending needed just to stand still. On that basis the company earned roughly $0.79 to $1.15 per share in most years from fiscal 2017 through 2022 on a much larger revenue base, then $(0.84) in fiscal 2023, $0.66 in fiscal 2024 (helped by a $24.0 million reduction in inventory), $(1.28) in fiscal 2025 and $(1.08) in fiscal 2026. Fiscal 2026 owner earnings were about $(30.0) million: cash used in operations of $10.0 million, less a $15.9 million cash benefit from working capital (mostly inventory reduction of $15.8 million), less $0.9 million of stock compensation, less $3.3 million of capital spending. Revenue fell in each of the last three years, so all capital spending is treated as maintenance. We do not anchor on the years before the decline: they describe a business roughly twice the size, and the business has since shrunk sharply and been reshaped by the Pura Vida sale. We measure from fiscal 2024 onward, where the median is negative about $1.08 per share. Large non-cash items (impairments, a $15.2 million loss on the Pura Vida sale, a deferred tax valuation allowance in fiscal 2025) are already excluded from cash flow and are not counted against the business a second time. Why the business looks like this. Fiscal 2026 gross profit fell 21.3% to $125.0 million from $158.8 million. VB Direct revenue fell 11.6% to $227.8 million, with comparable store sales down 20.8% (traffic and conversion, mainly in outlets) and e-commerce up 1.2%. VB Indirect fell 31.5% to $41.9 million on fewer specialty and key-account orders and lower liquidation sales. The two segments still earned operating income of $18.3 million and $8.6 million, but unallocated corporate expenses of $58.8 million (down from $69.4 million as cost cuts continued) left an operating loss from continuing operations of $31.9 million, wider than the $28.8 million loss the prior year. Cost cutting has so far been outrun by the falling gross profit. The three cases. Bear: revenue keeps falling at roughly the recent pace and cost cuts continue to lag, so owner earnings stay around $(30) million a year. That is larger than the $18.5 million of cash at year-end, and equity earns nothing. Value: $0 per share. Base: the same shape with somewhat smaller losses as cost reductions continue. Revenue has fallen for three consecutive years with comparable store sales down more than 20% in each of the last two, and we cannot point to a contract, backlog or multi-year record showing that stabilisation is secured. Owner earnings stay negative, so the earning power we can defend is nil. Value: $0 per share. Bull: the identified lever is the cost programme, which took $10.6 million out of corporate expenses in fiscal 2026. Even if that pace repeated and revenue stopped falling, the segments' $26.9 million of operating income would still fall short of covering the cost base by our calculation, and we do not credit a return to the roughly $0.8 to $1.15 per share earned at twice today's revenue, because that is a recovery that has not happened yet. Value: $0 per share. These are values of the operating business under our method, which does not add balance-sheet cash on top of a case or subtract debt. The company has no borrowings on its $75.0 million revolving credit agreement (availability $58.6 million at year-end) and owns two unencumbered real estate properties, so the shares are not worth less than nothing, but that is a cushion, not earning power, and we assign it no value here. What could prove this wrong. In the first quarter of fiscal 2027 the net loss was $4.8 million and cash used in operations $5.3 million, against a net loss of $33.5 million and cash used of $17.9 million in the same quarter a year earlier. That is one quarter, not the two or three we require to change our view, but a sustained run of positive owner earnings, or revenue stabilising while corporate costs keep falling, would lift these values. Also open: the buyer of Pura Vida claimed a $4.6 million purchase price adjustment, which the company disputes. No going-concern warning appears in the annual report; the risk is a slow cash drain rather than an imminent funding gap.
