Business. Upland Software sells subscription software. Subscription and support was $205.1 million of $216.9 million in 2025 revenue; the rest was perpetual licences ($5.3 million) and professional services ($6.5 million). In 2025 the company sold several product lines to concentrate on the rest. Subscription revenue from the sold lines and from products it is winding down fell by $53.1 million and $3.3 million, while subscription revenue from the remaining lines rose $0.8 million. Total revenue fell from $274.8 million in 2024 to $216.9 million in 2025, and was $97.8 million in the first half of 2026 against $117.0 million a year earlier. It recorded a $24.4 million loss on the sales in 2025 and goodwill write-downs of $87.2 million in 2024 and $128.8 million in 2023. How we measure earnings. We start from operating cash flow, take out the swings in receivables, payables and deferred revenue, subtract stock-based pay as a real cost, and subtract equipment spending (small, about $1 million a year, all treated as upkeep because revenue was falling). Per share, that gives about $0.78 in 2023, $0.87 in 2024 and $0.70 in 2025, versus losses per share in most years from 2019 to 2021 when stock pay was $26 to $54 million a year. Non-cash charges such as amortisation of acquired intangibles and write-downs are added back because the cash was spent years ago. We use 2025, $0.70 per share, as the starting level: it is the first year that reflects the slimmed-down company, and it is consistent with the 2023 to 2025 range. First-half 2026 operating cash flow was $11.0 million against $11.6 million a year earlier, while stock pay fell to $1.8 million from $5.7 million, so 2026 looks about in line with that level rather than above it. Earlier years are not used because they describe a different, much larger and acquisition-driven business. Note that 2025 earnings partly include the sold lines for part of the year. Base case, about $8.1 per share. Owner earnings fell about 19% in 2025 ($0.87 to $0.70). We assume 2026 is about 5% below the 2025 level (about $0.67), then flat for the rest of the ten years, then declining 5% a year with nothing assumed to replace lost customers. We start at a smaller decline than 2025 because most of that drop came from the sold product lines, which are now out of the numbers, and first-half operating cash flow slipped only about 5%. Flat rather than growing because the only growth we can point to is the $0.8 million rise in remaining subscription revenue, too small to build on. What supports flat: subscriptions are about 95% of revenue and contracted backlog was $165.6 million at the end of 2025, about 70% of it to be recognised within twelve months. We left out any acquisition-led growth, price increases or margin gains, since the company is currently selling businesses, not buying them. Bull case, about $13.1 per share. Owner earnings stay at $0.70 and rise about $0.03 a year for ten years, reaching $1.00, then fade 2% a year. The only driver is lower interest. The $240 million term loan, at 9.7% at year-end 2025, requires scheduled repayments (2.5% of the original amount a year through September 2026, then lower) plus cash-flow sweeps; repaying about $9 million a year saves roughly $0.9 million a year of interest, about $0.03 per share. Revenue is held flat, not grown. Bear case, $0 per share. Revenue keeps shrinking, as the first half of 2026 suggests, and owner earnings fall about 10% a year from about $0.60. The term loan matures on July 25, 2031, and debt of about $232 million (carrying value at year-end 2025) is over ten times 2025 owner earnings of about $20 million, so we count earnings only to that date: about $2.10 per share. But Series A convertible preferred stock ranks ahead of common shareholders, with a liquidation preference of $133.6 million including accrued dividends, and holders can require repurchase in a change of control. That is roughly $4.67 per share on 28.6 million shares, more than the bear earnings. On that path the company appears to owe more than the common shares are worth, by roughly $2.50 per share, and nothing is left for common holders. This is not a claim on the cash we did not add; we did not add balance-sheet cash to any case, and debt was not subtracted from the base or bull. Margin-of-safety price. The preferred shares matter in the base case too: if their $133.6 million preference were charged to common, base value would fall by about $4.67 per share, to about $3.4. Together with the heavy debt, a bear case of zero, and shrinking revenue, a wide margin of safety is warranted, so the margin-of-safety price is about $2.50, applicable if the revenue trend has stabilised as described above. What would make this wrong. Downside if revenue keeps falling faster than 5% a year or the debt cannot be refinanced in 2031. Upside if the remaining lines return to growth or the preferred is converted or redeemed cheaply. One thing we could not reconcile from the filings: the second quarter of 2026 net loss was $35.3 million against $13.0 million a year earlier, and we did not identify its cause, so it is not reflected in our numbers.
