Business condition attached to the margin of safety (a) The 2026 (~$87M) and 2027 (~$105M) pension contributions disclosed in the FY2025 10-K are met without a further discretionary top-up or new debt issuance beyond what's already outstanding, and (b) at least two consecutive quarters show owner earnings flat-to-improving versus the prior-year quarter once the 2025 one-time $250M pension prepayment is stripped out of the comparison.
Unisys is a roughly $1.9 billion-revenue technology services company built around three businesses: Digital Workplace Solutions (workplace support services), Cloud, Applications & Infrastructure Solutions, and Enterprise Computing Solutions, home to ClearPath Forward — proprietary mainframe operating systems and support contracts that many large enterprises have relied on for decades and renew on multi-year terms. About 41% of revenue is booked in the United States, 12% in the United Kingdom, and the rest spread across other international markets with no single country over 10%. Measured the way we measure it — operating cash flow, with stock compensation, the swings in receivables/payables/inventory, and the capital spending needed just to maintain the business all stripped out — Unisys's owner earnings have been thin and volatile for years: about $1.01 per share in 2021, a penny in 2022, $0.10 in 2023, $1.13 in 2024, and a sharp -$3.98 in 2025. That last figure is misleading on its own: roughly $3.52 of it is a single decision — in 2025 the company voluntarily prepaid $250 million into its U.S. pension plan, funded mostly by a new bond issue, to shrink a chronic funding gap. Strip that one payment out and 2025 would have been roughly -$0.46 per share. We've used the median of this five-year run, about $0.10 per share, as the starting point for what this business normally earns. The first claim on cash flow is the pension. Combined, the U.S. and international pension plans plus retiree medical were underfunded by roughly $506 million at the end of 2025. The company's own 10-K lays out a specific, multi-year funding schedule: about $87 million of cash contributions in 2026, about $105 million in 2027, and roughly $241 million more across 2028-2030 — all well above the roughly $30-55 million per year the company was contributing before 2025. The second is debt. In June 2025 Unisys retired its old 6.875% notes and issued $700 million of new secured notes at 10.625%, due January 2031. Full-year cash interest on that alone runs close to $74-79 million, versus the $23-35 million actually paid in recent years. Book equity was already negative $283 million at the end of 2025 and had deepened to negative $367 million by mid-2026, and the June 2026 quarterly filing showed operating income swinging from a $35 million profit to a $17 million loss year-over-year even though gross profit barely moved — a sign the business softened in ways we could not fully trace from the data available. Because both of these claims are already paid in cash before anything is left for shareholders, we don't subtract debt or pension shortfalls again on top of our earnings figure. Instead, the risk shows up directly in how negative the cash flow gets in the next few years across our three cases. In the base case, the near-term is genuinely rough: owner earnings stay negative through roughly 2030 as the guided pension contributions and the new bond's coupon work through the numbers, before easing once the notes are refinanced or paid down around their 2031 maturity and the heaviest pension contributions taper. Discounted at a flat 6%, that path is worth about $0.65 per share today. The bear case assumes the pension contributions run at the high end of what the company itself has warned about, the legacy Digital Workplace Solutions business — which has already taken goodwill write-downs in both 2024 and 2025 — keeps shrinking, and the 2031 notes get refinanced at a similarly punishing rate. Under that path, owner earnings stay negative for the whole decade, and the business is worth meaningfully less than nothing to common shareholders — roughly -$7.00 per share. The bull case assumes the workplace and infrastructure segments stabilize as recent cost actions take hold, the pension plans' funded status keeps improving enough to let contributions fall toward $25-30 million a year after 2030, and the company uses its contractual right to call the 2031 notes early (available from January 2028) to refinance a smaller balance at a materially lower rate. That combination is worth roughly $7.25 per share. That $0.65-to-$7.25 range, with a bear case below zero, is the direct consequence of a capital structure where lenders and pensioners stand ahead of shareholders for hundreds of millions of dollars a year. Given that, no ordinary margin-of-safety price applies until there is evidence the 2026-2027 contribution schedule is being met without further strain and that owner earnings — once the 2025 pension prepayment is excluded — are flat to improving for at least two consecutive quarters. Once that evidence appears, the margin-of-safety price is roughly $0.30 per share.
