United Community Banks is a Southeastern regional bank with roughly $29 billion of assets, about $23.7 billion of deposits and some 199 offices across Georgia, South Carolina, North Carolina, Tennessee, Florida and Alabama. It makes money the traditional way: gathering local deposits and lending them to businesses, commercial real estate owners and households, with specialty lines such as equipment finance and SBA lending on top. Earnings. For a bank, the cash that belongs to shareholders is the profit left for common holders after preferred dividends, so that is what we measure. Per share it has run: 2018 $2.07, 2019 $2.31, 2020 $1.91 (pandemic reserve build), 2021 $2.97 (reserves released), 2022 $2.52, 2023 $1.54 (a bond-portfolio restructuring loss, merger costs and an FDIC special assessment), 2024 $2.04 (loss on selling the manufactured-housing loan book and a Hurricane Helene reserve) and 2025 $2.62. We set the earnings level at $2.19 a share, the middle of 2018 through 2025. That window spans the pandemic shock, the reserve release, the 2023 deposit-cost squeeze and the 2025 margin recovery, so it holds both good and bad years for a bank. We left out 2017 because a one-time $38 million tax write-down of deferred tax assets cut that year's figure to $0.92, and 2016 because it predates the lower federal tax rate. The first half of 2026 was strong, with $1.65 a share earned and reserves partly released. We treat that as one good stretch and do not raise the level because of it. The central fact about this bank is how it has grown. From 2016 to 2025, total profit for common holders compounded at about 13.6% a year, but profit per share grew only about 7% a year, because the share count rose about 6% a year. Between 2021 and 2025 alone, about 34 million shares worth about $1.15 billion were issued to acquire Aquesta, Reliant, Progress, First Miami and ANB. That is why about $968 million of the $3.75 billion of equity is goodwill and acquired intangibles, and why tangible book value is about $23.19 a share at June 30, 2026, against book value of about $31. We give no credit to acquisitions, because they have mostly bought size, not value per share. What we do credit is retained profit. The bank pays out roughly 37% of earnings ($0.98 a share in 2025) and keeps the rest, which on its historical returns of about 9% on equity adds roughly 5 to 6% a year to the capital that earns for shareholders. The base case credits per-share growth of 3% a year, well below that rate. Profit per share rose 28% in 2025 as deposit costs fell. We do not project anything near that, and year one assumes 3%. Cases. Because a bank's borrowing is its raw material, we value profit after interest and subtract no debt. The base case starts at the $2.19 level, grows 3% a year, and includes one ordinary credit setback in year four of about $0.45 a share, about the size of the 2020 reserve build. It continues beyond year ten at the year-ten level with no further growth, on the strength of the deposit franchise. That gives about $45.80 a share. The bull case assumes the 2025 level of $2.62 holds because lower deposit costs persist, with growth of 4.5% that the bank can fund from retained profit and one milder setback. That gives about $61.90. The bear case is built on this bank's own history. In 2009 to 2011, a Southeastern real estate collapse produced losses heavy enough that the company had to raise capital at very low prices, and existing holders were badly diluted. Today the loan book is far less concentrated in construction and land, nonperforming assets are 0.33% of assets, and the common equity tier 1 ratio is 13.4%. Even so, the bear case assumes earning power of $2.00 a share and a three-year credit cycle that consumes about $6.45 a share of profit: a loss of $1.60 a share in year three, a further $0.30 loss in year four, and a reduced $1.45 profit in year five. That totals about $780 million after tax, roughly a fifth of today's equity. It also assumes about 10% dilution from raising capital near the bottom. Earnings then return to $2.00 with no growth. That gives about $25.75 a share, a little above tangible book value. The bear case sits above tangible capital because the bank's low-cost local deposit base, which earned about a 13% return on tangible equity in 2025, would still be worth something after a downturn. In a true replay of 2009 to 2011 with heavier losses, however, a shareholder could end up with tangible book value or less. Previous figures for this company were prepared on a different basis and are not comparable. Margin-of-safety price. We are fairly sure of the earnings level, because eight years containing a pandemic, a rate shock and several one-off losses still kept profit per share between about $1.50 and $3.00. The worst plausible outcome is a regional real estate collapse like 2009, combined with continued acquisitions paid in shares. The current balance sheet should survive that without failing, but shareholders could be diluted again. The things we are most likely to be wrong about are whether 2025's wider margin lasts, whether management keeps issuing stock for acquisitions, and the size of the next credit cycle. If all three go the wrong way, the shares are worth about tangible book value, in the low $20s. During the holding period, the bank pays about a $1 dividend and keeps growing its capital. The margin-of-safety price is $24 a share. That is about tangible book value, so the price assigns almost nothing to the deposit franchise. Earnings of about $2.19 would be about a 9% earnings yield on that price, with roughly 4% paid out as dividends. Over three to four years, a move toward the base-case value implies well above 20% a year, while the bear case implies roughly breaking even rather than a permanent impairment.

BANK CONVENTION - CFO MINUS CAPEX MINUS SBC IS NOT USED AND WOULD BE MEANINGLESS HERE. A bank's operating cash flow is driven by loan, deposit, trading and securities balances that constitute the business rather than working capital; capital expenditure is immaterial to earning power; and stock-based compensation (10,282 of equity-award expense in FY2025) is ALREADY charged against net income, so deducting it a second time double-counts it. Owner earnings = net income available to common shareholders = 318,183 (USD thousands). Build-up: net income 328,095 (us-gaap:NetIncomeLoss, tag 73) LESS 4,719 of Series I preferred stock dividends LESS a 3,275 deemed dividend on the 2025-09-15 redemption of all outstanding Series I preferred (carrying value 88,266, redeemed for 91,541) = 320,101, LESS 1,918 allocated to participating unvested share awards under the two-class method = 318,183 (us-gaap:NetIncomeLossAvailableToCommonStockholders, tags 351/352). Tag 73 unadjusted would give 328,095 / 121,437 = 2.7017 per share, overstating owner earnings per share by 0.0816, of which 0.0389 is the cash preferred dividend and 0.0270 the redemption deemed dividend; the company itself shows the 0.03 deemed dividend as a reconciling item in its operating-EPS table. Diluted weighted-average shares 121,437 thousand (tag 126). OE/share = 318,183 / 121,437 = 2.620149 stored as 2.6201. EPS TIE-OUT: PASSES. Reported diluted EPS 2.62 (tag 121). The tie-out passes in all twelve fiscal years FY2014-FY2025, maximum deviation 0.0043 per share. No restatement, sign flip, or thousands-versus-whole-shares unit change was found anywhere in this filer's series. NO NET-DEBT BRIDGE was applied: deposits of 23,798,430 and the remaining 100,000 of subordinated debt plus 25,800 of junior subordinated debentures are operating funding, not a capital-structure claim to net against equity value. CONTEXT AND QUALITY: FY2025 was a recovery year - net interest margin widened to 3.52% from 3.29% as 175 basis points of policy-rate cuts from September 2024 lowered deposit costs to 2.64%; GAAP return on common equity 9.12% (operating 9.44%, return on tangible common equity - operating 13.34%); return on assets 1.17%. Non-operating items were only 10,204 pre-tax and company-defined operating EPS was 2.71. Credit is clean: nonperforming assets 93,498 (0.33% of assets), net charge-offs 41,926 (0.22% of average loans), allowance for credit losses on loans 210,429 = 1.09% of loans and 2.31x nonaccruals. Consolidated common equity tier 1 ratio 13.44%, leverage ratio 10.28%. Book value per common share 30.17 versus TANGIBLE book value per common share 22.24 - a 7.93 per-share, 26.3% gap created by 925,119 of goodwill and 42,763 of core-deposit intangibles built up through acquisition. CAPITAL ALLOCATION AND SHARE ISSUANCE: FY2025 saw 2,380,952 shares (65,738) issued for the ANB Holdings acquisition (closed 2025-05-01; 301,000 of loans and 374,000 of deposits acquired), against 1,510,249 shares repurchased for 44,269 and 119,978 of common dividends (0.98 per share, a 37% payout). Across FY2021-FY2025 the company issued 34,095,366 shares worth 1,151,839 for acquisitions - 28.3% of shares outstanding at year end. THE KEY PER-SHARE TEST: from FY2016 to FY2025 total net income available to common compounded at 13.64% a year and total assets at 11.27%, but per-share earnings compounded at only 7.21% and tangible book value per share at only 6.19%, because diluted shares compounded at 5.99%. Growth measured at the company level materially overstates growth measured per share, and any forward projection must be built on the per-share record.

At a depository, operating cash flow is dominated by loan, deposit and securities balance movements that are the business itself; capital expenditure is immaterial to earning power; and stock-based compensation is already an expense inside net income, so subtracting it again would double-count it. Owner earnings = net income available to common = 244,626 (USD thousands). Tag 73 unadjusted would give 252,397 / 119,900 = 2.1051 per share, overstating by 0.0648, of which 0.0525 is the preferred dividend - exactly the failure mode the EPS tie-out is designed to catch. Diluted weighted-average shares 119,900 thousand (tag 126). OE/share = 244,626 / 119,900 = 2.040250 stored as 2.0403. EPS TIE-OUT: PASSES. Reported diluted EPS 2.04 (tag 121). NO NET-DEBT BRIDGE: deposits 23,460,975 are operating funding matched against earning assets. DISTORTIONS: FY2024 carried 40,268 of pre-tax non-operating items (8,702 tax benefit) - a loss on the sale of the manufactured-housing loan portfolio worth 0.18 per share, a loss on the sale of the FinTrust wealth business including a 5,100 goodwill write-down worth 0.03, an FDIC special assessment worth 0.01, and merger-related charges worth 0.06. Company-defined operating EPS was 2.30 versus 2.04 GAAP; operating return on common equity 7.97% versus 7.07% GAAP. The provision for credit losses of 50,951 included a 9,800 special provision for Hurricane Helene exposure in western North Carolina, fully released during 2025 as actual losses came in lower - so FY2024 owner earnings are depressed and FY2025 correspondingly flattered by that reversal. Net charge-offs 57,690 (0.32% of average loans), the decade's high, of which 11,000 related to the manufactured-housing sale. NO SHARES were issued for acquisitions in FY2024 - the only such year in the FY2021-FY2025 window - and diluted shares rose just 1.8%. Goodwill fell to 907,090 on the FinTrust disposal; book value per share 27.87 against tangible book value per share 20.00. Total assets 27,720,258; return on assets 0.90%; net interest margin 3.29%; consolidated common equity tier 1 ratio 13.27%.

Company-defined operating EPS was 2.11 versus 1.54 GAAP, and operating return on common equity 7.33% versus 5.34% GAAP - so 1.5359 understates FY2023 sustainable earning power by roughly a third. Provision for credit losses was also elevated at 89,430, including 15,756 of initial allowance on purchased credit-deteriorated loans acquired with Progress Financial (closed 2023-01-03) and First Miami (closed 2023-07-01). NO NET-DEBT BRIDGE: deposits 19,876,507 are operating funding, not a claim to net against equity. DISTORTION - THIS IS THE BIGGEST SHARE-ISSUANCE YEAR OF THE DECADE. The Reliant Bancorp merger closed 2022-01-01 and 16,571,545 shares valued at 596,376 were issued for acquisitions, lifting diluted shares 21.2% year-over-year from 88,097 to 106,778 thousand. Total net income rose only 2.8% (269,801 to 277,472) against that 21.2% share increase, so per-share earnings FELL from 2.97 to 2.52 - a clean illustration that this bank's asset growth is not per-share value creation. Goodwill jumped from 452,007 to 751,174, and tangible book value per share FELL from 18.42 to 17.13 even as book value per share rose from 23.63 to 24.38; the 7.25 per-share gap between book and tangible book is purchased goodwill and core-deposit intangibles. GAAP return on common equity 9.54% (operating 10.07%); return on assets 1.16%. Other comprehensive loss of 303,012 was recorded as rates rose, driving accumulated other comprehensive income to negative 329,488 - unrealised securities marks, not credit losses. Total assets 24,008,884. Merger-related and other charges 19,375 pre-tax; company-defined operating EPS 2.66 versus 2.52 GAAP.

BANK CONVENTION - THE CFO MINUS CAPEX MINUS SBC FORMULA IS NOT USED AND DOES NOT APPLY HERE. For a depository institution, operating cash flow is dominated by movements in loans, deposits, trading and securities balances that are the business itself rather than working capital, capital expenditure is immaterial to earning power, and stock-based compensation is ALREADY fully expensed inside net income, so deducting it again would double-count it. Owner earnings are therefore net income available to common shareholders. Owner earnings = 261,269 (USD thousands). Build-up: net income 269,801 (us-gaap:NetIncomeLoss, tag 73) LESS preferred stock dividends 6,876 on the Series I non-cumulative perpetual preferred issued in 2020 (Dividends, Preferred Stock, Cash, per the consolidated statement of changes in shareholders equity) = 262,925, LESS 1,656 allocated under the two-class method to unvested share-based payment awards carrying nonforfeitable dividend rights, = 261,269, which is the filer's own tagged us-gaap:NetIncomeLossAvailableToCommonStockholdersBasic / ...Diluted (tags 351 / 352). TAG 73 IS NOT INCOME AVAILABLE TO COMMON: using it unadjusted would have produced 269,801 / 88,097 = 3.0625 per share, overstating the true figure by 0.0968 per share, of which 0.0780 is the preferred dividend. Diluted weighted-average shares 88,097 thousand (us-gaap:WeightedAverageNumberOfDilutedSharesOutstanding, tag 126). OE/share = 261,269 / 88,097 = 2.965697 stored as 2.9657. Source accession 0000857855-22-000006 (FY2021 10-K, filed 2022-02-25); the identical values repeat in 0000857855-23-000005 and 0000857855-24-000010, so deduping by filing date changes nothing, and no restatement, sign flip or unit change was found in any period. Share counts are tagged in whole thousands in every accession examined (FY2016 through Q2 FY2026) - no thousands-versus-whole-shares defect. NO NET-CASH OR NET-DEBT BRIDGE is appropriate for this issuer: deposits of 18,241,179 and borrowings are operating funding matched against earning assets, not a capital-structure claim to be netted against equity value. CONTEXT: FY2021 was the strongest year of the decade - GAAP return on common equity 13.14%, return on assets 1.37%, net interest margin 3.07%, and a 37,550 RELEASE of credit-loss provision as pandemic reserves were unwound, which flattered pre-tax income; company-defined operating EPS was 3.09 versus 2.97 GAAP. Book value per common share 23.63, tangible book value per common share 18.42. Total assets 20,946,771; goodwill 452,007. ACQUISITION AND SHARE-ISSUANCE CONTEXT: this is a serial stock-funded acquirer. In FY2021 it issued 2,863,734 shares valued at 95,525 for the Aquesta transaction. Across FY2021-FY2025 it issued 34,095,366 shares worth 1,151,839 for acquisitions - 28.3% of the 120,598,266 shares outstanding at 2025-12-31. Consequently total net income available to common compounded at 13.64% a year from FY2016 to FY2025 while per-share earnings compounded at only 7.21%, the 5.99% annual growth in the diluted share count being the entire difference. Any growth rate read off total assets or total earnings materially overstates per-share compounding.

Net income 67,821 (USD thousands; tag 73) LESS preferred dividends 0 (tag 1905) LESS 571 allocated to participating unvested awards under the two-class method (tag 1811) = 67,250 (tag 351). Diluted weighted-average shares 73,259 thousand (tag 126). OE/share = 67,250 / 73,259 = 0.9180. EPS TIE-OUT PASSES: reported diluted EPS 0.92 (tag 121). DISTORTION: income tax expense 105,013 includes a 38,199 non-cash charge for remeasuring the deferred tax asset under the 2017 Tax Cuts and Jobs Act (about 0.52 per share); excluding it OE/share would be about 1.44. Year is excluded from the valuation anchor as non-recurring. Source: FY2017 10-K, accession 0001144204-18-011220; identical in 0000857855-19-000021 and 0000857855-20-000011.

United Community Banks, Inc. (NYSE: UCB). FY ended 2016-12-31. BANK CONVENTION (consistent with stored FY2021-FY2025 series): for a depository, CFO is driven by loan, deposit and securities flows that are the business itself, capex is immaterial and SBC is already expensed in net income, so owner earnings = net income available to common shareholders. Net income 100,656 (USD thousands; us-gaap:NetIncomeLoss tag 73) LESS preferred dividends 21 (tag 1991) = 100,635 (us-gaap:NetIncomeLossAvailableToCommonStockholdersBasic, tag 351; no participating-securities allocation, tag 1811 = 0). Diluted weighted-average shares 71,915 thousand (tag 126). OE/share = 100,635 / 71,915 = 1.3994. EPS TIE-OUT PASSES: reported diluted EPS 1.40 (tag 121). Pre-tax income 162,992, income tax 62,336 (pre-2018 35% federal rate). Source: FY2016 10-K, accession 0001571049-17-001658; identical in 0001144204-18-011220 and 0000857855-19-000021; no restatement.

Sales geography
South: Georgia, South Carolina, North Carolina, Tennessee, Florida and Alabama (United States)
Historical growth strategy
Serial acquirer of community banks across the Southeast, paying largely in its own stock (Four Oaks, Navitas, Three Shores, Aquesta, Reliant, Progress, First Miami, ANB), supplemented by organic loan and deposit growth from retained earnings and expansion of specialty lending such as equipment finance and SBA lending.
Chart analysis
A chartist would see a long sideways range: the shares have spent most of the past several years oscillating between the low $20s and the mid-$30s, with a sharp break toward the bottom of that range during the spring 2023 regional-bank sell-off, a recovery rally into late 2024, and choppier trading since. Repeated failures near the mid-$30s mark that area as resistance, while the low-$20s, where the 2023 decline halted, act as support. Absent a decisive breakout above the upper band on rising volume, a technician would call the pattern range-bound rather than trending.
