First Citizens BancShares is a family-controlled Raleigh bank whose owner earnings per share rose from roughly $19 in 2016 to $165 in 2025, almost entirely through two purchases of distressed institutions, CIT in 2022 and Silicon Valley Bank in 2023, plus heavy buybacks. That record overstates repeatable earning power. Profit in 2023 was inflated by a one-time, largely untaxed $9.8 billion bargain-purchase gain on the SVB deal; excluding it leaves about $110 per share of real 2023 earnings. Recent results are further cushioned by purchase-accounting income that mechanically fades ($481 million in 2024, $251 million in 2025) and by repurchases funded from surplus capital now nearly drawn down to management's 10-10.5% capital target. We therefore normalize earning power near $185 per share. The base case grows that 6% a year on a 12.5% return on equity, counting only the cash left after funding balance-sheet growth, discounted at 10%: about $2,186. The bear case assumes charge-offs rise well above today's unusually low 29 basis points, accretion income ends, and returns fall to 10%, giving roughly $1,291, about three-quarters of book value. The bull case assumes the efficiency ratio reaches the mid-50s with returns near 14%: about $3,646. The margin-of-safety price is anchored on the bear case rather than the base, because the post-SVB mix of venture and technology lending, general office property, equipment finance and factoring has never been tested through a full downturn here, funding is more rate-sensitive than a traditional branch deposit base, and a $33 billion note owed to the FDIC matures in 2028. At roughly 85% confidence in that floor, a 25% discount puts the margin-of-safety price near $960. Capital and liquidity are strong, and the family's long habit of acquiring troubled banks cheaply is an option our estimates assign no value to.
Fiscal yearOwner's earningsMethodology
2025 $165.24 ▼
Bank basis: OE = net income available to common (SBC already expensed; not deducted again) = $2,206M net income - $57M preferred dividends = $2,149M; / 13.002M diluted weighted-avg shares = $165.28, ties to reported diluted EPS of $165.24. Down 21% from 2024 on lower net interest income ($6,814M vs $7,143M), higher noninterest expense ($6,056M vs $5,735M) and a higher provision ($514M vs $431M). Purchase-accounting accretion fell to $251M from $481M. Diluted share count fell on $3.03B of Class A buybacks. Source: FY2025 10-K (accession 0000798941-26-000015).
2024 $189.41 ▼
Bank basis: OE = net income available to common (SBC already expensed; not deducted again) = $2,777M net income - $61M preferred dividends = $2,716M; / 14.343M diluted weighted-avg shares = $189.37, ties to reported diluted EPS of $189.41. First full year owning SVB; no bargain-purchase gain this year. Includes $481M of purchase-accounting accretion in net interest income, a benefit that runs off over time. Source: FY2024 10-K (accession 0000798941-25-000010).
2023 $109.97 ▼
Bank basis, NORMALIZED to exclude the one-time SVB bargain-purchase gain, which is not recurring owner earnings. Reported: $12,077M pretax - $611M tax = $11,466M net income; less $59M preferred dividends = $11,407M; / 14.540M diluted shares = $784.51 reported diluted EPS. Normalizing: pretax ex-gain = $12,077M - $9,808M bargain-purchase gain = $2,269M; the gain was non-taxable (confirmed in the 10-K effective-tax-rate reconciliation), so the full $611M tax stays against ex-gain income: $2,269M - $611M = $1,658M; less $59M preferred = $1,599M; / 14.540M diluted shares = $109.97/share. Also a stub year: SVB owned only from 27 Mar 2023, with a large day-two provision on acquired non-PCD loans. Source: FY2023 10-K (accession 0000798941-24-000018).
2022 $67.40 ▼
Bank basis: OE = net income available to common (SBC already expensed; not deducted again) = $1,098M net income - $50M preferred dividends = $1,048M; / 15.550M diluted weighted-avg shares = $67.40/share. Ties to reported diluted EPS of $67.40. Caveat: the Jan 2022 CIT merger put a $431M non-taxable bargain-purchase gain into this year, offset by day-one CECL provisioning and integration costs; ex-gain owner earnings would be roughly $39.68/share. Source: FY2022 10-K (accession 0000798941-23-000017).
2021 $53.88 ▼
Bank basis: OE = net income available to common (SBC already expensed in net income; not deducted again) = $547.5M net income - $18.5M preferred dividends = $528.9M; / 9.816M diluted weighted-avg shares = $53.88/share. Ties to reported diluted EPS of $53.88. Source: FY2021 10-K (accession 0000798941-22-000014).
