Business condition attached to the margin of safety Two consecutive quarters in which earnings before inventory and floorplan swings are positive (a sign the farm-equipment downturn has bottomed), and the lenders' covenant waivers (currently running to January 2027) are either extended again or no longer needed.
Titan Machinery is one of the largest dealers of Case IH, New Holland and Case Construction equipment, running about 144 stores across ten U.S. states, four European countries (Bulgaria, Germany, Romania, Ukraine) and southeastern Australia. It earns money selling new and used farm and construction machines, renting them, and selling parts and service under dealer agreements with CNH. Europe and Australia together were 23% of fiscal 2026 revenue. How we measure earnings. We start from operating cash flow, then remove the swings caused by inventory, floorplan (manufacturer-financed inventory) and other working capital, and subtract stock compensation and the capital spending needed to keep stores and rental fleets running. This matters a lot for a dealer: in fiscal 2026 operating cash flow was a healthy $137 million, but that came from selling down $236 million of inventory, not from profits. Stripped of that, the business lost about $2.04 per share in fiscal 2026 and about $2.01 in fiscal 2025, after peaking at about $5.13 in fiscal 2023 and $4.95 in fiscal 2024. Over the eight years from fiscal 2019 to fiscal 2026, which contain a pre-boom trough, the 2022-2024 boom and the current downturn, the median is about $1.55 per share, and that is the normal earnings level we use. Fiscal 2017-2018 were left out because they describe a business half its present size. Trailing-year earnings growth was roughly flat (-$2.01 to -$2.04), and our first-year assumption is also roughly flat, so no recovery is assumed until it shows up in the results. Titan's own filings show the second quarter of fiscal 2027 revenue of $496 million, below the prior year's $546 million, and a widening six-month loss, so we are not assuming the bottom has passed. Base case, about $20 per share: losses of roughly $2.00 per share this year, about $0.50 next year, then a return to the $1.55 normal level from the third year on, held flat indefinitely. The evidence for the return is the company's own record: after the FY2018 loss of $0.70 per share, earnings were back to $1.54 the next year, and the dealer network with CNH has been in place for decades. We give no credit for growth. Titan does acquire dealerships (for example about $100 million and $108 million in fiscal 2023 and 2024), but it skipped some years entirely and financed them with debt, so that is not a steady, self-funded process we can count on. Bear case, about $1.60 per share: the downturn deepens, with losses of about $2.50 and $2.00 per share and a further $1.00 loss in year three, breakeven in year four, and then only about $0.50 per share a year afterward. This is close to the weak fiscal 2017-2020 record. Named pressures behind it: lenders have waived fixed-charge coverage covenants since January 2025 and the CNH waiver runs only to January 2027, so the company currently depends on lender goodwill; floorplan lines total $1.5 billion; interest paid was $42.9 million in fiscal 2026; and the 10 Ukrainian stores operate under a Russian military occupation, with currency controls and a real prospect of write-offs. CNH can also end Case Construction dealer agreements on 120 days' notice. Bull case, about $37 per share: a swift recovery (-$1.50, $1.00, $3.00) and then $2.50 per share a year, below the $4-5 earned in fiscal 2022-2024 but above the normal level. This assumes the demonstrated pattern that dealers earn well in good farm years and that the store base built through fiscal 2023-2024 (Australia, Heartland Ag) adds earning power on the same footing as before. We do not assume higher crop prices or share gains. Margin-of-safety price. Because the business is cyclical, leveraged and currently loss-making, with a bear value far below base, the margin-of-safety price is set roughly 55% below the base case, and it applies only once there is evidence that the downturn has stopped getting worse. What would make this wrong: a longer or deeper farm downturn than the FY2014-2020 experience; lenders declining to extend covenant waivers beyond January 2027; the loss of CNH dealer rights; or a Ukraine write-off. On the other side, a quick recovery in machinery demand would push results toward the bull case. Note: the second-quarter fiscal 2027 quarterly report text was not available to us, so the latest-quarter figures come from the structured financial data only. Titan's tags for owner earnings were reconciled to net income plus non-cash charges with no gap in every year.
