Business condition attached to the margin of safety A full fiscal year of positive owner earnings (operating cash flow after removing working-capital swings, stock compensation and equipment spending), with revenue above roughly $60 million and the proprietary MAGiC catheter and Map-iT disposables clearly driving recurring sales, achieved without a further large equity raise.
Stereotaxis makes robotic magnetic navigation systems (Genesis and the newer GenesisX) that let electrophysiologists steer catheters inside the heart with magnets during ablation procedures for arrhythmias. It earns money two ways: selling the capital systems to hospitals ($10.2 million in 2025) and selling the recurring items those systems consume, meaning catheters, service contracts, software and accessories ($22.2 million in 2025). Total revenue was $32.4 million in 2025, about the same as the $32.2 million it earned in 2016. The company has lost money every year of its history and has paid for those losses by repeatedly selling new shares. What the business earns for its owners. We measure owner earnings as operating cash flow, with working-capital swings removed, stock-based pay treated as a real cost, and only the equipment spending needed to keep the business running deducted. On that basis Stereotaxis lost about $13.7 million in 2021, $20.3 million in 2022, $20.7 million in 2023, $21.3 million in 2024 and $17.9 million in 2025, or roughly 18 to 27 cents per share each year. The biggest single item is stock-based pay, about $10 million a year since 2021, much of it from a large 2021 performance award to the CEO. Its gross margin, $17.1 million in 2025, does not cover even its cash operating costs, and the 10-K says management expects 2026 operating expenses to again exceed gross margin. We take the median of 2021 to 2025, the period covering the current product line and pay structure, as the starting point: a loss of about $20 million a year. Because both full-year 2025 and the first half of 2026 (an annualized loss of about $16.5 million) came in better than that median, we start the base case at a loss of $16.5 million. Owner earnings improved about 16% in 2025; the base case assumes only about an 8% improvement in its first year, because first-half 2026 revenue fell 14% ($14.0 million against $16.3 million a year earlier). Accounting judgements. Non-cash charges are added back: a $2.2 million 2025 increase in the estimated earnout owed to the former owners of Access Point Technologies (acquired July 2024, bringing the Map-iT diagnostic catheters), and $0.9 million of amortization of the intangibles bought in that deal. Those earnouts are paid in new shares, so they dilute holders even though they are not a cash cost; together with stock pay, share count has grown from 76 million in 2022 to about 100 million by mid-2026. Operating-lease payments are kept as a cash cost. Sitting ahead of common shareholders is Series A convertible preferred stock with a $32.7 million liquidation preference (at the end of 2025), growing 6% a year through unpaid dividends and convertible into common at $0.65 per share. We have not subtracted this claim, but it means common holders would receive nothing in a sale or wind-down unless the business is worth more than $32.7 million, and it adds roughly 50 million shares if converted. The key event of 2026. Most catheters used with the magnetic systems were made by Johnson & Johnson's Biosense Webster, and that supply obligation ended on December 31, 2025. Stereotaxis's own MAGiC ablation catheter was cleared in Europe in 2025 and approved in the U.S. in early 2026 as the replacement. This cuts both ways: catheter sales that used to belong to J&J can now become Stereotaxis revenue at the roughly 67% margin its disposables earn, but any hospital that stops using the systems while switching catheters reduces procedure volume. The first-half 2026 revenue decline suggests the transition is costing volume so far. Bear case (about $-1.32 per share). The J&J catheter gap and a slow MAGiC ramp keep revenue near $30 million. Losses stay around $18 million a year, roughly the 2025 level, for ten years, funded as in the past by selling new shares. The present value of those losses, discounted at 6%, is about $132 million, or $1.32 per current share. A negative value here means that on this path the business never returns cash to owners, and each current share would bear roughly that much in future dilution; the preferred's senior claim leaves nothing for common holders if the company is instead sold or wound down. Base case (about $-0.77 per share). Losses narrow by about $1.5 million a year, from $16.5 million in year one to about $3 million in year ten, as the company's own MAGiC catheter and Map-iT products raise the share of higher-margin disposables (35% of revenue in 2025, up from 30%) and the 2021 CEO award runs off (stock pay fell to $3.7 million in the first half of 2026 from $4.9 million a year earlier). This is the median path because revenue has shown no lasting growth over a decade: it was $35 million in 2021, $27 million in 2023 and 2024, and $32 million in 2025. Even this improving path does not reach breakeven, which at current gross margins would need roughly $64 million of revenue, about double today. We give no value after year ten because nothing in the filings shows the business turning profitable. The present value is about $77 million of losses, or $0.77 per share. Bull case (about $0.06 per share). Everything the company controls works: MAGiC captures the catheter revenue J&J used to book, Map-iT and the GenesisX system (system revenue grew 18% in 2025, with $11.4 million of contracted system revenue still to be recognized at year end) push revenue up 15% a year to about $100 million by year ten, gross margin rises from 53% to 58%, and cash costs grow 3% a year. Owner earnings turn positive around year eight and reach about $13 million by year ten, hold there for another decade as the installed base keeps buying catheters and service, then fade over the following ten years as the systems age. Heavy losses in the early years almost cancel the later profits: the present value is about $9 million, or about 6 cents per share after the preferred converts. What the shares appear to be worth. On the company's record and the drivers we can point to, the common shares have little or no intrinsic value. The only positive outcome depends on revenue roughly tripling, and nothing in the company's history shows it can sustain that kind of growth. A margin-of-safety price applies only once the business shows a full year of positive owner earnings with revenue above about $60 million and recurring catheter sales driving it. If that happened, a business earning around $13 million a year on roughly 150 million fully diluted shares would be worth about $0.80 per share, and given the small size, the preferred overhang and the dependence on one technology, the estimate applies a margin of safety of about 60%, which puts the margin-of-safety price near $0.30. What would make this wrong. A fast MAGiC adoption that brings former J&J catheter revenue in-house, a large system order backlog converting into new placements, or a sharp cut in stock pay could narrow losses much faster than the base case assumes. The company had $10.5 million of cash at June 30, 2026, no debt, and management states that it believes this cash is enough for at least twelve months. Against a cash burn of about $14 million a year in 2025, further share sales look likely.
