Business condition attached to the margin of safety The fiscal 2026 annual report (year ended September 2026) shows full-year owner earnings of at least about $85 million (roughly $0.70 per diluted share), confirming the post-restructuring cost base held through the seasonally weak fourth quarter.
Sonos designs and sells premium wireless home audio: soundbars such as Arc Ultra (launched October 2024), portable speakers such as Move 2 and Roam 2, and the software platform that ties a household's speakers together. Products are built by contract manufacturers (U.S.-bound products come mainly from Vietnam and Malaysia) and sold through retailers, custom installers, e-commerce sites and Sonos's own website. In fiscal 2025 (year ended September 27, 2025) revenue was $1.44 billion: 64% from the Americas (the United States alone $856 million), 31% from Europe, the Middle East and Africa, and 5% from Asia Pacific. What the business has actually earned. We measure the cash a business produces for its owners after the capital spending needed to keep it running, and we count stock-based pay as a real cost. On that basis Sonos's record is thin. Across fiscal 2016 to 2025 it produced meaningful cash for owners in only two years: fiscal 2021 ($155 million, about $1.10 a share, during the pandemic boom in home spending) and fiscal 2022 ($81 million, $0.59). In the other years it was roughly break-even or negative, including a loss of $61 million (minus $0.50 a share) in fiscal 2024 and minus $9 million (minus $0.08) in fiscal 2025. The main reason reported operating cash flow looks healthier than this is stock compensation, which ran $76-84 million a year in fiscal 2022-2025, about 4-6% of revenue. Revenue fell three years in a row, from $1.75 billion in fiscal 2022 to $1.44 billion in fiscal 2025. The company blames fiscal 2025 partly on the problems that followed its redesigned app in May 2024. What changed. Sonos cut its workforce by about 6% in August 2024 and about 12% in February 2025, trimmed its product roadmap, and changed chief executive in January 2025. The first nine months of fiscal 2026 (to June 27, 2026) show the effect. Revenue rose 4% to $1.20 billion, gross margin rose from 43.7% to 47.2%, operating expenses fell from $521 million to $467 million, and stock compensation fell from $65 million to $46 million. Operating income swung from a $16 million loss to a $100 million profit. On our basis the nine months produced roughly $125 million of cash for owners, against about $21 million a year earlier. Because three quarters in a row point the same way, and the cost cuts are documented, we let this new cost base set the earnings level rather than the older break-even average. We do not assume the 47% gross margin lasts. The published filings we could read did not fully explain it, so the base case uses about 45%, near the middle of the 42-47% range of fiscal 2019-2025. Accounting choices. We took out swings in inventory and payables (for example the $277 million inventory build in fiscal 2022 and its later unwinding) because they are timing, not earning power. Inventory write-downs stay in as a cost. Non-cash restructuring write-offs and amortization of acquired technology (the Mayht acquisition) are added back. Product development of $215-305 million a year (fiscal 2020-2025) is already charged in full, and that spending is what replaces the acquired technology as it ages. Every year from fiscal 2016 to 2025 ties to the audited cash-flow statements. Base case, $10.36 a share. Normalized cash earnings of about $87 million ($0.72 a share), from about $1.5 billion of revenue at a 45% gross margin and today's lower cost base. That grows about 2% a year for ten years, in line with Sonos's 2019-2025 revenue record. It then holds flat for another ten years, supported by the installed base of households that add and replace speakers and by a product line renewed continually since the company was founded in 2002. It fades to nothing over the ten years after that. Bear case, $1.36 a share. The fiscal 2026 margin gain proves temporary. Gross margin returns to fiscal 2025's 43.7%, the 2023-2025 revenue declines resume, and the tariffs on goods imported from Vietnam and Malaysia that the company warns about raise costs. Cash earnings start near $0.20 a share and shrink 5% a year, ending within fifteen years. Sonos has no borrowings, about $207 million of cash at June 2026, and an undrawn $80 million credit line running to October 2030, so debt does not make this case worse. Bull case, $17.35 a share. The fiscal 2026 run rate of about $1.00 a share holds at a 47% gross margin, and revenue grows at the company's ten-year pace of about 5% a year. Earnings grow at that rate for ten years, hold flat for ten, then fade. Left out. Sonos has won patent rulings against Google: an International Trade Commission finding upheld on appeal, and a jury verdict that the Federal Circuit reversed in part and sent back in 2025. The outcome is still being litigated, so we give it no value. We do not add the cash pile on top of the cases either, because the interest it earns is already in the cash flows. What would make this wrong. The value rests on the post-restructuring cost base holding while products stay competitive against Apple, Amazon, Google, Samsung's Harman brands, Sony, Bose and others. If the lower research spending slows launches, or the fourth quarter gives back the gains, the business drifts toward the bear case. Because the new earnings level has been seen for only three quarters, the margin-of-safety price applies only once the full fiscal 2026 results confirm it.
