SmartFinancial is a Tennessee-based community bank holding company operating across Knoxville, Chattanooga, Nashville, Memphis, and Birmingham/Atlanta, built through a combination of organic loan and deposit growth and disciplined bank acquisitions. The bank's earnings power is best measured by owner earnings: net income adjusted to add back non-cash provisioning for credit losses and add back depreciation and intangible amortization, while subtracting stock compensation, the actual credit losses realized during the year (net charge-offs), and the ongoing cost of maintaining its branches and systems. On this basis, owner earnings per share ran between roughly $1.90 and $3.43 over 2019-2025, a period spanning a full interest-rate cycle (near-zero rates in 2019-2021, sharp rate hikes and margin compression in 2022-2023, and margin recovery in 2024-2025). We anchor the valuation on the median of that period, about $2.34 per share, rather than the most recent, elevated year, to avoid valuing the bank at a cyclical high. 2025 was a strong year: net income rose about 39% as the bank's lending margin expanded from 3.04% to 3.29% while no major acquisition closed, reflecting normal repricing as older, lower-rate loans and securities rolled into higher-yielding replacements. That improvement has continued into the first half of 2026. But margin expansion of this kind is cyclical rather than permanent, so our base case assumes growth slows sharply from the ~46% pace of 2025 to roughly 9% in the coming year and settles into mid-single-digit growth thereafter, consistent with continued expansion in the bank's Southeast markets rather than a repeat of the recent margin tailwind. Our base case values the shares at about $70. Our bear case, roughly a one-in-ten outcome, assumes the bank's commercial real estate exposure (currently just over half of the loan book) turns into a credit problem: net charge-offs, which already quadrupled from about $0.6 million a year in 2019-2022 to roughly $2.7-3.2 million in 2024-2025, continue climbing, provisioning rises sharply, and earnings growth stalls or reverses for two to three years before stabilizing at a lower, more conservative level. That case values the shares at roughly $36. Our bull case, a one-in-ten better outcome, assumes the bank continues its track record of accretive, well-integrated acquisitions in growing nearby metro markets, sustains its improved lending margin, and grows fee income faster than its loan book — valuing the shares at roughly $95. In all three cases, a meaningful share of the value (roughly two-thirds) comes from what the bank is projected to earn beyond the next ten years, reflecting the fact that a bank's loan book continually renews itself as new loans replace maturing ones, funded by an existing deposit base, with the cost of maintaining branches and systems already charged against the earnings we use. We limited that long-run assumption to a modest 1% annual growth rate to avoid over-crediting the business for growth that hasn't been demonstrated over a full cycle. Credit quality today is healthy — problem loans are under 0.25% of total assets — but the recent rise in realized loan losses is worth watching, as is the bank's concentration in commercial real estate lending. The margin-of-safety price is meant to cushion this risk rather than assume today's benign credit conditions persist indefinitely.

NI=$50,347K; Provision=$6,700K; NCO=$3,183K ($3,739K chargeoffs − $556K recoveries, continued rise in realized credit losses); D&A=$5,000K; AmortIntang=$2,150K; SBC=$1,939K; capex=$2,389K, revenue growth=$35,304K, capex_ratio=3.62%, growth capex=$1,278K, maintenance capex=$1,111K; OE=$57,964K; diluted shares=16,896,519; OE/sh=$3.43. Cross-check: CFO-based estimate (CFO $61,724K − SBC − maintenance capex = $58,674K) is within 1.2% of this NI-based figure, confirming reconciliation. Tax-equivalent NIM expanded to 3.29% (from 3.04% in 2024, 2.97% in 2023) as fixed-rate assets repriced upward and no major M&A closed in 2025 (merger-related expense near zero), so the jump is organic margin recovery, not a one-time item.
