Business condition attached to the margin of safety Operating cash burn below roughly $20 million a year for two consecutive quarters after the REGAL final analysis, or a board commitment to return remaining cash to shareholders.
SELLAS Life Sciences is a clinical-stage cancer drug developer with no approved products and no sales. Its lead drug, galinpepimut-S (GPS), a vaccine-style immunotherapy aimed at the WT1 protein, is in the Phase 3 REGAL trial as maintenance therapy for acute myeloid leukemia (AML) patients in second remission. REGAL is fully enrolled; its final overall-survival analysis is triggered by the 80th patient death, which as of the August 2026 quarterly report was approaching but had not yet occurred, and no efficacy result has been released. Its second drug, SLS009 (tambiciclib), a CDK9 inhibitor licensed from GenFleet in 2022 for $10 million, is in a Phase 2 trial in newly diagnosed AML (28 of 80 patients enrolled at mid-2026) with early work in pancreatic cancer. What the business has earned: in every year of the last ten it has consumed cash. Owner earnings (operating cash flow with working-capital timing removed, less stock-based pay) were negative every year, ranging from about -$13.6 million to -$36.8 million. The only revenue ever booked was $10.5 million from 2020 to 2022 under a Greater China license of GPS to 3D Medicines. Over 2021-2025, the period that reflects the current pipeline, the median annual cash burn was about $30 million. In 2025 burn fell about 13% to $26 million, but the first half of 2026 ran at roughly $35 million a year as research spending rose (second-quarter R&D of $6.3 million versus $3.9 million a year earlier). The company has funded this by issuing shares: the share count rose from about 28 million in 2023 to about 202 million at June 30, 2026. That dilution is what raised cash to $138.3 million at June 30, 2026, with no debt. How we value it: we credit only earning power that already exists or is contractually secured. A positive REGAL result, FDA approval, GPS sales, SLS009 success, and the remaining $191.5 million of potential 3D Medicines milestones (currently in a disputed arbitration SELLAS started in December 2023) are all real possibilities. None has happened, so none is credited in any case. What remains is the cash, less what the company will spend. The ten-year record shows cash raised is spent on development, not returned to shareholders. Bear case ($0.00 per share): spending keeps rising with the larger SLS009 program and the pancreatic cancer work, to about $42 million a year. At that pace today's cash is used up by early 2029, and nothing that can be counted is left. The company has no debt, so the value ends at about zero rather than below it. Base case ($0.10): about $35 million of burn over the next year, the current run rate, as REGAL reads out and SLS009 enrolls. After that, burn falls back to the $30 million historical median as REGAL trial costs roll off. Spending continues until most of the cash is gone. Discounted at 6%, about $20 million of today's cash is left for current shareholders. Bull case ($0.25): after the REGAL final analysis, GPS spending largely ends and burn drops to about $20 million a year, the level last seen in 2020-2021. The company spends about three more years on SLS009 and preserves a larger share of its cash, about $50 million in present value. Per-share values use the roughly 202 million shares outstanding at June 30, 2026. Remaining warrants carry exercise prices of $0.75 to $2.00, above these per-share values, so exercising them would add cash rather than dilute. What would make this wrong: the value of these shares turns heavily on the REGAL result, which is a binary event we cannot price from the evidence. A clearly positive overall-survival result followed by an FDA filing would call for a fresh valuation with revenue in it. A failed trial would make the question simply how much cash management keeps. Because the cash is steadily being spent, a low price alone does not establish a margin of safety. The margin-of-safety price assumes spending is first cut or cash is committed to shareholders.
