Business condition attached to the margin of safety At least two consecutive quarters of positive owner earnings (operating cash flow excluding working-capital swings, less stock-based compensation and capital spending) without reliance on one-time milestone or licence income.
Syndax Pharmaceuticals is a cancer drug company that has just moved from research to selling medicines. It has two approved products. Revuforj (revumenib), a once-daily pill that blocks a protein called menin, was approved in November 2024 for relapsed or refractory acute leukemia with a KMT2A rearrangement, and in October 2025 for relapsed or refractory acute myeloid leukemia (AML) with an NPM1 mutation. Syndax sells it itself in the United States and pays AbbVie a royalty on sales. Niktimvo (axatilimab), an antibody for chronic graft-versus-host disease after at least two earlier treatments, launched in January 2025. Incyte sells it, and Syndax gets 50% of the US profit, which works out to about 30% of net sales. In November 2024 Syndax sold Royalty Pharma a 13.8% royalty on US Niktimvo sales for $350 million, with total payments capped at $822.5 million. That royalty is a real cost for years to come. Earnings history. We measure the business by the cash it produces for owners: operating cash flow, less swings in working capital, less stock-based pay (a real cost to shareholders), less upkeep capital spending. On that basis Syndax has lost money in every year of the past decade except 2021, when Incyte paid a one-time licence fee. The loss was $331 million in 2024 and $291 million in 2025, or $3.87 and $3.36 per share. Ten years of losses from a company that had nothing to sell until late 2024 do not describe the business today. So we did not anchor on the historical average. We started from the sales level the two products had actually reached by the second quarter of 2026: Revuforj at about $219 million a year and Niktimvo at about $241 million a year (about $72 million a year to Syndax), both from the June 2026 quarter. First-half 2026 spending, and the company's guidance of about $400 million of 2026 operating expenses before stock pay, show that the business still loses roughly $175 to $210 million a year at that sales level. Most of that is research spending on first-line leukemia trials that combine revumenib with standard chemotherapy, and on axatilimab trials in lung scarring (idiopathic pulmonary fibrosis) and in first-line graft-versus-host disease. How we treated the balance sheet. The company is burning cash, so we valued it as cash and investments ($575 million at June 30, 2026) less the $250 million of 2.25% convertible notes due June 2031 issued in June 2026, plus the future operating cash flows before interest, discounted at 6%. The notes convert at about $24.76 a share, well above every case below, so we treated them as debt, not as extra shares. Accumulated tax losses (about $563 million federal) mean we assume no cash taxes over the period that matters. Base case, about -$2.16 per share. Sales stay at the June 2026 quarter's run-rate. We give no credit for further uptake, the first-line trials or the new axatilimab uses, because none of that has happened yet. Research spending stays near its current level for about two years while the running trials finish, then falls to what is needed to support two marketed drugs (about $85 million a year) by 2030. Selling and administrative costs stay near $160 million a year. On those facts the business roughly breaks even from 2030, but burns about $600 million before it gets there. That is more than its cash net of the notes. Revuforj's core patents run to mid-2037 (possibly longer if patent-term extension is granted). Niktimvo's biologic exclusivity runs to August 2036, with later method patents. Sales fade after those dates, and Syndax has no record yet of building replacement drugs from its own research. In this case, the company appears to be worth about $190 million less than nothing: at today's sales it cannot pay for its current plans without new money from shareholders or lenders. Bear case, about -$3.44 per share. Competition hurts. Komzifti (ziftomenib, Kura Oncology) was approved in November 2025 for adults with relapsed NPM1-mutated AML, and other menin inhibitors are in late-stage trials. Revuforj sales start from the lower first-half 2026 average and fall about 10% a year for three years. The first-line and new-indication trials fail, so their cost buys nothing. After cutting costs the business still loses about $20 million a year until the patents expire. In this case the company appears to owe about $300 million more than it is worth. Bull case, about $6.67 per share. Uptake keeps growing within the uses already approved. The NPM1 label was only about three quarters old in mid-2026. Revuforj reaches about $315 million a year and Niktimvo about $305 million by 2029. We charge roughly $40 million of sales-based milestones that Syndax would owe to the drugs' original licensors. Trial spending winds down as studies finish, the business earns about $100 million a year through the patent period, and patent-term extension adds about a year of Revuforj exclusivity. Even this case gives no credit for first-line approval, which would be the biggest source of value if it happens. What would make this wrong. The main upside we have deliberately left out is success in the first-line leukemia trials, a much larger group of patients than relapsed disease. Positive late-stage data and approval would change this valuation a lot. The main risk is that research spending keeps going without results while newer menin inhibitors compete on price or safety. One figure we could not fully check from the filings: the Royalty Pharma liability is booked with interest of about $34 million in 2025, while cash payments are 13.8% of US Niktimvo sales. We used the cash royalty rate. What the shares appear to be worth. On what is secured today, the business is not yet worth its cash. The whole case for owning the shares depends on sales continuing to grow and on the trials in progress succeeding. The margin-of-safety price applies only once the business shows it can support itself: at least two straight quarters in which cash generated, after stock-based pay, is positive without one-time milestone income. At that point the margin-of-safety price is about $3.50 a share, set to leave a wide margin for a two-product company that faces competition and patent expiry.
