Skyline Bankshares is the holding company for Skyline National Bank, a community bank organized in 1900 that serves southwestern Virginia, western North Carolina and, since September 2024, Johnson County, Tennessee, through twenty-eight full-service offices and two loan production offices. Roughly 90% of its earning assets are loans (real estate, commercial, agricultural and consumer). It has grown by combining with other community banks: Cardinal Bankshares in 2016, Great State Bank of Wilkesboro, North Carolina in July 2018, and Johnson County Bank of Mountain City, Tennessee, bought for $25.0 million in cash in September 2024. How we measure earnings. For a bank we start from cash generated by operations, remove swings in working balances such as accrued interest and other assets and liabilities, subtract share-based pay as a real cost, and subtract the part of capital spending needed to keep the branches and systems running (spending that only supports growth is not charged). The result was $0.76 per share in 2019, $0.45 in 2020, $0.98 in 2021, $1.73 in 2022, $1.63 in 2023, $1.60 in 2024 and $2.06 in 2025. We start the measurement in 2019, the first full year after the Great State merger, because earlier years describe a much smaller bank. We anchor on the median of 2022, 2023 and 2025, which is $1.73 per share. We leave out 2019 to 2021 because the bank was much smaller then, with total interest and noninterest income of $35.7 million to $41.3 million a year against $73.5 million in 2025. We leave out 2024 because it carried $2.4 million of one-time merger costs for the Tennessee acquisition. We did not use the most recent quarters to set the level. Net income for the first half of 2026 was $9.6 million against $7.4 million a year earlier, and net interest income was $27.7 million against $24.2 million, so the recent trend is favorable, but that informs growth, not the anchor. Growth check. Owner earnings per share rose about 29% in 2025 ($2.06 versus $1.60), largely because the 2024 base was depressed by merger costs and the net interest margin widened from 3.82% in 2024 to 4.27% in 2025. In every case below we assume year-one growth of zero, which is below that trailing rate, because the jump came from a margin recovery and a full year of the acquired bank, not from a repeatable process we can count on. Base case, $28.78 per share. Earnings stay at $1.73 per share indefinitely with no growth. This is the value of a bank franchise that has operated since 1900 and kept earning through the period we can measure, discounted at 6% ($1.73 divided by 0.06). We credit no loan growth. Management reports core loan growth of $74.2 million, or 7.55%, in 2025 and expects it to help 2026, but a single strong year and a handful of acquisitions do not amount to a steady, repeatable pace, so it is left out. We also do not credit further acquisitions or a higher margin. Bear case, $16.67 per share. Two disclosed pressures hit at once. First, the margin falls back to the 3.82% earned in 2024; on 2025's net interest income of $50.4 million that would cost roughly $0.75 per share after tax. Second, credit costs rise: nonaccrual loans already increased from $2.6 million to $4.8 million during 2025 (0.45% of total loans, against an allowance of 0.82% of loans), and we assume that trend absorbs roughly another quarter dollar per share. Owner earnings settle near $1.00 per share and stay there with no growth ($1.00 divided by 0.06). As with any bank, which funds its loans largely with customer deposits, actual losses could be worse than this assumption. Bull case, $40.00 per share. The bank holds the earnings power that first-half 2026 results point to. Annualized first-half 2026 net income of about $19.2 million is roughly $3.41 per share; applying 2025's ratio of owner earnings to net income (about 73%) gives about $2.48, and we use $2.40 per share, held flat ($2.40 divided by 0.06). This requires the 4.27% margin to hold, which is not guaranteed since management notes that competition for deposits will keep interest expense from falling much and operating costs will rise. Capital spending was $8.1 million in 2025, well above depreciation of $2.0 million. We treated only the portion beyond what growth in revenue would normally require as maintenance spending; we could not determine from the filing passages we reviewed what drove the increase. It lowers 2025 owner earnings, and the base case relies on the median of three years rather than on 2025 alone. What would make this wrong: a sustained fall in the net interest margin, a rise in loan losses, or further acquisitions at prices that do not earn their cost, since the company has completed three bank combinations since 2016. Intangible amortization is small ($772 thousand in 2025, mainly from acquired customer deposits) and is added back as a non-cash charge, so no decay adjustment was needed beyond the flat, no-growth paths used above.

OE = CFO - working capital movement - SBC - maintenance capex. Working capital movement = change in accrued interest receivable, other assets, accrued interest payable and other liabilities as shown in the cash flow statement (positive = source of cash); the increase in life insurance cash value is left inside CFO. Growth capex = mean(capex/revenue) x change in revenue, where revenue = total interest and dividend income + noninterest income and the mean ratio over 2019-2025 is 9.82%. 2019: CFO $9,416K - WC $1,356K (source of cash) - SBC $0 - maintenance capex $3,373K (capex $3,854K less growth capex $481K) = $4,687K; diluted shares 6,184,133 (basic, no dilution reported); OE/sh = $0.7578.
