Business condition attached to the margin of safety Owner earnings must be back in positive territory for at least two consecutive quarters; the first nine months of fiscal 2026 were loss-making.
Skkynet Cloud Systems sells industrial data-connectivity software (the Cogent DataHub product family and a DataHub service on Microsoft Azure) to systems integrators, equipment makers, resellers and end users. In fiscal 2025 (year ended October 31) revenue was $2.55 million, essentially flat on $2.56 million a year earlier: software sales were 66%, support 33% and other 2%. About 25 end customers account for roughly half of revenue and none exceeds 10%. The shares trade on an over-the-counter market. How we measure earnings. We start from operating cash flow, remove working-capital swings (mainly customer prepayments and accrued related-party pay) and deduct stock-option compensation as a real cost. The company buys essentially no equipment, so capital spending is nil. On that basis owner earnings were about $51,000 in fiscal 2025 ($0.00085 per share), $102,000 in 2024, $33,000 in 2022 and negative in the other years since 2016 (loss years ran from about -$95,000 to -$1.1 million). We measure the level from fiscal 2022 to 2025, the years since the losses of the late 2010s ended. The median of those four years is about $0.0007 per share (roughly $42,000 a year). Per-share figures use diluted shares of roughly 60 million, which include the convertible preferred stock. Growth check. Owner earnings fell about 50% in fiscal 2025 ($102,000 to $51,000). Our base case assumes 0% growth in year 1, at or below that trend; we found no dated, filed reason to expect a rebound. What has happened since. Through the first nine months of fiscal 2026 (to July 31, 2026) revenue was $1.72 million versus $1.90 million a year earlier, a net loss of about $353,000 versus about $14,000, and operating cash flow of about -$85,000; option compensation roughly doubled to about $189,000. The loss narrowed each quarter (about -$227,000, -$109,000, then -$17,000), so we treat the fiscal 2022 to 2025 level as still describing the business, not a lower one, but the direction is a caution. Base case: $0.0118 per share. Owner earnings hold at about $42,000 a year with no growth credited, worth about $0.7 million in total. We did not credit growth from the shift to subscriptions (subscription payments rose 268% to $364,395 in fiscal 2025, but perpetual licence revenue fell to $2.19 million from $2.42 million, and total revenue did not grow), from the new AI product effort, or from the roughly $1.9 million FedDev Ontario funding package agreed in December 2025 (up to $750,000 of it is an interest-free loan repayable after the project). Those depend on results that have not yet happened. Bear case: $0 per share. The fiscal 2026 pattern of falling revenue and rising costs persists; the business consumes cash rather than producing it, and we can name no evidenced earnings to value. The company has no borrowings and no wasting intangible assets, so the bear case is about operating losses, not debt. Bull case: $0.0283 per share. Owner earnings return to the fiscal 2024 level of about $102,000 a year, a result the company has already achieved, and stay there; we credit nothing above that. What would make this wrong: a successful subscription conversion that lifts revenue, or a further deterioration in costs. Customer counts are dispersed, but revenue is at the mercy of a few dozen customers, and the company is very small. Owner earnings are close to breakeven and can swing to a loss on a small change in costs. The margin-of-safety price is well below the base value because the company is tiny, currently loss-making, and the bear case is worth nothing; it applies only once owner earnings have turned positive again for at least two consecutive quarters.
