Rockwell Automation designs and sells the equipment and software that runs factories: motor control and sensing hardware (Intelligent Devices), the programmable controllers and industrial software that run production lines, including the FactoryTalk platform and the Plex manufacturing-execution software acquired in 2021 (Software & Control), and consulting, systems integration and support services, including a joint venture with SLB serving the oil and gas industry (Lifecycle Services). Customers are manufacturers across a wide range of industries and geographies, so the business rides the industrial capital-spending cycle rather than any single customer or product. That cycle shows clearly in the last five years: a 2021-2023 boom as customers over-ordered during the chip shortage, a 2024 bust as those customers worked down their excess inventory (backlog fell from roughly $3.1 billion to $2.9 billion over the past year), and early signs of stabilization in fiscal 2025, when sales grew about 1% and the software and controls business grew faster, about 9%, than the company as a whole. To see through this swing, we based our estimate of normal annual cash earnings on the middle year of the last nine, rather than on the most recent year or the peak, which produces a figure of about $8.62 per share. We treat the working-capital swings tied to the chip-shortage inventory build and its 2024 unwind as temporary, not as the company's real earning power, and we treat routine equipment spending net of what is needed to support growth as the true ongoing cost of staying in business. On that basis, fiscal 2024 was a genuinely weak year for underlying cash generation, not just an accounting artifact: it combined the working-capital unwind with a step-up in factory-resiliency spending. We assume modest sales growth in the coming year, in line with the roughly 1% actually delivered in fiscal 2025 and the modestly declining order backlog, rising toward the mid-single digits over the following several years as the software and services mix (which carries higher margins) continues to grow faster than the hardware side, then slowing again toward the end of the ten-year forecast as the business matures. Beyond that ten-year horizon, we assume earnings hold roughly flat rather than grow, because while Rockwell's large installed base of equipment generates durable, recurring service and software revenue, there is no specific evidence of a permanent structural growth engine once today's product cycle matures; this flat-earnings assumption for the years beyond year ten makes up the majority of the estimated value, which is typical for a business with this kind of long service tail. Our bear case assumes the current order softness proves deeper and longer than a normal cyclical dip: revenue-generating capital spending programs at customers get delayed further, order backlog keeps shrinking for a couple more years before stabilizing, and new tariffs on cross-border manufacturing (Rockwell builds across the US, Mexico and Canada) are not fully offset by the pricing and sourcing actions management currently expects to keep them neutral. It also assumes Rockwell's oil-and-gas joint venture, which has already taken two write-downs in the past three years, continues to underperform. Our bull case assumes the destocking cycle is now over and a new investment wave, driven by US manufacturers reshoring production and adopting factory software and automation more broadly, lifts order growth back toward levels seen in 2021-2022, with the higher-margin software business continuing to outgrow the rest of the company. We deliberately did not build a bull case around a general market or economic recovery; our bull case is about Rockwell's own order book, product mix and cost actions, not about macro conditions improving. Putting these cases together, we estimate per-share value of roughly $121 in the bear case, $194 in the base case and $299 in the bull case. Given the meaningful gap between our bear and base cases, the margin-of-safety price is set at a real discount to our base-case estimate, around $147 per share, to leave room for error. One item worth flagging plainly: intangible amortization has risen sharply over the past several years, from about $30 million a decade ago to roughly $150 million most recently, reflecting the software and robotics companies Rockwell has purchased. We have not adjusted our base earnings figure for this because the cash flow statement already treats it as a non-cash expense that gets added back; instead, we have kept our long-term growth assumption modest, so that we are not implicitly counting on those acquired assets lasting forever. Separately, a portion of Rockwell's reported operating cash flow each year cannot be fully traced to the specific line items disclosed in the filings; the unexplained amount is modest relative to total cash flow and does not change our conclusions, but we note it for completeness.
