Business condition attached to the margin of safety Owner earnings after stock compensation and maintenance capex turning and staying positive for at least two consecutive years, with stock compensation growing slower than revenue.
SiTime designs MEMS-based silicon timing chips (oscillators and clocks) that replace quartz crystals in data centers, AI networking, automotive, industrial and mobile devices. Revenue rose from $84M in 2019 to $327M in 2025, but it is a lumpy business: sales fell 49% in 2023 after the customer inventory correction, then recovered by 61% in 2025. Ten large end customers made up 65% of 2025 revenue, and one distributor (Arrow) was 39% of receivables. What the business actually earns for owners: we start with operating cash flow, remove working-capital swings, and deduct stock-based compensation and the part of capital spending needed just to stand still. Stock compensation is the crux. It was $104M in 2025, about 32% of revenue, and it is a real cost paid in shares. On that basis, owner earnings per share were about +$1.53 in 2021, +$0.09 in 2022, then -$3.39, -$3.14 and -$1.46 in 2023-2025. The 2025 loss narrowed sharply because revenue grew 61% while stock compensation grew only 12%, which is encouraging but is one year of evidence. The anchor is the 2022-2025 median, which is negative, because those years reflect the current, much larger, stock-compensation-heavy cost base. Bear case (about -$11 per share): owner earnings stay near the 2025 level of roughly -$1.46 per share for ten years, then stop mattering. In addition, the company agreed on February 4, 2026 to buy Renesas' timing business for about $1.5 billion in cash plus about 4.13 million shares, with up to $900M of bridge financing committed. That adds debt and dilution; we did not credit any earnings from the acquired business because its financials are not yet in the filings we can rely on, so this case shows the financing burden as a risk rather than a proven return. Values below zero mean the shares carry more ongoing cost than the evidence of earnings supports. Base case ($0): nothing we can name and evidence shows owner earnings turning sustainably positive after stock compensation. Falling stock-compensation intensity, design wins and AI-related demand are plausible but not yet secured or proven through repeated years, so they are left out. Base therefore values the business at zero on this measure. Bull case (about $12 per share): the business returns to the +$1.53 owner-earnings level it already achieved in 2021 and holds it for ten years. Evidence: that level was reached before, and the 2025 improvement points the same direction. What would make this wrong: if stock compensation stays flat while revenue keeps growing at 2025's pace, owner earnings could become solidly positive quickly and all cases would be too low. The Renesas acquisition could also add real earning power that we have not credited. Weaknesses in this analysis: working-capital adjustment uses receivables, inventory, prepaid and payables lines only, and 2019 shares reflect a pre-IPO weighted count. The margin-of-safety price assumes the improvement is demonstrated first.
