WHAT THE COMPANY IS. Diodes Incorporated (Nasdaq: DIOD), based in Plano, Texas, makes discrete and analog semiconductors and related components for more than 50,000 customers in automotive (about 19% of sales in each of the last three years), industrial, computing, communications and consumer markets. About 35% of 2025 sales went to direct and contract-manufacturer customers; the rest moved through distributors. Manufacturing is global, with sites in China and Taiwan and fabs bought in Greenock, Scotland (2019), through Lite-On Semiconductor (2020) and in South Portland, Maine (2022). China-based manufacturing and customers, and the tariff and export-control environment around them, are a real feature of the business. The business is deeply cyclical: sales were $2.0 billion in 2022, $1.3 billion in 2024 and $1.48 billion in 2025, and because the fabs are largely fixed cost, gross margin fell from 39.6% in 2023 to 31.2% in 2025 and operating income from $250.6 million to $35.5 million. HOW WE MEASURED EARNINGS. We value the company on what an owner could take out each year: operating cash flow, less swings in working capital, less stock compensation ($25.7 million in 2025), less the capital spending needed to keep the plants running (spending to add capacity is treated as discretionary and separated out). Depreciation ($121.5 million in 2025) and intangible amortization ($22.2 million) are non-cash and are not charged; the amortizing intangibles are now small ($45.5 million net) and running off, so no separate decay allowance is needed. Capital spending ran well below depreciation in 2024 ($73.0 million against $120.6 million) and 2025 ($78.4 million against $121.5 million), which flatters those two years; in the first half of 2026 it rose to $65.5 million against $62.6 million of depreciation. Interest is tiny (cash interest of $1.7 million in 2025), so we value the whole business and then subtract what it owes. Cash earned per share before interest was $3.10 (2019), $2.45 (2020), $5.55 (2021), $5.38 (2022), $3.98 (2023), $1.74 (2024) and $1.90 (2025). The cash-flow-to-earnings reconciliation for 2020 to 2025 closes once investment gains, derivative interest income and deferred taxes shown in the cash flow statement are included. NORMAL LEVEL. We use the median of 2019-2025, $3.10 per share (about $144 million a year). That window starts after the Greenock and Lite-On acquisitions changed the size of the business and covers a full cycle: the 2020 dip, the 2021-2022 shortage boom, the 2023-2024 bust and the 2025 recovery. The median keeps the boom years from lifting the level. Earlier years describe a smaller company. GROWTH PATH. Cash earned per share grew 9% in 2025 ($1.74 to $1.90). The base case assumes 23% for 2026 ($1.90 to $2.34), which is higher, for a dated reason: the second-quarter 2026 filing (August 5, 2026) already shows first-half revenue of $851.0 million against $698.3 million a year earlier (about 22% higher) and operating cash flow of $132.8 million against $98.3 million, so half of the year is reported, and we assume the second half grows only 9%. Return to the $3.10 normal level is then assumed by 2028 (about $2.72 in 2027), because the business has already earned that level in 2019, 2023 and 2021-2022 on similar or smaller sales. We do not credit any growth beyond that level. Left out: management's stated goal of $2.5 billion of sales and $1.0 billion of gross profit, AI-server demand, share gains and further margin expansion, because none is contracted or a repeatable step the company has already shown. BEAR CASE, $24.82 per share. The business is worth about $19.87 per share (roughly $920 million). It owes about $40.6 million of borrowings (a $21.9 million term debt and $18.6 million of bank lines) and $70.0 million of minority-owners' interests, against $339.9 million of surplus cash and short-term investments, so it has net cash of about $229 million, or $4.94 per share. Story: 2026 comes in at $1.90 and then cash earnings settle at $1.15 a year from 2027 with no recovery. That is the 2024-2025 average of $1.82 less $0.67 because capital spending returns to the ten-year average of 7.6% of sales instead of the 5.3-5.6% of recent years. Named risks are the margin already lost (31.2% in 2025 against 39.6%), gold and other cost increases (unit cost up 1.3% in 2025), and risk-factor language about China building its own chip industry and the tariff environment. Debt is not the problem here: 2025 business cash flow of about $88 million covers 2025 interest of $1.7 million many times over, and there is no meaningful near-term maturity. BASE CASE, $55.55 per share. The business is worth about $50.61 per share (roughly $2.35 billion), plus net cash of $4.94 per share (same debt, minority interest and surplus cash as above). Story: $2.34 in 2026, $2.72 in 2027, then $3.10 a year, flat, with no growth credited. What keeps it going is a 60-year franchise with 50,000 customers, automotive qualification cycles that make design-ins sticky, and fabs the company already owns; the company earned a profit in every year since 2014. BULL CASE, $69.37 per share. The business is worth about $64.43 per share (roughly $2.99 billion), plus the same $4.94 of net cash. Story: cash earnings of $2.60 in 2026 (the first-half pace), $3.30 in 2027 and $3.98 from 2028, which is what 2023 produced on $1.66 billion of sales, close to the first-half 2026 pace of about $1.7 billion a year, on fabs the company already owns. We do not use the 2021-2022 shortage-era peak of $5.4-$5.6 because those conditions have reversed. JUDGEMENTS AND CAVEATS. Excess cash: we treat $100 million of the $430.4 million cash as needed to run the business (about 7% of sales) and count the rest. Not counted: equity investments in suppliers and partners (including wafer supplier Nuvoton) carried at about $173 million ($3.7 per share) in the latest filing, because they produce no cash flow we can evidence, so they are potential upside. Not reconciled: second-quarter 2026 net income of $46.6 million was about flat on $46.1 million a year earlier despite about 22% higher revenue, and we could not fully explain that from the filings reviewed; we therefore do not rely on any margin improvement beyond the earlier levels above. What would make this wrong: a downturn that persists into 2027, gross margins that stay near 31% as volumes recover, or capital needs above the 7.6% of sales assumed. CHANGE SINCE OUR AUGUST 2026 ANALYSIS. Our earlier values were $22.89, $39.08 and $58.51. The new values are higher mainly because we now discount all businesses at a flat 6% rather than a higher rate, and we set the normal level from a full-cycle median of $3.10 per share rather than a lower $2.49 (about $115 million). Offsetting that, we now count the $18.6 million of bank lines that were omitted from debt, subtract $70.0 million of minority-owners' interests, count only surplus cash, and lift the bear case's capital spending to its long-run rate. We also stopped counting ordinary working-capital swings and stock compensation as earnings.

Chart analysis
Price-history data was not part of this review, so this is a qualitative read of how a chartist would frame the stock. Diodes is a small-cap (S&P SmallCap 600) cyclical semiconductor company, and a chart of its shares would be expected to follow the earnings cycle in broad multi-year swings: a shortage-driven peak in 2021-2022, a long downtrend as sales fell 21% in 2024 and operating margin collapsed, and a recovery phase as sales grew 13% in 2025 and about 22% in the first half of 2026. A chartist would look for a series of higher lows above the 2024 trough, a break above the prior multi-year highs, and rallies that come on rising volume. Failure to hold an established recovery trend line would suggest the rebound is stalling. Semiconductor stocks tend to turn before reported results, so chart signals often lead the earnings data.
