Business condition attached to the margin of safety No 2028-2032 satellite-radio royalty determination above roughly 19% of gross revenue has been announced, and SiriusXM self-pay subscriber losses have not accelerated beyond about 2% a year.
Sirius XM sells SiriusXM satellite and streaming radio subscriptions in the United States, mostly through radios built into new cars at the factory. It also runs Pandora and a podcast and audio-advertising business. About 31.3 million people pay for SiriusXM themselves, at an average of roughly $15 a month. Subscriptions are about three-quarters of revenue, and advertising is most of the rest. Revenue has drifted down from $9.0 billion in 2022 to $8.56 billion in 2025. First-half 2026 was the best stretch in several years: monthly cancellations fell to about 1.4%, the lowest in the company's history, helped by subscriptions that now carry over automatically when a customer changes cars and by lower-priced "companion" add-on plans. Self-pay subscribers grew slightly in the second quarter, and the company raised prices on full-price plans for a second year in a row. On the other side, fewer new-car trial users are converting to paid plans, the cost of radio chips and automaker payments per new car rose about 25% in 2025, and Pandora keeps losing listeners (monthly users fell 5% in 2025). How we measured the cash the business generates: we start from operating cash flow. We take out stock-based pay, including the part capitalized into software, and year-to-year working-capital swings. We then subtract the capital spending needed to keep the business running. Because revenue is shrinking, all capital spending counts as upkeep. Three accounting choices lower our figure compared with the company's own "free cash flow": - Since 2023 the company has bought clean-energy tax credits through tax-equity investments. The tax savings show up in operating cash flow, but the price of the credits shows up as an investment. We charge that price, about $130 million a year, against earnings, so only the net gain (about $32 million a year) counts. - We count rent on leased property and customer bad debts as real costs. - We use about 340 million shares. That excludes roughly 18 million shares that would only be issued if the company's 2028 convertible notes convert at about $31.74 a share. Until then we treat those notes as debt. On this basis, owner earnings were about $2.44 to $2.94 per share in 2023 to 2025. Those were years of heavy satellite spending. Excluding that spending and one-time timing items, the business now produces roughly $3.20 to $3.30 per share. We do not use earlier years as the anchor. Before 2023 the company paid little cash tax because it was still using old tax losses, and before the September 2024 combination with Liberty Media's tracking stock, the shares and debt were structured differently. What changes the picture from here, in our base case (the middle outcome): - Satellite spending is ending. Four new satellites (SXM-9 through SXM-12) replace the aging fleet. The company expects about $115 million of satellite spending in 2026, about $50 million in 2027 and almost none from 2028. The new satellites are expected to last into about 2040, and license renewals cost little. So we assume no new satellite program until the mid-to-late 2030s, then a steady allowance of about $95 million a year. - Interest costs rise. The company's roughly $9.5 billion of debt carries an average rate of about 4.6%. About $8 billion of it comes due between 2027 and 2031 and gets refinanced at roughly 5.9%, the rate the company paid on bonds it sold in 2026. That costs roughly $90 million a year after tax by the early 2030s. - Music royalties are likely to rise. Satellite radio pays record labels and artists 15.5% of revenue through 2027. The rate for 2028 to 2032 is being set in a proceeding that began in January 2026. Each of the three earlier rulings raised the rate, going from 6-8% to 9-11% to 15.5%. We assume a 1.5-point increase. A separate pending decision on Pandora's streaming royalties for 2026 to 2030 is assumed to cost a little. - Cash earnings before capital spending shrink about 1% a year through 2030, then 1.5% a year, in line with the roughly 1.5% yearly decline in these cash earnings since 2023. Price increases and cost cuts (about $100 million targeted for 2026) offset only part of the fall in trial conversions and in Pandora. Per-share owner earnings in this case are about $3.30 in 2027 and $2.60 by 2035. There is no named driver that stops the slow decline, so beyond 2035 we let the business keep shrinking by about 2% a year. We also assume the company keeps its debt in proportion to earnings, which management targets in the low-to-mid 3 times range, so part of the cash goes to lenders as the business shrinks. Howard Stern's new three-year contract runs through 2028. We found no evidence to price either his departure or his staying, so the base case assumes neither. On this path the shares are worth about $33. About 40% of that comes from beyond 2035. Our bear case (roughly a one-in-ten outcome) uses risks that are already visible. Cash earnings shrink 3% a year through 2030 and 4% after, as conversions keep falling and Pandora declines. The royalty rate rises 3.5 points, similar to the 2018 increase. Pandora's streaming royalties move toward what record labels have asked for. Maturing debt is refinanced near 6.5%. That case is worth about $14. The company is still worth more than it owes, but with debt around 3.4 times yearly operating earnings, leverage magnifies every loss in the operating business. Our bull case (roughly a one-in-ten outcome the other way) assumes the 2026 improvement in cancellations and pricing holds. Cash earnings edge up about 0.5% a year through 2030 and then decline only slowly. The royalty rate barely moves, refinancing costs about 5.5%, and the new YouTube audio advertising partnership adds modestly from 2028. That is worth about $49. Compared with our previous estimate (base $60, bear $32, bull $76), the value is lower for four reasons. We now charge the cost of the purchased tax credits, rent, bad debts and capitalized stock pay. We include the higher cost of refinancing in the middle case, not only the downside. We include a likely royalty increase. And we no longer assume the business stops shrinking after ten years. Two changes pushed the other way: we dropped an early-2030s satellite program we had assumed before, and we use a share count that excludes the convertible-note shares. We also resolved two items we had flagged before. The earlier gap between "net income attributable to the company" and total net income was the share owned by Sirius XM's former public minority holders before the 2024 combination; their shares are already counted in the restated share numbers. The drop in the diluted share count came from the 2028 convertible notes leaving that count, not from buybacks. Because this is a slowly shrinking, heavily indebted business whose biggest cost is set by a regulator, the margin-of-safety price sits well below our middle estimate. The margin-of-safety price is about $20.
