BRC Group Holdings (formerly B. Riley Financial) is what remains of a diversified financial-services and holding company after a two-year series of divestitures. During 2024 and 2025 it sold Great American Group, GlassRatner and the brands business, and it now consists of: Capital Markets (B. Riley Securities: investment banking, trading, securities lending), Wealth Management, four communications businesses (Lingo, magicJack, Marconi Wireless and United Online), and a Consumer Products segment (Targus) that lost money in 2025. It carries about $1.3 billion of senior notes (about $355 million maturing during 2026 and about $845 million in 2028) plus a term loan, and its balance sheet shows a stockholders' deficit of roughly $170 million. Cash interest on continuing operations was about $95 million in 2025. Because shareholders sit behind all of that debt, this is a very leveraged claim on the business. How we measured earnings. We start from operating cash flow and remove working-capital swings, share-based pay and maintenance capital spending. For this company that produces an extremely erratic history: about $4.25 per share in 2019, $11.61 in 2020, $17.46 in 2021, then negative $6.17, negative $2.03 and negative $15.76 in 2022 to 2024, and $4.13 in 2025. The good years were driven by large trading and investment gains; the bad years by investment losses and very heavy interest. Because the company has been remade by divestitures, we measure from 2025. 2025 owner earnings were about $126 million, of which about $20 million came from operations that have since been sold. Trading gains inside the Capital Markets segment (about $106 million in 2025) have flipped between large profits and large losses across the last five years, so we credit only half of that amount as the normal level. That gives an earnings base of roughly $1.5 per share (about $53 million) before preferred dividends of about $8 million a year, on roughly 35 million shares after the debt-for-stock exchanges completed in early 2026. Growth. Nothing is credited for growth. Last year's owner earnings rose from a large loss to a gain, which is not a growth trend, so year 1 in the base case assumes a decline. The communications businesses are shrinking (Lingo revenue fell from $195.9 million to $164.1 million in 2025, and the four communications segments together fell roughly 15%). Those businesses produce about $69 million a year before interest, so we let that stream decline 10% a year in the base case. We do not credit any recovery, market upturn, new product or deal pipeline. Bear case (about $0 per share). Trading results turn negative again as they did in 2022 to 2024, the communications businesses keep shrinking at 15% a year, and corporate costs (about $60 million in 2025) stay. Earnings after roughly $85 million of annual interest are negative, and the 2026 and 2028 notes have to be refinanced or exchanged for more shares. On that path the business owes more than it is worth and common shareholders are left with nothing; we show $0 because a shareholder's loss is limited to the amount invested, although the underlying business would be negative by several hundred million dollars. Base case (about $3.80 per share). Half of the 2025 trading result recurs, the communications earnings decline 10% a year, and the rest is flat. Earnings to common shareholders fall from roughly $45 million to about $0 by year 10, and we assign no value beyond that because nothing we can name and evidence continues once the communications businesses have run down. Bull case (about $20 per share). Capital Markets repeats its 2025 result (segment income of about $89 million), the communications decline slows to 7% a year, and the Capital Markets and Wealth franchises, which have operated for over two decades, continue at about $30 million a year of owner earnings for a further decade after year 10. Things to know. Preferred dividends are deducted. The 2026 debt-for-stock exchanges have already increased the share count by about 15% and more are possible. The company was late with its 2024 and 2025 quarterly filings, received a Nasdaq delisting determination in October 2025, won a hearing in November 2025 and regained compliance in January 2026, but remains under a one-year monitor during which any further late filing leads directly to a delisting determination. The cash-flow statement of a securities dealer is hard to interpret; we removed all working-capital movements as required, which for 2025 removes about $209 million of mostly securities purchases, and we could not fully reconcile how much of 2025's $149 million pre-working-capital cash flow is realized. Interim 2026 results were not reviewed. What would make the estimates wrong on the downside: a further large trading loss or a failed refinancing. On the upside: sustained trading profitability and slower shrinkage in the communications businesses.
