Business condition attached to the margin of safety The board commits to stop discretionary program spending and return the remaining cash to shareholders (a liquidation, wind-down or tender), or the Bear Lodge project reaches a completed feasibility study with permits and committed construction financing so that future earnings can actually be evaluated. The margin-of-safety price applies to the first condition.
Rare Element Resources is an exploration-stage company developing the Bear Lodge rare earth project in Crook County, Wyoming (it also holds the adjacent Sundance Gold Project claims). It has no revenue and no mineral reserves - only mineral resources, most recently estimated in March 2024. Its main activity is a rare earth separation Demonstration Plant in Upton, Wyoming, built by a consortium led by General Atomics, an affiliate of Synchron, which owns about 71.4% of the shares. The U.S. Department of Energy agreed to share costs up to about $24.2 million, of which about $20.5 million had been paid by the end of 2025, leaving about $3.7 million. The plant's cost has grown from an original budget of about $43.8 million to an estimated $77.5 million including operations through December 2026, and the company pays the overrun. Design and equipment problems found in 2025 delayed the start of operations to early 2026. Permitting for the mine, suspended in January 2016 to conserve cash, restarted in late 2025 and is expected to run through 2027. The company's processing patents have been licensed exclusively to Synchron and its affiliates since October 2019. How we measured earnings: we use the cash the business generates for its owners after keeping itself running - operating cash flow, less timing swings in working capital, less stock compensation, less equipment spending. For this company that figure has been negative every year: about -$9.2 million in 2022, -$8.9 million in 2023, -$17.8 million in 2024 (peak construction) and -$5.0 million in 2025. The 2025 figure is flattered because the company began billing the Department of Energy for plant costs it had previously excluded, a one-time catch-up. In the first half of 2026, with the plant running, operating cash outflow was $6.2 million, or roughly $12 million a year. We treat 2022-2025, the Demonstration Plant era, as the relevant period; the median is a loss of about $9 million a year. There is nothing in the filings - no reserves, no feasibility study, no offtake contract, no permits, no project financing - that lets us credit any future positive earnings, so none are included in any case. What shareholders own today is mostly cash. At June 30, 2026 the company held $26.8 million in cash and $16.7 million in held-to-maturity securities, with about $1.7 million of liabilities and no debt, on 645.4 million shares - roughly $0.07 of net cash per share. The question is how much of that cash will ever reach shareholders. The record is clear: the company raised about $25 million in 2021, $35.3 million (net) in a March 2024 rights offering and about $30.5 million (net) in a March 2026 rights offering, and spent each round on the program before raising again. Management states the 2026 money will fund continued plant operation, extending the technology to heavy rare earths and possibly third-party feed, and permitting, and that it will still need more funding to design, build and operate the mine. It also warns it may have to curtail the plant, suspend permitting or potentially liquidate if it cannot raise more money or complete a strategic transaction. Bear case ($0.00 per share): spending continues at or above the first-half 2026 pace, the cash runs out around 2028-2029 without a funded commercial project, and the next capital raise dilutes holders who do not participate. Nothing of value to current shareholders is left beyond land and unpermitted claims. Base case ($0.003 per share): the plant and permitting program runs through 2027 as planned (about $6 million in the second half of 2026 and about $12 million in 2027), leaving roughly $27 million. That remainder is then spent on the next phase of engineering and project work at the 2022-2023 pace of about $9 million a year, and is used up by about 2030. Whatever that work creates cannot be valued from today's evidence. What remains is the land carried at $2.24 million (including roughly 640 acres bought back in 2024), discounted to today. Bull case ($0.039 per share): the program finishes on the planned budget through 2027 and the board then does what it did in 2016 - stops discretionary spending - and goes further, winding the company down and returning the roughly $27 million of remaining cash plus the land, less about $2 million of wind-down and reclamation costs, discounted to today at 6%. We do not include a successful mine, a buyout by the majority owner, or rare earth prices, because none of these is supported by a contract, permit or offer in the filings. All three cases are below the cash on hand today because the evidence says the cash will be spent on a project that the filings do not yet allow anyone to value. What would make this analysis wrong: a completed feasibility study showing economic reserves, permits in hand and committed construction financing or an offtake agreement, or a decision by the majority owner to buy out minority shareholders. The shares trade on the OTCQB, and the majority owner has approval rights over major corporate decisions, including financings and any sale of the company. The margin-of-safety price of $0.023 applies only if the board commits to stop spending and return the remaining cash. It is set about 40% below the bull-case value of a wind-down because costs, timing and the majority owner's choices are uncertain. Price alone is not enough: at any price, cash that is spent on the program does not reach shareholders in any form we can value today.
