Business condition attached to the margin of safety The resumed Phase 2 pivotal study of RP-A501 in Danon disease, at the recalibrated 3.8 x 10^13 GC/kg dose, meets both co-primary endpoints (LAMP2 protein expression of Grade 1 or more and at least a 10% reduction in left ventricular mass index) with no further treatment-related serious adverse events, and the FDA accepts a BLA for accelerated approval.
Rocket Pharmaceuticals develops one-time gene therapies for rare inherited diseases and makes them itself at a leased 103,720 square foot plant in Cranbury, New Jersey. It has never booked product revenue. Its accumulated deficit reached $1.44 billion by December 2025, and the share count has grown from about 7 million in 2016 to about 114 million to pay for that spending. What the company owns today is cash, one newly approved ultra-rare product, and a pipeline of heart gene therapies. Earnings level. We measure owner earnings as operating cash flow, with working-capital swings removed, less stock compensation and capital spending. Because there is no revenue, we count all capital spending as the cost of staying in business. We treat stock compensation, about $37 million in 2025, as a real cost because it is paid by issuing new shares. Non-cash warrant expenses in 2020 and 2021 are added back. On this basis the business consumed $265 million in 2024 and $219 million in 2025, or $1.97 per share. In July 2025 the company cut about 30% of its workforce and stopped work on its Fanconi anemia and pyruvate kinase deficiency programs, so we measure from that change rather than from a longer average. Over the second half of 2025 and the first half of 2026, operating cash outflow less stock compensation ran at about $200 million a year, roughly $1.75 per share. The burn fell 17% in 2025, and operating cash outflow in the first half of 2026 was $85.0 million against $104.8 million a year earlier. Our first-year assumption is a smaller improvement of roughly 13%, because the company is paying to run a pivotal trial and to launch a product at the same time. KRESLADI. On March 26, 2026 the FDA granted accelerated approval to KRESLADI (marnetegragene autotemcel), a lentiviral gene therapy made from the patient's own blood stem cells, for children with severe leukocyte adhesion deficiency-I (LAD-I) caused by biallelic ITGB2 variants who have no HLA-matched sibling donor for a transplant. The approval rests on increased neutrophil CD18 and CD11a expression, and continued approval depends on confirming clinical benefit through longer-term follow-up in the ongoing study and a post-marketing registry. The company expects commercial availability and the start of patient onboarding in the fourth quarter of 2026, through a limited network of qualified treatment centers. It has not disclosed a price, and no product revenue had been booked by June 30, 2026. The company describes the patient population as exceptionally small: LAD-I occurs in roughly one in 100,000 to 200,000 live births, about two-thirds of cases are severe, and only several hundred cases have been reported to date. We treat KRESLADI as roughly covering its own commercial costs while it is sold and add no further value for its sales. The approval also earned a rare pediatric disease priority review voucher. Rocket agreed on April 28, 2026 to sell the voucher for $180 million and closed the sale on June 12, 2026, booking a $178.2 million gain in the second quarter. This is a one-time receipt, not a recurring earning, so it is excluded from owner earnings; its value is already in the cash balance below. Balance sheet. At June 30, 2026 the company held $283.7 million of cash and investments, about $2.48 per share, including the voucher proceeds. Total liabilities were $54.3 million, including a $21.3 million finance lease on the Cranbury plant, and there is no bank debt. The company expects this cash to fund operations into the second quarter of 2028. What drives value is RP-A501 for Danon disease, a fatal inherited heart condition. The company estimates 15,000 to 30,000 patients in the U.S. and Europe. In the Phase 1 study, every evaluable patient showed cardiac LAMP2 protein expression and a reduction or stabilization in heart-muscle mass, with a median 24% reduction, and these measures now form the co-primary endpoints of the pivotal Phase 2 study, which plans to enroll 12 patients. In May 2025 two patients in that study developed capillary leak syndrome and one died. The FDA lifted its clinical hold in August 2025 after an investigation concluded the injuries were likely caused by the combination of RP-A501 and a complement (C3) inhibitor that had been added to the immune-suppression regimen. The study resumed at a lower dose of 3.8 x 10^13 GC/kg, with the first three patients treated one at a time at least four weeks apart. The annual report filed in February 2026 said six patients had been treated in the study to date. The first three patients dosed at the lower dose have all completed the required safety observation period with no capillary leak syndrome, thrombotic microangiopathy or other significant safety concerns. No efficacy results at the lower dose have been reported, and the company is still seeking FDA agreement on dosing the remaining patients, with an update expected in the second half of 2026. Earlier PKP2 and BAG3 heart programs are in Phase 1, and we give them no separate value because there is not yet enough evidence. Bear case ($0.05). Danon results at the lower dose disappoint, or another serious safety event stops the program. Management keeps spending at its demonstrated pace until the cash is mostly gone by about 2028, and the company winds down or is recapitalized. Because this story ends, we treat cash and liabilities together: the $54.3 million of liabilities, including the plant lease, are paid from cash first. Existing holders are left with only a few cents a share. Base case ($0.50). The company spends most of its cash completing the Danon study within its stated runway. The data do not support a commercial franchise, and the company restructures again, as it did in 2025. This story also ends, so liabilities are paid from the remaining cash before anything reaches shareholders. Holders are left with roughly $57 million in today's money: the small amount of cash remaining after liabilities, plus what KRESLADI, now an approved product, and the early heart programs would bring in a sale. We also tested a weaker success path: approval around 2030 with about 70 patients treated a year. That path does not earn back the roughly $600 million we estimate would be spent before approval, so it is worth no more than the base case to current holders. The clean safety record of the first three lower-dose patients helps, but with no efficacy data at that dose and the path for the remaining patients still to be agreed with the FDA, we judge Danon's chance of success at no better than even, which places the median outcome in this range. Bull case ($10.50). Danon wins accelerated approval in late 2028 on the existing trial and manufacturing base. Treatment builds to about 200 patients a year, roughly 1% of the company's prevalence estimate, at a net price of about $2.5 million each. That price is our own assumption, not a company figure. We set it below the $3.2 million list price Sarepta Therapeutics set for Elevidys, another one-time gene therapy that won accelerated approval, as reported by BioPharma Dive on June 22, 2023. Losses from 2026 to 2028 are funded first by cash on hand and then by new shares. Existing tax losses shelter profits for years. Earnings fade after biologic exclusivity runs out around 2040. The business carries on in this case, so liabilities are not deducted. All cases are discounted at 6%. The shares look worth well under their cash today, because that cash is committed to programs whose payoff we cannot yet evidence. If the pivotal Danon data at the new dose succeed and the FDA accepts a filing, the picture changes a great deal. On that condition, the margin-of-safety price is about $1.50, set against the 20% yearly return target, with a wide margin because the outcome remains binary and further dilution is likely before any Danon revenue.
