Q2 Holdings sells cloud-based digital banking software (online and mobile banking, account opening, lending and fraud tools, and the Helix banking-as-a-service platform) mainly to US regional and community banks, credit unions and fintechs. Customers sign multi-year contracts and are costly to switch away from. Contracted revenue not yet recognised was $2.69 billion at the end of 2025, with about 52% due within 24 months and another 34% in months 25 to 48. Revenue grew from $150 million in 2016 to $795 million in 2025, and the first half of 2026 grew 13% year over year. How we measure earnings. We start from operating cash flow, remove swings in receivables, payables and prepaid customer billings, and then subtract stock-based compensation as a real cost ($87 million in 2025), plus the capital spending needed just to stay in business (about $23 million in 2025 after setting aside growth spending). Costs that Q2 capitalises to set up new bank customers ($28 million in 2025) are left in as an ongoing cost, not treated as timing. On this basis the business lost money for years (roughly -$0.6 to -$1.5 per share a year from 2017 to 2023, as it absorbed acquisitions and heavy share awards), turned marginally positive in 2024 ($0.07 per share) and reached $1.34 per share in 2025 ($87 million). Amortisation of acquired intangibles is non-cash and is added back; we do not treat it as ongoing decay because the acquired products are embedded in customer contracts. First-half 2026 results (cash flow less share awards and capex up roughly 50% on the prior year, with stock compensation down) support that the 2025 improvement is real. We used the 2025 level as the starting point because the earlier years describe a much less profitable business, but we lowered it to $1.16 per share because capital spending was unusually low in 2025 (3.5% of revenue versus a 5% nine-year average, and 5% again in the first half of 2026). The base case ($25.80 per share) starts at $1.16 per share of owner earnings and credits growth only from the existing customer base: net revenue retention of 108%, 109% and 113% in 2023, 2024 and 2025, tapering from 8% a year to 3% by year ten, with no margin expansion. Earnings growth in 2025 was not meaningful against a near-zero 2024, so year-one growth of 8% is below the actual pace in 2026 to date. Because Q2 has $459 million of tax losses to shelter income, we assume cash taxes stay low for five years and then take about 20% of earnings. After year ten we assume earnings stay flat rather than growing or fading, on the strength of multi-year contracts and high switching costs, and credit nothing more. We did not credit new customer wins, new products or higher profit margins. The bear case ($9.10) treats 2025 as partly a high point: it starts from the average of 2024 and 2025 ($0.71 per share, the point at which profitability had only just appeared), grows only 3% then 2% a year, pays cash taxes after the tax losses run out, and lets earnings shrink 5% a year after year ten as customers move to competitors such as Fiserv, Jack Henry and FIS. The bull case ($35.10) keeps the 2025 level of $1.34 per share and assumes earnings grow 14% a year for three years, 12% for two, 8% for two and 5% for three, reflecting the 113% retention rate and stock compensation that is flat to down in dollar terms, followed by a flat plateau. Balance sheet. About $304 million of 0.75% convertible notes came due in June 2026 and the company held $369 million in cash, plus investments, at the end of 2025 with an undrawn $125 million credit line. Cash interest is only about $3 million a year. Following our method we neither add the cash nor subtract the debt. What would make this wrong: retention slipping toward 100% (attrition offsetting expansion), stock compensation growing faster than revenue again, capital spending running above 5% of revenue, or bank consolidation removing customers. We could not confirm the second-quarter 2026 cash flow detail beyond headline figures, and 2016 could not be included in the earnings history.
