Business condition attached to the margin of safety Regulatory approvals received for the CommerceOne merger and the $690 million Smith Ventures sale of the payments business, with closing scheduled and the $8.11 cash payment essentially assured.
Green Dot is a US financial technology and banking company. Its products include GO2bank mobile checking, prepaid and debit cards, cash deposits at more than 90,000 retail locations, payroll and disbursement cards (rapid!), the Arc embedded-finance platform, and the Santa Barbara Tax Products Group, which processes about 13 million tax refunds a year. It earns interchange fees, card and service fees, and interest on customer deposits held at Green Dot Bank. The most important fact is that the company is being taken apart under signed agreements. On November 23, 2025 it agreed to merge with CommerceOne Financial Corporation. At the same time, an affiliate of Smith Ventures agreed to acquire the non-bank payments business for $690 million. CommerceOne will keep Green Dot Bank. Each Green Dot share is to convert into $8.11 in cash plus 0.2215 shares of the new CommerceOne. Green Dot and CommerceOne shareholders approved the deals in June 2026. Closing still needs regulatory approval. If the merger agreement is terminated in certain circumstances, Green Dot may owe CommerceOne a $27 million fee, about $0.47 a share. Because the shares will be exchanged, we value them on the deal terms and not as an ongoing stand-alone business. The stand-alone record is weak. We measure owner earnings as operating cash flow, less working-capital swings, less stock compensation, less the part of capital spending needed just to keep the business running. On that basis owner earnings per share were about $1.18 to $2.61 from 2016 to 2022. They then fell to $(0.27) in 2023, $0.16 in 2024 and $0.03 in 2025. Revenue grew over the same years, so the drop is not a sales problem. Recurring costs consumed the cash: about $73 million a year of capital spending, $30 million to $34 million of stock compensation, and credit losses on overdrafts and loans. We treated growth in receivables as a real cost. It largely mirrors the non-cash loss provisions that cash flow adds back. We did not treat it as a working-capital timing item. Large non-cash charges were added back, as they should be. These include $86.9 million of losses on the TailFin Labs investment in 2025 and $20.8 million of intangible amortization. The 2023 to 2025 median of about $0.03 a share is the stand-alone earnings level we can support. Bear case, $0.05 a share. The deal fails. The stand-alone business earns about what it has earned in 2023 to 2025, roughly $0.03 a share a year. That is worth about $0.51 a share at a 6% rate. We then subtract the $27 million termination fee, about $0.47 a share. We credit no recovery, because nothing in the filings shows one. Base case, $7.88 a share. The deal closes in about six months on the contracted terms. The $8.11 cash payment is discounted for that wait. It is backed by the $690 million payments sale, which is a signed contract that shareholders have approved. We assign nothing to the 0.2215 CommerceOne shares. The filings give no basis for valuing a bank we cannot see, so that leg is worth $0 in our model even though it is likely worth something. In practice the true value is probably higher than our figure. Bull case, $8.11 a share. The regulators approve promptly and the cash arrives without a wait. We again credit no value to the CommerceOne shares. Only the contracted cash is in the bag. What would make this wrong: regulators delay or block the deals, cash consideration is adjusted downward in ways not visible in the annual filing, or the CommerceOne shares turn out to be worth much more than zero, which would make all three cases too low. The annual report also does not say what the cash payment could be reduced by. We could not reconcile that from the filing and used the stated $8.11. The margin-of-safety price of $6.00 reflects the conservative treatment of the stock portion and the closing risk.
