Business condition attached to the margin of safety At least four consecutive quarters of positive owner earnings before working-capital swings (operating cash flow exceeding stock compensation plus equipment spending), with lender covenant headroom restored without another waiver.
Quest Resource Holding (QRHC) runs outsourced waste and recycling programs for national companies, arranging and billing pickups, hauling and recycling through a network of local subcontractors. It earns a thin gross margin (17.0% in 2025 on $250 million of revenue) and carries about $65 million of debt, chiefly a $51 million term loan due June 2030 plus a revolver. Because the debt is large against very small cash earnings, the equity is worth little in most outcomes and can be worth less than nothing if the business keeps burning cash. How we measure earnings: we start with operating cash flow, remove swings in receivables and payables, and subtract stock compensation and equipment spending. On that basis owner earnings per share were roughly $0.10 to $0.13 in 2018 to 2020, $0.20 in 2021, $0.32 in 2022, $0.27 in 2023, then $(0.05) in 2024 and $(0.09) in 2025. The business was transformed by acquisitions in 2021 to 2022 (revenue rose from $99 million to $284 million), so we use 2022 to 2025 as the window; its median is about $0.11 per share (roughly $2 million), which is a generous starting level because both of the two most recent years were negative. Two 2025 facts explain the change: revenue fell 13% on customer attrition and industrial weakness, and the company sold an underperforming business at a $4.4 million loss. Operating cash flow of $9.6 million in 2025 looks healthy but was entirely collections of previously built-up receivables; before that, cash flow was about zero. First-half 2026 shows the same pattern (cash flow of $4.7 million, again helped by payables timing, with a net loss of $14.5 million that includes non-cash charges we could not fully reconcile from the filings we reviewed). Note that in 2022 to 2024 about $30 million of working capital was absorbed; we removed those swings per our method, but the recovery in 2025 was only $9.6 million, so some of that cash may not come back. Base case (about $0.70 per share): owner earnings hold near $0.11 per share and decay about 5% a year over ten years as customer attrition and the write-down of acquired customer relationships continue, then nothing is assumed beyond year ten. Year-one growth is set below the trailing rate (2025 owner earnings fell), because we can point to no dated event that reverses the decline. We credit no growth: no contracted backlog, only cost cuts already made (about $1.6 million of headcount savings in 2025, partly offset by severance) are in the numbers. Interest at floating SOFR-based rates is already deducted in cash flow. Bear case (about $(0.35) per share): owner earnings stay at the 2025 level of about $(0.09) per share until the term loan matures in mid-2030. The company breached its leverage and fixed-charge covenants at March 31, 2025 and needed lender waivers on May 12, 2025 and another amendment on March 12, 2026; continued losses leave nothing for equity and about $0.35 per share of further burn before creditors control the outcome. In this case the company appears to owe more than it is worth. Bull case (about $2.40 per share): cost savings and new-client wins that the company already reports return owner earnings to the 2022 to 2023 level of about $0.30 per share and hold for ten years. That level was achieved before, but it relied on lower-margin business that has since been divested, so we do not go higher. What we tested: the strongest challenge to the base case is the 2025 cash improvement, which suggests better business quality; the filings show it was working-capital release, not profit, so we did not lift the level. What would prove this estimate wrong on the downside is sustained cash generation after interest with covenant headroom; on the upside, the debt is refinanced or paid down from operating cash.
