Primerica sells term life insurance, and distributes mutual funds, annuities and other savings products for third parties, to middle-income families in the United States and Canada through a network of independent contractor sales representatives. It underwrites the term life policies itself, so earnings come from two sources: premiums and commissions on a large in-force book of policies, and sales commissions on new business and investment products. Its insurance subsidiaries hold investments to back their policy reserves. How we measure earnings. We start from cash generated by operations and subtract the cash effect of working-capital swings (taxes, receivables, other operating balances), stock-based compensation (a real cost we count once), and the part of equipment and software spending needed to maintain the business rather than expand it. Changes in policy reserves, deferred acquisition costs and reinsurance recoverables are treated as part of running an insurer, not as working capital. On this basis, owner earnings per diluted share were about $5.17 in 2016, $9.78 in 2018, $14.83 in 2020, $18.14 in 2022, $17.27 in 2023, $21.99 in 2024 and $25.08 in 2025. Per-share figures are lifted by heavy buybacks (diluted shares fell from about 47.5 million to 32.7 million over the decade). Owner earnings are somewhat higher than reported profit because insurance reserves keep growing; that cash is retained and invested in bonds inside the insurance companies rather than being free to distribute, which is one reason we do not anchor on the latest, highest year. Starting level. We use $22 per share, the median of 2023 to 2025. The 2021 to 2023 period was distorted by the 2021 acquisition of the Senior Health business, which produced goodwill write-offs of $76 million in 2021 and $60 million in 2022, and was then sold or wound down in 2024 (a $254 million impairment and a $96 million loss on disposal in that year). We therefore do not treat earlier years as fully representative, but we also avoid the single strongest year. The first half of 2026 supports the level: operating cash flow of $351 million versus $360 million a year earlier, with revenue up about 9%. Growth. Owner earnings grew about 14% per share in 2025. Our base case assumes only 4% a year in total owner earnings for ten years, below that trailing rate; there is no specific dated event we can point to that would justify assuming 2025's pace continues, and the 2025 figure was helped by share count reduction. What we credit: revenue has risen every year from 2015 through 2025, including 2020, from $1.4 billion to $3.3 billion, driven by a steady flow of new policies from the sales force and funded from the company's own cash, in a business that requires only about $25 to $35 million a year of capital spending. We credit well under that record. We do not credit share gains, new products, or margin expansion. We do not credit buybacks either, since repurchasing shares at a fair price does not add value. Base case: $455 per share. Owner earnings of $22 grow 4% a year for ten years, then growth tapers to zero by year 13, earnings stay flat to year 25 as new policies replace those that lapse, and then decline about 5% a year as the current book and sales model age. Bear case: $213 per share. Owner earnings return to about $17.50, the level of 2021 to 2023, with no growth. Reasons: the Senior Health acquisition shows management can destroy capital on an acquisition; reserve-related cash flow that inflates owner earnings could prove less durable; and new business could stall if recruiting weakens. Earnings stay flat for ten years then decline about 5% a year. Debt is modest (about $23 million in annual interest), so leverage is not a major factor. Bull case: $625 per share. Starting from about $24 (near the recent 2024 and 2025 average), owner earnings grow 7% a year for ten years, still below the roughly 13% compound rate of the past decade, tapering to 2% by year 12, then flat to year 25 and declining thereafter. What would make this wrong. Higher claims or lapse experience on the term book, a sustained drop in new sales representatives and policies, another acquisition write-off, or reserve cash flows that prove non-recurring would all lower value. We could not fully reconcile the persistent roughly $100 million a year of net cash from reserve, deferred-cost and reinsurance movements; we treated it as recurring because it has appeared in each of the last three years, but it is invested rather than distributable. Margin-of-safety price. The margin-of-safety price is about $230 per share, close to the bear case, and well below the base case value.
