Business condition attached to the margin of safety The Bank's Formal Agreement with the OCC has been terminated (or the Bank has been redesignated "well capitalized" rather than "adequately capitalized") and the company has reported at least two consecutive quarters of positive net income.
Patriot National Bancorp is the holding company for Patriot Bank, N.A., a small community bank based in Stamford, Connecticut. It makes its money the way small banks do: taking in deposits, making commercial and consumer loans, and originating some SBA loans for sale. The business went through a genuine crisis in 2023-2024. Credit costs rose sharply, and in the third quarter of 2024 the company recorded a $25 million non-cash charge to fully reserve its deferred tax assets, after three years of cumulative losses made that accounting reserve necessary. Combined with a higher loan-loss provision, the company reported a $39.9 million net loss for 2024, and by year-end the Bank no longer met all of its regulatory capital requirements. In January 2025 the Bank entered into a formal agreement with its regulator, the Office of the Comptroller of the Currency, requiring it to strengthen capital, governance, and credit administration — the agreement remains in effect today. The company addressed the capital shortfall decisively: in March 2025 it completed a $57.75 million capital raise, which diluted existing shareholders heavily (share count rose roughly nineteen-fold, with further shares issued later in the year) but left the Bank with capital ratios well above both standard "well capitalized" thresholds and the higher minimums its regulator now requires — 20.76% total capital against a 10% requirement at the end of 2025. The company still reported a net loss for 2025 ($12.7 million) as it worked through remediation and repositioned its loan book, but the trend has been improving: the loss narrowed sharply from 2024 to 2025, and the most recently completed quarter (second quarter of 2026) was the company's first profitable quarter since the crisis began. Because of this, the owner-earnings history before 2025 describes a different business — a much smaller share count and a bank that had not yet been through this capital event — and isn't comparable per-share to today. The most relevant full year is 2025 itself, which on a cash basis (operating cash flow, adjusted to remove working-capital swings, stock compensation, and routine capital spending) generated a loss of roughly $8.1 million. A meaningful piece of that reflects one-time items: a surge in stock-based compensation tied to a new incentive plan launched alongside the March 2025 raise, and loan sales tied to repositioning the balance sheet — both plausibly non-recurring, though not yet proven out. We've used the return to quarterly profitability in mid-2026 as evidence that year one of the outlook can improve on 2025's result, without assuming the recovery is complete; a single profitable quarter is a signal, not proof. The bear case assumes the regulatory remediation drags on, the balance sheet keeps shrinking as the bank continues to de-risk, and the company only gradually works its way to a modest, stable level of earnings. About 39% of the bank's deposits — roughly $954 million — are uninsured, the kind of deposit base that can reprice quickly or grow costlier to retain if depositors get nervous, as happened industry-wide in 2023. We didn't assume anything worse than a repeat of what the bank has already lived through, since nothing in the filings points to more than that. The base case assumes the capital raise and remediation substantially resolve over the next two to three years, provisioning normalizes, and the bank returns to something like the earnings power it showed before the crisis, scaled to today's much larger share count. The bull case assumes the bank puts its excess capital to work — it currently holds roughly twice the capital regulators require — and grows the loan book at a healthy pace once the regulatory agreement is behind it, reaching a return on equity more typical of a well-run community bank. In all three cases, we've assumed the earnings level that's reached settles into a flat run rate after ten years rather than growing further, because we don't have a specific, evidenced reason to assume continued growth beyond that point. What would make this estimate wrong: if the regulatory agreement drags on for years longer than expected, if credit quality deteriorates again, or if the bank needs to raise capital yet again at a low price, the bear case could prove too optimistic. Conversely, if the improvement already visible in the most recent quarter continues and the bank successfully redeploys its excess capital, results could come in above even our bull case.

Reported net loss was $(39,882)K, far more negative than OE, because it includes a non-cash $25.1M deferred-tax-asset valuation allowance (full reserve against DTAs following a 3-year cumulative pretax loss) and a $12,455K loan-loss provision (up from $7,429K in 2023) — both non-cash items the CFO-based owner-earnings formula correctly adds back. The Bank did not meet all regulatory capital requirements at 12/31/2024 and entered a Formal Agreement with the OCC in January 2025. Source: FY2024 10-K, accession 0001628280-25-017837.
