Bankwell Financial Group is the holding company for Bankwell Bank, a Connecticut state-chartered commercial bank founded in 2002 and based in New Canaan. At the end of 2025 it had about $3.4 billion of assets, about $2.8 billion of net loans, about $2.8 billion of deposits and about $301.5 million of shareholders' equity, spread over roughly 7.8 million diluted shares. It lends mainly to commercial borrowers, including commercial real estate (property types listed in its filing include office buildings, industrial, mixed-use, retail centers and multifamily), and funds itself with deposits. How we measured earnings. We start from cash generated by operations, remove swings in working capital (other assets, accrued interest, deferred loan fees and accrued liabilities) and subtract stock-based compensation and premises spending. On that basis the company generated about $2.39, $2.39, $1.86, $3.73, $4.93, $4.71, $4.34 and $4.01 per share for 2018 through 2025. Working-capital swings were large in 2019, 2020 and 2022, which is why they are stripped out. One judgement matters most. Cash from operations adds back the provision for credit losses, but loan losses are real costs that the cash-flow statement never charges to operations. In 2024 the provision was $22.6 million and net income was only $9.8 million, while our owner-earnings figure for that year is $4.34 per share. We therefore start from the median of 2021 to 2025 ($4.34 per share, a window that includes the 2024 loss year) and deduct a through-cycle credit cost of about $6.0 million a year before tax, the 2021 to 2025 average provision (about $0.56 per share after tax), giving a normal level of about $3.78 per share. The 2025 result ($4.01) is below that median and reflects a provision of only $1.0 million and $5.1 million of gains on loan sales, so we did not lift the level on it. Growth check. Owner earnings fell about 7.6% in 2025 ($4.34 to $4.01). Our base case starts below that, at $3.78, and assumes no growth. Base case, about $35.50 per share. Earnings hold flat at about $3.78 per share for ten years, then fade to zero over the following ten years. We credit no loan growth, even though loans rose from $1.9 billion to $2.8 billion between 2021 and 2025 and net interest income rose from about $67.9 million in 2021 to $98.9 million in 2025 (versus $83.3 million in 2024), because we cannot show that growth is repeatable at a steady pace without large credit-cost swings. The new Brooklyn branch (opened in the first quarter of 2026) is left out for the same reason. Nothing in the filing lets us name what sustains earnings beyond year twenty, so the value stops there. No debt is subtracted, since owner earnings are already after interest paid. Bear case, about $21.30 per share. Credit losses run at roughly the average of the 2020 ($7.6 million) and 2024 ($22.6 million) provisions, about $15 million a year, leaving about $2.90 per share for ten years, with nothing credited afterward. The bank carries about $2.8 billion of deposits against about $301.5 million of equity, and its lending includes commercial real estate, so a repeat of the 2024 experience is the identifiable risk. Bull case, about $44.20 per share. Credit costs stay as low as in 2023 and 2025 (provisions of $0.9 million and $1.0 million), so earnings stay near the $4.71 per share of 2023 for ten years and then fade over ten more years as in the base case. What would make this wrong: further large loan losses beyond 2024 would push toward the bear case, while a run of very low provisions with the higher net interest income seen in 2025 would push toward the bull case. Cash flow in 2019, 2020 and 2022 was heavily distorted by working-capital items; we removed them, but the underlying causes were not separately identified in the filings we reviewed.
