Paylocity sells cloud payroll, HR, time, benefits and, more recently, finance and spend-management software to mid-sized U.S. employers through a direct sales force. About 93% of fiscal 2026 revenue (year ended June 30, 2026) was recurring, annual revenue retention has been above 92% for three straight years, and clients grew 7% to about 44,400. The other 7% of revenue ($120.0 million) is interest earned on client payroll funds Paylocity holds before paying employees and taxes. How we measure earnings. We start from operating cash flow, remove the timing swings in receivables, payables and accruals, and subtract stock compensation as a real cost ($138.7 million in fiscal 2026). We also deduct the part of capital spending (equipment plus capitalized software) needed to stay in business rather than to grow. Sales commissions that are capitalized (deferred contract costs, $47.9 million in fiscal 2026) are left in as a genuine, recurring cost of winning customers. On this basis owner earnings per diluted share were roughly $0.2 to $0.6 from fiscal 2017 to 2022, then $1.55, $3.06, $3.52 and $5.94 in fiscal 2023 through 2026. The jump reflects scale, higher interest on client funds, and, in fiscal 2026, an $82.9 million deferred-tax benefit tied to the 2025 federal tax law's accelerated deductions; without it fiscal 2026 would be about $4.43. We anchor on the median of fiscal 2024 to 2026 (about $3.60 per share), a window that reflects the business at its current scale and higher-rate interest environment. This deliberately sits below the fiscal 2026 normalized level of $4.43, which we do not yet treat as the lasting level. Earlier years describe a much smaller company and are not used. Growth credited. Trailing owner-earnings growth in fiscal 2026 was about 24% after stripping out the tax benefit; our base case starts at 10% in year one, below that. What is credited is the continuation of a mechanism that has run for many years and through the 2020 downturn: the direct sales force adding clients (revenue has grown every year, 11% in fiscal 2026 and 14% in fiscal 2025), funded from the company's own cash, on top of a base that retains more than 92% of revenue. Growth tapers from 10% to 2% over ten years as the addressable client base fills in. We do not credit margin expansion, the newer AI products (Ignite AI), the Airbase spend-management business or acquisitions, because none has a demonstrated earnings record yet. Base case, about $76 per share. Owner earnings grow from $3.60 to roughly $6.70 per share by year ten, then hold flat for a further 15 years, on the evidence that the sales engine has replaced customer attrition for two decades, after which we assign no value. Share buybacks ($398 million in fiscal 2026) are not credited. Bear case, about $36 per share. Two named pressures. Interest on client funds fell 3% in fiscal 2026 even though average balances rose, because rates fell; in fiscal 2022, when rates were near zero, total revenue exceeded recurring revenue by only about $5 million. We assume roughly half the current interest income is lost for good, which lowers the starting level to about $2.80. Growth then runs only 2 to 3% for five years and stops, and earnings are flat for another ten years and then end. The company also spent $277.9 million on acquisitions in fiscal 2025 and $49.2 million in fiscal 2026 and carries $81.3 million of revolving debt, which is modest; the debt is not the driver of the bear case. Bull case, about $107 per share. Interest income holds, the fiscal 2026 normalized level of $4.43 (rounded to $4.40) proves durable, and growth runs 12% tapering to 4% over ten years, in line with the 11 to 14% revenue growth already delivered, followed by 15 flat years. What would make this wrong. Sustained lower interest rates are the largest identified swing factor. Stock compensation remains near a quarter of operating cash flow. Also, prior-year capitalized-cost figures for fiscal 2020 include a small residual of about $1.2 million that we could not tie to a named line in the cash-flow statement; it does not affect the conclusion. Margin-of-safety price. Recurring revenue and high retention make this a fairly predictable business, but the value is concentrated in a high multiple of earnings and is sensitive to interest income and to continued sales execution. The margin-of-safety price is set near the bear case, at about $40 per share.
