Paycom sells cloud-based payroll and human capital management software (payroll, time and attendance, talent acquisition and management, HR tools) on a single database, chiefly to U.S. employers with 50 to 10,000+ employees. In 2025 it had about 20,300 clients, revenue of $2.05 billion (up 9%), and a 91% annual revenue retention rate (90% in 2024). Revenue is charged largely per employee per payroll, so it is sticky but rises and falls with client headcount. About $113 million of 2025 revenue was interest earned on client funds held between collection and remittance; each 1-point change in rates moves that by roughly $22 million a year, with no offsetting cost. How we measure earnings. We start from operating cash flow and subtract working-capital swings, stock compensation (a real cost, since shares are issued to staff), and maintenance capital spending. Commissions Paycom capitalizes on new contracts ($90 to $128 million a year) are treated as an ongoing cost of winning business and stay in the result. Two recent years are distorted. In 2024 stock compensation was negative because $117.5 million of previously booked expense was reversed when CEO Chad Richison's restricted stock award was forfeited in February 2024; without that, owner earnings were about $4.3 per share rather than the $6.41 the raw arithmetic gives. In 2025 operating cash flow was boosted by about $88 million of tax timing (deferred taxes) after the July 2025 tax law allowed 100% bonus depreciation and immediate deduction of domestic R&D; adjusted for that, 2025 was about $4.3 per share rather than $7.02. Earlier years, on the same basis, were roughly $1.6 (2021), $2.6 (2022) and $3.0 (2023). Capital spending has climbed from $126 million in 2021 to $275 million in 2025, and we deduct all of it except a small growth share. Earnings level used. We anchor on about $3.6 per share, the middle of 2022 to 2025 with the two distorted years adjusted as above. It sits below the last two years' adjusted level of about $4.3 because capital spending and stock compensation both stepped up in 2025. The most recent year's adjusted owner earnings were roughly flat to slightly down (about -1%) even though revenue grew 9%, so the base case starts at -1% rather than assuming growth resumes at once. Base case (about $66 per share). Owner earnings dip 1% in year one, then grow 4% to 5% a year, easing to 3% by year seven. That growth is the continuation of what Paycom has done every year since its 2014 IPO era: revenue has risen each year including 2020, funded from its own cash, through a sales organization that replaces the roughly 9% of revenue lost to churn each year and adds more (58 sales teams; clients up from 19,422 to 20,321 in 2025). We use less than the recent 9% to 10% pace because sales teams were flat for the past year and revenue growth has slowed from 23% (2023) to 11% to 9%. After year ten we assume earnings fade 2% a year rather than hold, since we cannot name what replaces a maturing product set. We do not credit new products such as the IWant AI engine, international expansion or larger-employer wins, none of which is yet visible in the results. The naming-rights sponsorship payments end no later than September 30, 2028, which will reduce expenses, but we do not count that. Bear case (about $28 per share). Interest on client funds falls by about 2 points of rates (about $44 million pretax, roughly $0.60 per share), retention slips back, and headcount at client firms softens. Owner earnings settle near $2.2 per share, the 2022 to 2023 level less the rate hit, with no growth for ten years and a 4% annual fade afterward. This reflects a competitive, fragmented market in which the filing itself flags aggressive pricing and retention pressure. Bull case (about $109 per share). Owner earnings start from about $4.3 per share (the adjusted 2024 and 2025 level), grow 5% in year one and 8% for three years, easing to 5% by year ten, then fade 1% a year. This is the business's own recent revenue pace (9% to 10%) continuing with capital spending moderating, and it needs no new product to succeed. What could prove this wrong. Client headcount falls in a labor downturn; lower rates reduce client-fund income faster than assumed; capital spending stays near $275 million without matching revenue; or the 2025 tax benefit proves more permanent than the timing we assumed, which would lift the base. Debt is small, so leverage is not a driver. Some 2025 items (client-fund income and the tax timing) could not be fully separated from underlying cash generation in the filing, so the adjusted 2025 figure carries a modest margin of error. Margin-of-safety price. The margin-of-safety price is near $40, a discount of about 40% to the base case, in line with the bear case at roughly $28 and reflecting a business with sticky revenue but a rate-sensitive income line, rising capital needs and a growth rate that has been slowing.

DISTORTED: CFO includes deferred income taxes +$154.4M from the July 2025 tax law (100% bonus depreciation, immediate R&D deduction); net tax timing benefit ~$88.1M ($154.4M less $66.3M). Removing that benefit and the non-tax working-capital effect gives normalized OE ~$239M = ~$4.26/sh. Reconciliation check: NI $453.4M + non-cash items + working capital and deferred contract costs ties to CFO within 0.2%. Source: FY2025 10-K accession 0001193125-26-059372.
