Business condition attached to the margin of safety Two consecutive fiscal years of positive owner earnings (operating cash flow after stock compensation and capital spending, excluding asset-sale proceeds), and the $200 million 2029 and $441 million 2030 convertible notes refinanced, converted or retired without a restructuring that wipes out or massively dilutes common shareholders.
Pacific Biosciences of California (PacBio) makes long-read DNA sequencing instruments - the high-throughput Revio system, launched in 2023, and the Vega benchtop system, shipping since the fourth quarter of 2024, which succeeded the older Sequel instruments - and sells the SMRT Cells and reagents those machines consume, plus service contracts. Its HiFi long-read technology reads long stretches of DNA with high accuracy, which the company says gives more complete and accurate views of the genome. Customers include academic and government research institutions, genome centers, commercial testing laboratories, hospitals and pharmaceutical companies. 2025 revenue was $160 million: instruments $54 million (down from $120 million in 2023 as the Revio launch wave passed), consumables $82 million (up from $63 million in 2023) and service $24 million. First-half 2026 revenue was $76 million, flat with a year earlier. The core fact about this business is that it has never earned its keep. Measured as the cash the business actually throws off for owners - operating cash flow, with working-capital timing swings removed, stock compensation treated as the real cost it is, and capital spending deducted - PacBio lost money in every one of the last ten years except 2020, when a $98 million termination fee from Illumina's abandoned takeover briefly pushed it positive. Those owner losses were about $88 million in 2016, rose to $312 million in 2022 and $301 million in 2023 after the Omniome short-read acquisition, then narrowed to $255 million in 2024 and $159 million in 2025 (about $0.53 per share) after cost-cutting programs begun in 2024 and early 2025. That 2025 figure, the only full year on today's slimmer cost base, is our starting point; earlier years carried a short-read program the company has since abandoned. The first half of 2026 did not improve on that level. Owner losses were about $93 million, essentially the same as the $92 million of the first half of 2025. Reported gross margin rose to about 33% from 17%, but almost all of that gain came from smaller non-cash charges: inventory write-downs fell from $8.5 million to $1.4 million and amortization in cost of sales from $4.5 million to $0.4 million. Gross profit before those charges was about $26-27 million in both periods. In the second quarter alone, gross margin was about 32%, below the 37% of the second quarter of 2025. Research, selling and administrative expenses fell by about $21 million, but interest income on the shrinking cash balance dropped from $7.3 million to $4.7 million, capital spending rose from $1.9 million to $4.6 million, and much of the remaining saving did not show up in cash. We could not determine why, because the quarterly narrative was not available to us. Two accounting points matter. First, the reported net loss of $546 million in 2025 is mostly write-offs - $359 million of accelerated amortization on the Omniome technology and a $15 million impairment - that consumed no cash in 2025. We add them back, which is correct for measuring today's cash earnings, but the write-offs themselves are the record of capital destroyed. PacBio recorded about $715 million of purchase consideration for Omniome in 2021 - $316 million of cash, $249 million of shares and the estimated value of a $200 million milestone payment later triggered in 2023 - and bought Apton Biosystems in 2023. In 2025 it stopped developing its short-read system, and in January 2026 it sold the short-read technology for $50 million in cash. The roughly $48 million of net proceeds, and the related $46 million accounting gain, are one-time and are excluded from earnings. Second, lease payments are treated as an operating cost, not a timing swing. The balance sheet frames every case. At June 30, 2026 PacBio held about $237 million of cash and investments against $641 million of convertible notes: $200 million at 1.5% due August 2029, held by SoftBank's SB Northstar and convertible at about $4.89 a share, and $441 million at 1.375% due December 2030, convertible at about $21.50. Book shareholders' equity had turned negative (about -$33 million). The notes have been restructured twice already - a 2023 exchange and a November 2024 exchange in which $459 million of 2028 notes became $200 million of new notes, 20.5 million shares and $50 million of cash. While SoftBank holds at least $180 million of the 2029 notes, PacBio's ability to borrow more is restricted, with exceptions including up to $75 million of secured credit facilities. At the current burn rate the cash covers roughly eighteen months, so more capital or another exchange will be needed well before the 2029 maturity. We value the stream of owner earnings at a flat 6% and do not subtract debt from the result, because interest is already inside the cash figures; the burden of the debt is carried in the bear case. Bear case (about -$2.33 per share): Revenue stays near $155-160 million as instrument sales keep shrinking under competition in long-read sequencing, including from Oxford Nanopore, and the academic and NIH funding pressure the company itself cites, while cost-cutting has run its course. Owner losses stay at or slightly above the 2025 level, about $160-165 million a year. The cash runs out around the end of 2027, a further stopgap carries the company to the August 2029 maturity, and it cannot repay or refinance $641 million of notes from a business that earns nothing. Adding the $237 million of cash to the present value of the losses (about -$456 million) and deducting the present value of the note principal (about -$507 million), the company owes roughly $725 million more than it is worth; common shareholders would expect to be wiped out in a restructuring. Base case (about -$1.29 per share): Owner losses improved 38% in 2025, but the first half of 2026 showed no further improvement, so we assume 2026 losses of about $159 million, roughly unchanged. After that, the demonstrated growth in consumables and service revenue - from $80 million in 2023 to $106 million in 2025 - narrows losses by about 6% a year, to roughly $150 million in 2027, $141 million in 2028 and $132 million in 2029. With the business still losing well over $100 million a year when the 2029 notes fall due, there is no evidenced route to self-funding, so the story for today's shareholders ends there, most likely in another debt-for-equity exchange that transfers most of the company to noteholders. The present value of the losses from July 2026 to that point is about $401 million. Bull case (about -$0.44 per share): The company's own levers all work. Revio and Vega widen adoption, and revenue compounds about 12% a year to roughly $460 million by 2035. Gross margin before non-cash charges, about 38% in 2025, reaches 50% by 2033, far above the 24-29% reported gross margins of 2023-2025. The lower 2026 research, selling and administrative spending carries through to cash, holding other costs near $205 million a year against about $219 million in 2025. The SoftBank notes convert into about 41 million new shares and the 2030 notes are refinanced. Even then the company does not break even until about 2034; after that, owner earnings grow to about $91 million a year by 2039 and are held there to 2044, then fade to zero by 2049. We do not assume that technology leadership lasts longer: the Revio and Vega systems are replacing the Sequel line, the company itself warns that new product introductions can hurt near-term revenue, and PacBio's own short-read instrument, first shipped in 2023, was abandoned in 2025. Because the losses come first and the profits later, the losses outweigh the profits in today's money even on this path. On the evidence in the filings, the shares have no intrinsic value in any of the three cases: the business consumes more cash than it can be shown to return, and the debt outranks shareholders. Our earlier estimate put the bull case at about zero; recalculating that path year by year, with each year's losses and profits discounted to today, shows the early losses outweigh the later profits, and the bear case is slightly lower because it no longer assumes losses improve from the 2025 level. The price should not be read as a bargain at any level until the business proves it can fund itself. The margin-of-safety price applies only after two consecutive years of positive owner earnings and a resolution of the 2029 and 2030 notes that leaves common holders intact. On the bull-case path, the profits remaining at that point would be worth roughly $1.75 a share; a margin-of-safety price around $1.00 leaves a wide margin against a still-fragile, fast-changing technology business and further dilution from settling the notes. What would make this analysis wrong: a sustained step-change in consumables growth well above 20% or gross margin above 50% without new spending, a takeover by a larger life-sciences company (not something we can value from the filings), or a debt exchange far more generous to shareholders than the 2024 deal. PacBio has sold into China in part through a distributor based in Hong Kong. In April 2025 the U.S. Commerce Department's Bureau of Industry and Security asked about that distributor and its customer in China; the company made a voluntary self-disclosure, and the matter was closed in September 2025 with a warning letter and no penalty. Tightening U.S.-China trade rules remain a risk to Asia-Pacific sales, which were about 27% of 2025 revenue.
