Octave Specialty Group is what remains of Ambac after it sold its legacy bond insurer (Ambac Assurance) on September 29, 2025. The business is now two parts: insurance distribution, a group of specialty agencies and managing general agents including ArmadaCare (supplemental health, bought for $250 million on October 31, 2025), Octave Ventures (formerly Beat Capital, London specialty, now 70% owned) and smaller US agencies; and Everspan, a small program insurer that fronts for agencies and keeps about a fifth of the risk. Earnings record. On the restated continuing business, owner cash earnings (operating cash flow after stripping working-capital swings, stock pay and upkeep spending) were roughly -$1 million in 2023, -$24 million in 2024 and -$57 million in 2025, or -$0.03, -$0.52 and -$1.20 per share. 2025 was weighed down by $21 million of severance, $9 million of deal costs, bridge-loan interest and only two months of ArmadaCare. Stock pay of $10 to $17 million a year is treated as a real cost. Large intangible amortization ($38 million in 2025) is added back because it is a sunk acquisition cost, but the acquired agency relationships do wear out, so no growth is credited from them. The business has never produced positive owner earnings in its current form, so the starting level is a judgement about the reshaped company rather than a median of history. We use the first half of 2026 as evidence of that reshape: distribution earnings attributable to shareholders rose sharply on ArmadaCare and organic revenue growth of about 44%, and corporate overhead fell to about $24 million for six months from $29 million. Against that, operating cash flow from continuing operations was still -$20 million in the first half of 2026, which we could not fully reconcile to the reported improvement; distribution profit commissions are seasonal and concentrated in the first half. What it owes. At June 30, 2026 bank debt was about $155 million (a term loan and revolver due October 2030, floating at SOFR plus 2.25% to 2.75%, with leverage covenants), raised partly to buy out Octave Ventures minority owners in April 2026. Against that, the parent held about $48 million of cash and investments. Net debt is therefore about $107 million, or $2.37 per share. Minority partners still hold about $198 million of rights to sell their stakes to the company; we treat these as roughly value-neutral (the company receives the earnings it pays for) but they will be funded with more debt, which raises the bear-case strain. A warrant for 5.1 million shares at $18.50 is not counted. The company has $1.69 billion of federal tax loss carryforwards, which means the cash it earns should be largely untaxed for many years; that is reflected in each case through near-zero cash taxes. Base case. Distribution earnings stay roughly at the first-half 2026 run rate with no credit for further organic growth (the 44% was partly one large program and is not yet a demonstrated multi-year record), corporate overhead stays near $48 million a year, and Everspan breaks even. The business then produces about $8 million a year of cash before interest for shareholders, held flat. That is worth about $133 million; less $107 million of net debt leaves about $26 million, or $0.57 per share. Bear case. Specialty agency earnings depend on carrier appetite and premium pricing, which have cycled; in the 2008-2012 soft market specialty commission and profit-commission income fell 20-30%. Applying a downturn of that size from 2027 to 2029, with profit commissions disappearing and overhead unchanged, turns cash flow negative by roughly $10-12 million a year for three years, while the company must also fund minority put exercises with debt; recovery is slow and long-run earnings settle near $2 million. The business would be worth roughly nothing (about -$4 million) against $107 million of net debt, leaving about -$111 million, or -$2.45 per share. In this case the company owes more than it is worth by about $110 million, and covenant pressure on the 2030 facility would likely force asset sales or dilution. Bull case. ArmadaCare and Octave Ventures keep growing at their recent pace for a few years, overhead is cut further, and Everspan earns a modest underwriting profit after its repositioning (its combined ratio improved by more than six points in the second quarter of 2026). Cash before interest rises from about $12 million to $35 million by 2031 and holds there. That is worth about $522 million; less $107 million of net debt leaves about $415 million, or $9.14 per share. None of this growth is yet in hand; it is what happens if the levers management is pulling all work. What would make this wrong. Upside: overhead is cut much further (corporate costs of $48 million a year are very large for a business of this size), the first-half 2026 improvement proves durable and shows up in operating cash flow, or the tax losses are used faster. Downside: the minority put obligations are larger than expected, a large program at ArmadaCare or Octave Ventures is lost, or Everspan needs capital. Margin-of-safety price. We are not confident of the earnings level: there is no year of positive owner earnings in the current form, and the improvement rests on two quarters. The worst plausible outcome is a soft market combined with debt-funded put buyouts, which this balance sheet, with negative tangible book value, would not comfortably survive. If we are wrong on the overhead (it does not fall) or on distribution earnings (they revert toward 2025), the shares are worth little or nothing. While waiting, the business pays no dividend and has suspended buybacks. Given a base value barely above zero and a bear case well below it, the margin-of-safety price is set at a level close to an option on the turnaround, about $0.25 per share; from that level a modest success in cutting overhead implies well over the required return, while the bear case implies losing most or all of that price. The estimate would be revisited if operating cash flow turns positive for a full year. Previous analysis. Our earlier estimate (September 2026) was built on a different method and its figures are not comparable.

Sales geography
United States (all regions; ArmadaCare supplemental health sold nationally), United Kingdom (London specialty market through Octave Ventures), Bermuda
Historical growth strategy
Growth by acquisition: since 2021 the company has bought controlling stakes in specialty insurance agencies and MGAs (Xchange, Riverton, Octave Ventures/Beat in 2024, Pivix and ArmadaCorp in 2025) using cash from its former run-off insurer and bank debt, leaving founders with minority stakes and put rights, and has grown a small fronting insurer (Everspan) by adding programs.
Chart analysis
A chartist would see a long-range downtrend dating back to the Ambac years, punctuated by a sharp drop and gap around the September 2025 completion of the legacy insurer sale and renaming, followed by a low, choppy base. Rallies have stalled below the declining longer moving averages, so the stock would be described as range-bound to weak with no confirmed reversal; a sustained close above the 200-day average on rising volume would be the first sign of a trend change.
