Business condition attached to the margin of safety At least one full subsequent annual report (FY2026 10-K) shows the Newfront acquisition and the pending Cushon and Al-Futtaim Willis buyout transactions integrated without a material impairment, guidance miss, or unplanned dilution.
Willis Towers Watson (WTW) is one of the world's largest insurance brokers and employee-benefits/HR consultants, operating through two segments: Risk & Broking (commercial insurance placement, reinsurance-adjacent advisory) and Health, Wealth & Career (retirement, benefits, and compensation consulting). Revenue is earned as commissions and fees tied to renewing commercial insurance policies and multi-year consulting/administration contracts — a recurring, high-retention business model the company describes as having 'high client retention rates' across its consulting lines. The business has been reshaped twice in recent years. At the end of 2021, WTW sold its reinsurance-broking unit (Willis Re) to Gallagher for $3.25 billion, following the collapse of a planned merger with Aon (Aon paid WTW a $1 billion termination fee in 2021 after regulators blocked the deal). At the end of 2024, WTW exited TRANZACT, a sub-scale direct-to-consumer Medicare distribution business, taking a $1.0 billion goodwill write-down and a $337 million loss on the sale. Because of these transactions, we anchored this valuation on 2022–2025 — the four years since the business last stopped being reshaped — rather than a mechanical ten-year average; owner earnings in that window were a median of about $13.71 per diluted share, after adding back non-cash charges (depreciation, intangible amortization from the 2016 Willis-Towers Watson merger, and the TRANZACT write-down), removing stock compensation and working-capital timing swings, and deducting only the portion of capital spending needed to maintain (not grow) the business. Just after this window closed, WTW signed and closed a notable new deal: the $1.3 billion acquisition of Newfront, a technology-enabled insurance brokerage, completed January 27, 2026 and funded mostly with new debt. Two smaller, related transactions (Cushon, a UK pensions/savings platform, and buying out the remaining 51% of its Al-Futtaim Willis joint venture in the UAE) are expected to close in the first half of 2026. Total debt rose from $5.3 billion to $6.3 billion at the end of 2025 to help fund these deals. We built three cases: Base case: Owner earnings grow roughly 6–7% annually over the next two years, tapering to about 4% by year ten, in line with the company's own reported organic revenue growth of 5% in 2025 (after stripping out currency and the TRANZACT divestiture) and consistent with our own independent estimate of similar underlying growth. Beyond year ten, we assume earnings keep pace with roughly 2% annual growth — in line with inflation — reflecting the renewal-based, high-retention nature of the business rather than any new growth driver. This case values the shares at approximately $463. Bear case: The three near-simultaneous 2026 acquisitions strain integration bandwidth and don't deliver as hoped — a real risk given the very similar TRANZACT write-down just two years earlier — while the higher debt load raises interest costs. Owner earnings are roughly flat to slightly down for the first few years before recovering to low-single-digit growth. This case values the shares at approximately $265. Bull case: Newfront, Cushon, and the UAE buyout all integrate well and add to growth, the ongoing internal cost-efficiency program continues to expand margins, and the company keeps repurchasing shares at a pace similar to the roughly $900 million to $1.65 billion per year spent in 2023–2025. Owner earnings grow at a low-double-digit pace in the near term, tapering to mid-single digits. This case values the shares at approximately $697. An important accounting judgment: WTW's cash flow includes sizeable non-cash intangible amortization ($192–263 million per year recently) left over from the 2016 merger that created the company. We added this back in full when computing owner earnings, as the cash isn't actually leaving the business — but rather than assuming that add-back is 'free' forever, we treated the underlying customer relationships as a durable, evidenced asset (given the disclosed high-retention consulting relationships) rather than assuming continued rapid growth on top of it. We stress-tested two of the assumptions behind this valuation against the filings: the assumed near-term growth rate was checked against WTW's own disclosed organic revenue reconciliation (which showed +5% organic growth in 2025) and against our own independently reconstructed figure (+6%) — both supported the growth path used rather than undermining it. We also checked the 'high client retention' claim underlying the long-term durability assumption directly against the risk-factor and segment-description language in the filing, where it is stated plainly for the consulting businesses. One item we could not fully unpack from the filings: the exact driver of a $458 million swing in 'other liabilities' that boosted 2025 operating cash flow (most likely timing of incentive-compensation payouts, based on the pattern of similar swings in other years). We treated this, and the working-capital swings in other years, as normal timing noise rather than sustainable earnings power — which is why 2025's reported owner earnings of $21.25 per share was not used as the standalone anchor for this valuation. Given the pending, not-yet-proven integration of three 2026 acquisitions layered on top of meaningfully higher debt, the margin-of-safety price carries a larger cushion than a simpler, unlevered business would warrant.

Largest driver of the y/y OE jump is the ΔWC swing (a $458M use of cash in 'Other liabilities', likely incentive-compensation payout timing) being added back; this is treated as timing noise per methodology, not as a sustainable run-rate, and FY2025 is NOT used alone as the valuation anchor.
