Gallagher is an insurance broker: it places coverage for clients and earns commissions and fees, so it is a fee business rather than a risk-taker, and it needs very little physical capital. Over the past decade its per-share cash earnings after capital spending and stock compensation grew at a high-single to low-double-digit rate, but the recent path is lumpy: roughly $5.70 a share in 2021, $5.11 in 2022, $7.76 in 2023, $10.14 in 2024 and $6.11 in 2025. The 2024 figure was flattered by a working-capital swing, and 2025 was depressed because the $13.8 billion AssuredPartners purchase closed in August, adding only part of a year of earnings while the share count jumped from 225 million to 260 million after the stock sale that helped pay for it; on a full-year basis the company itself showed 2025 revenue of $16.3 billion. Treating normalized owner earnings as roughly $8.65 a share, the base case assumes 7% annual growth for a decade, 3% thereafter and a 9.5% required return, giving about $140 after subtracting $11.6 billion of net debt. The bear case is built on a softening property-casualty pricing cycle, lower interest income on client funds and a disappointing integration, rather than on a one-off macro shock: 3% growth and an 11.5% required return give about $42. The bull case, with synergies delivered and 10% growth, is about $262. Acquisition spending here is genuine expansion rather than upkeep, since organic revenue still grew 6% in 2025. The margin-of-safety price is anchored on the base case at roughly a 40% discount, reflecting about 70-75% confidence: record debt, a half-finished integration and a change in how cash flow is presented make the recent record harder to read.
Fiscal yearOwner's earningsMethodology
2025 $6.11 ▼
Owner earnings = cash from operations $1,930M - capital expenditures $145M - amortization of deferred compensation and restricted stock $148M - stock-based and other noncash compensation $49M = $1,588M; divided by 260.1M weighted-average diluted shares = $6.11. Both equity-compensation add-back lines are deducted as real share-settled compensation cost. This year is depressed and not representative: AssuredPartners (gross consideration $13.8B) closed August 18, 2025 so only about 4.5 months of its earnings are included, while the share count rose to 260.1M from 225.0M after the December 2024 / January 2025 equity raise; operating cash flow also absorbed $491M of acquisition earnout payments in excess of original estimates versus $42.4M in 2024. On a full-year pro forma basis the company disclosed FY2025 revenues of $16,256M and diluted earnings per share of $6.24 versus $5.74 as reported. 2024 $10.14 ▼
Owner earnings = cash from operations $2,582.9M - capital expenditures $141.9M - amortization of deferred compensation and restricted stock $117.5M - stock-based and other noncash compensation $41.9M = $2,281.6M; divided by 225.0M weighted-average diluted shares = $10.14. Both equity-compensation add-back lines are deducted as real share-settled compensation cost. This year is flattered by a $363.0M working-capital build in accrued compensation and other accrued liabilities inside operating cash flow, so it overstates sustainable owner earnings. Source: FY2024 Form 10-K (accession 0000950170-25-021775), consolidated statement of cash flows; diluted share count from FY2025 Form 10-K (accession 0001628280-26-008662) earnings-per-share note.
2023 $7.76 ▼
Owner earnings = cash from operations $2,031.7M - capital expenditures $193.6M - amortization of deferred compensation and restricted stock $105.1M - stock-based and other noncash compensation $31.4M = $1,701.6M; divided by 219.3M weighted-average diluted shares = $7.76. Both equity-compensation add-back lines are deducted as real share-settled compensation cost. No adjustment made for the $3,042M of cash paid for acquisitions, which is treated as growth capital rather than maintenance spending because reported organic revenue growth was positive. Source: FY2023 Form 10-K (accession 0000950170-24-013370), consolidated statement of cash flows; diluted share count from FY2025 Form 10-K (accession 0001628280-26-008662) earnings-per-share note.
2022 $5.11 ▼
Owner earnings = cash from operations $1,390.0M - capital expenditures $182.7M - amortization of deferred compensation and restricted stock $85.4M - stock-based and other noncash compensation $24.4M = $1,097.5M; divided by 214.7M weighted-average diluted shares = $5.11. Both equity-compensation add-back lines are deducted as real share-settled compensation cost. Source: FY2023 Form 10-K (accession 0000950170-24-013370), consolidated statement of cash flows, using the restated presentation that excludes fiduciary premium receivable/payable movements from operating activities (as originally reported in the FY2022 10-K, 2022 operating cash flow was $2,125.4M on the old fiduciary-inclusive basis); share count from FY2022 Form 10-K (accession 0000950170-23-002456) earnings-per-share note.
2021 $5.70 ▼
Owner earnings = cash from operations $1,392.4M - capital expenditures $128.6M - amortization of deferred compensation and restricted stock $68.9M - stock-based and other noncash compensation $13.4M = $1,181.5M; divided by 207.3M weighted-average diluted shares = $5.70. Both equity-compensation add-back lines are deducted because both are real compensation cost settled in shares; the smaller us-gaap ShareBasedCompensation line alone understates Gallagher's equity comp. Source: FY2023 Form 10-K (accession 0000950170-24-013370), consolidated statement of cash flows, which restates 2021 to move fiduciary (premium receivable/payable) cash movements out of operating activities; share count from FY2022 Form 10-K (accession 0000950170-23-002456) earnings-per-share note.
