Business condition attached to the margin of safety Resolution of the labor stoppage at the Garlock sealing plant in Palmyra, NY (began Feb 16, 2026) on terms that don't materially impair Sealing Technologies margins, and confirmation that the concentrated Advanced Surface Technologies customer relationship (~24% of 2025 sales) remains intact.
EnPro Industries is built around two segments: Sealing Technologies (Garlock, Technetics and STEMCO — gaskets and sealing solutions for chemical processing, aerospace, commercial vehicles, and food/pharma applications) and Advanced Surface Technologies, or AST (NxEdge, Technetics Semi, LeanTeq and Alluxa — cleaning, coating and refurbishment services for semiconductor manufacturing equipment, plus specialized optical filters). About two-thirds of Sealing Technologies' revenue is recurring aftermarket business, giving that segment a defensible, needs-based demand floor. AST is the growth engine but is tied to the semiconductor equipment cycle: semiconductor customers made up 32% of company-wide 2025 sales. The company looks quite different from the one that filed 10-Ks five years ago. Between late 2021 and early 2023, EnPro sold its Compressor Products, GGB bearings, Garlock Pipeline Technologies, Garlock India and polymer-components businesses, while acquiring NxEdge (December 2021, roughly $857 million) and LeanTeq (2023) to build out Advanced Surface Technologies. We measured owner earnings starting in fiscal 2022, the first full year on the current two-segment structure, because earlier years describe businesses EnPro no longer owns. On that basis, owner earnings per share — operating cash flow less the working-capital swing, less stock compensation, less the capital spending needed just to maintain the existing business — came to $5.64 in 2022, $5.81 in 2023, $6.61 in 2024, and $7.56 in 2025. That span includes a real semiconductor downturn (AST's organic sales fell about 9.7% in 2024) followed by a sharp 2025 recovery. We anchored the valuation on the four-year median, about $6.21 per share, rather than the strongest recent year, because one strong print in a cyclical business isn't the level to build a ten-year forecast from. Base case assumes owner earnings grow about 8% in year one — below the roughly 14% actually achieved in 2025, since 2025 was a recovery off a down year rather than a new steady state — tapering to about 3% by year ten as AST's growth normalizes to the broader semiconductor-equipment cycle and Sealing Technologies contributes low-single-digit, aftermarket-driven growth. Beyond year ten we continue only what has a demonstrated basis — Sealing Technologies' recurring base persists, AST grows in line with the industry's long-run node-transition trend — for a combined 2% rate, not an acceleration we have no evidence for. This produces a value of about $195 per share. Bear case assumes the semiconductor cycle turns down again, as it did organically in 2024, at the same time as two live, specific risks bite: a single customer that made up about 24% of 2025 consolidated sales, entirely within Advanced Surface Technologies, pulls back; and the labor stoppage that began February 16, 2026 at the Garlock plant in Palmyra, New York (after the prior labor contract expired the day before) extends and pressures Sealing Technologies' margins. Owner earnings fall about 8% in year one and stay roughly flat for two more years before a modest recovery. This produces a value of about $114 per share. EnPro also carries about $655 million of debt against about $115 million of cash — serviceable, but it narrows the room for error in a downturn. Bull case assumes the AI-driven semiconductor capital-spending cycle that lifted 2025 continues, NxEdge/LeanTeq integration keeps compounding as it has for three straight years, and free cash flow keeps reducing debt (EnPro retired its $291 million term loan in 2025 in favor of fixed-rate senior notes). Growth of about 14% in year one — matching, not exceeding, the pace actually achieved in 2025 — tapers to 4% by year ten and 3% beyond. This produces a value of about $330 per share. All three cases are discounted at a flat 6%, with no added risk premium for cyclicality; that risk shows up in how much lower the bear case is than the base case, not in the discount rate. Two accounting notes: EnPro's cash flow includes a $65 million non-cash goodwill impairment in 2022, a $61 million impairment in 2023, and a $67 million non-cash pension-settlement charge in 2025. These are correctly added back in operating cash flow, but we did not let them push up the growth assumptions — the impairments reflect earlier acquisitions that didn't pan out, which we account for through a more conservative growth path rather than by adjusting the earnings level twice. Separately, the large swings in reported net income in recent years — for example, $205 million of net income in 2022 against only $106 million of operating cash flow that same year — are fully explained by roughly $200 million of gains on businesses EnPro was selling that year, which appear in net income but not in the continuing business's cash flow. Nothing here was left unreconciled. One historical note for readers who may come across it: an EnPro subsidiary, Garlock Sealing Technologies, went through a Chapter 11 reorganization completed in 2017 to resolve legacy asbestos claims through a dedicated trust. That matter is fully resolved and does not appear as an ongoing liability in current filings. Given the genuine cyclicality in Advanced Surface Technologies, the customer concentration described above, and the currently unresolved labor dispute, the margin-of-safety price carries a larger discount to fair value than a steadier industrial business would require. The margin-of-safety price is around $112 per share — roughly a 40% discount to the base-case estimate, one that still leaves a margin of safety if the bear case turns out closer to right — and it assumes the Palmyra labor stoppage is resolved on terms that don't materially impair Sealing Technologies' margins and the concentrated AST customer relationship is confirmed intact.
