Ultra Clean Holdings (UCT) makes the plumbing inside semiconductor manufacturing equipment. Its Products segment (about 88% of 2025 revenue of $2.05 billion) builds gas-delivery, fluid-delivery and chemical-delivery subsystems, frames and weldments, plus precision valves and fittings from the Ham-Let business bought in 2021. Equipment makers install these in their tools. Its Services segment (about 12%) cleans, coats and analyzes the parts inside chipmakers' process chambers. Lam Research (37% of 2025 revenue) and Applied Materials (22%) together bought 59% of what UCT sold, so the company rises and falls with those two customers' build schedules and with the chip-equipment cycle. How we measured earnings. We start from cash generated by operations, remove swings in inventory, receivables and payables, subtract stock compensation as a real cost, subtract the capital spending needed to keep the plants running (spending attributable to growth is not deducted), and subtract the share of profit belonging to minority partners in a joint venture. Non-cash charges are added back: the $151 million goodwill write-down in 2025 on the Fluid Solutions and Services units, the $77 million loss on a 2022 divestiture, and roughly $24-33 million a year of amortization of acquired intangibles. They consume no cash, but what they signal (acquired businesses earning less than was paid) is carried in the growth assumptions and the bear case instead. On that basis, owner earnings per share were: 2016 $0.70, 2017 $2.21, 2018 $0.97, 2019 $0.23, 2020 $2.50, 2021 $3.43, 2022 $2.15, 2023 -$1.18, 2024 $0.40, 2025 -$0.08. The weak recent years reflect the chip-equipment downturn, about $40 million a year of interest on the loans used to buy Ham-Let, and heavy plant spending in 2022-2023 that counts as upkeep under our method once revenue stopped growing. Starting point. We use the median of 2020-2025, one full up-and-down cycle for the company as it is now assembled (after buying Quantum Global Technologies in 2018 and Ham-Let in 2021): about $1.28 per share, roughly $58 million a year. Earlier years describe a smaller company without the services and valve businesses. What changed in 2026. Two facts in the June 2026 quarterly report shape the path from here. First, UCT issued $600 million of convertible notes and repaid about $482 million of term loans; cash interest paid in the first half of 2026 was $6.7 million versus $18.9 million a year earlier. Second, demand has turned: first-half revenue was $1.18 billion, up 14%, second-quarter revenue rose 24% to $645 million with operating income of $29.5 million, and the company added about $239 million of inventory, which is why reported operating cash flow was -$74 million for the half. On our basis first-half owner earnings were about $12 million versus about $5 million a year earlier: better, but still well below mid-cycle. Working against this, new global minimum-tax rules take effect in 2026 in Singapore and Malaysia, where UCT currently pays rates below 15%. Owner earnings fell from $0.40 to -$0.08 per share in 2025; we assume a recovery to about $45 million (roughly $1.00 per share) in the first year rather than a continued decline, because the first-half results and lower interest bill are already in the filings. Base case, about $26 per share. Earnings recover to about $45 million in year one and $60 million in year two, and settle near $70 million by year three: the 2020-2025 median plus roughly $20 million of lower interest, less a few million of higher minimum tax. They then grow 4% a year through year ten, reflecting long-run growth in chip equipment and equipment makers' continued outsourcing of subsystems. We hold this below revenue growth because UCT's per-share owner earnings have not compounded over the past decade (2017 and 2022 were about the same) even though revenue more than doubled, largely through acquisitions. Growth slows to 2% for years 11-15, and earnings then hold flat to year 30, supported by supply relationships with the two largest equipment makers that have lasted more than twenty years. Discounted at 6%, this is worth about $26 per share. Bear case, about $4 per share. Earning power settles nearer what the last seven years actually delivered: the 2019-2025 median of about $0.40 per share, or $20 million, reached only after two weak years ($10 million, then $15 million), then growing 2% a year and fading to zero between years 11 and 20. The named risks: dependence on Lam and Applied Materials; US export rules that since December 2024 have expanded license requirements on chip equipment sold into China and could leave UCT's Chinese factory underused; a repeat of 2023, when owner earnings were -$53 million; and a record of acquired businesses disappointing (the 2022 divestiture loss and the 2025 write-down). The $600 million of convertible notes must eventually be repaid or refinanced, and in a weak market that could mean dilution or a much higher interest bill. Bull case, about $46 per share. The current upswing sets a higher mid-cycle: $70 million in year one, $95 million in year two and $110 million by year three, between 2020's $103 million and 2021's $152 million but with a far smaller interest bill than in those years. This rests on the 24% second-quarter revenue growth, the inventory built ahead of shipments and the refinancing already completed. Growth then runs 6% a year to year ten and 3% to year fifteen, then holds flat to year 30. Debt. Our earnings measure is after interest, so debt is not subtracted again; it appears in the bear case. The conversion terms of the new notes were not available in the filings we reviewed, so possible dilution if the share price rises above the conversion price is not modeled. What would make this wrong. The base case needs mid-cycle owner earnings near $70 million; UCT has reached that in only four of the last ten years (2017, 2020, 2021, 2022). Losing share at Lam or Applied, tighter China controls, or another acquisition write-down would push value toward the bear case; a sustained 2026-2027 upswing combined with the lower interest bill would push it toward the bull case. The margin-of-safety price of $13 is roughly half the base value, reflecting a highly cyclical, customer-concentrated business, a history of acquisitions that disappointed, and a bear case far below the base.
