Nelnet is a diversified financial-services and education-technology company built around several distinct businesses. Its oldest business, education loan servicing, includes a multi-decade contract to service federal student loans for the U.S. Department of Education, currently under a "Unified Servicing and Data Solution" (USDS) agreement with a five-year base period running through April 2028 and up to five more years of possible contract extensions. That relationship is Nelnet's single largest customer, representing about a fifth of total revenue, and per-borrower fees are lower under the new contract than under the legacy one it replaced in 2024 - a disclosed headwind already showing up in declining segment revenue (from $412 million in 2023 to $364 million in 2025). Alongside servicing, Nelnet still owns a large book of older, government-guaranteed (FFELP) student loans it stopped originating in 2010. This portfolio earns interest income but shrinks every year as loans are repaid - that decline (loan interest income down from $932 million in 2023 to $686 million in 2025) is predictable and not something a new product or contract can reverse. Offsetting both of these wasting assets is a growing set of fee businesses: FACTS and Nelnet Campus Commerce, market-leading tuition-payment and financial-management platforms used by thousands of K-12 schools and colleges; Nelnet Bank, a young but growing depository institution; a small reinsurance operation; and a minority equity stake in ALLO, a regional fiber-internet provider in which Nelnet sold down part of its position in 2025 for a one-time $175 million gain. That gain is excluded from the earnings figure used in this valuation because it will not recur. Because Nelnet's cash flow swings substantially from year to year - working-capital and interest-accrual timing, mark-to-market derivative moves, and investment gains or losses all add noise - we anchor the valuation on the median of the last seven years of underlying owner earnings (about $7.58 per share), a span that covers the pandemic, a rising-rate cycle, a weak investment year, and the recent servicing-contract transition, rather than any single year. Base case: owner earnings hold roughly flat to modestly down over the next several years as growth in the tuition-payment and banking businesses offsets the ongoing decline in the legacy loan book and Department of Education fees, with at least a partial extension of the USDS contract. This path values the shares at approximately $100. Bear case: the loan book and Department servicing revenue decline faster than the fee businesses can offset, and the government does not exercise its full contract-extension options, leaving Nelnet a materially smaller, though still real, fee-based business by the early 2030s. This scenario is worth approximately $50 per share, and it also reflects that Nelnet funds part of its loan portfolio and its bank with debt and deposits, which makes a weak outcome worse. Bull case: the tuition-payment and banking businesses continue their demonstrated multi-year growth and the government exercises its contract extensions in full, keeping the servicing relationship intact into the 2030s. This path is worth approximately $142 per share. Given the concentration in one government counterparty, the number of moving pieces in the business, and the volatility in reported cash flow from year to year, the margin-of-safety price is set at a substantial discount to the base-case estimate - around $60 per share - to keep a real margin against the bear case rather than a thin one. What would prove this wrong: a decision by the Department not to renew any part of the USDS contract past 2028 would be worse than even the bear case assumes here. Conversely, faster-than-historical growth in the tuition-payment or banking businesses, or a larger contract extension than assumed, would argue for a value above the base case.

Depressed year: net income reduced by a ~$122.5M net loss on investments per the income statement (non-cash, already excluded via the CFO-based approach, but reflects a real weak-market year).

Unusually high year, driven substantially by large positive derivative mark-to-value swings in Total adjustments (non-cash, correctly excluded from OE via the CFO approach); retained in window median but not used as a single-year read of normal earning power.
2021 $11.69 ▼
OE = CFO - dWC - SBC - maint capex, using figures as shown in the FY2022 and FY2023 10-Ks (original FY2021 10-K reported CFO of $544.9M; both later filings agree on $480,328K - used latest per methodology). Largest driver of the difference is a $287.6M non-cash gain from deconsolidation of ALLO Communications recognized in 2021 that is backed out of the CFO reconciliation in later presentations. CFO=$480,328K; WC lines=-$40,333K (added back); SBC=$10,673K; capex=$58,952K, capex_ratio(3yr trail)=5.23%, revenue declined $229.1M yoy so growth capex=$0, maint capex=$58,952K. Flagged as an unusually high year (ALLO deconsolidation-gain reversal); excluded from short-list anchor emphasis but retained in window median.

OE = CFO - dWC - SBC - maint capex, using figures as shown in the FY2022 10-K (original FY2020 10-K reported CFO of $212.8M; the FY2022 10-K's comparative column shows $349,100K - used latest per methodology, no formal restatement disclosed).
