Flywire moves money for organizations whose customers pay across borders or in complicated ways. It serves roughly 3,200 education institutions, more than 150 healthcare systems and about 1,600 travel and business-to-business clients. It processed over $37.6 billion of payments in 2025 and earns most of its revenue (about $503 million of $623 million) as fees on those transactions, with the rest from software and platform fees. In February 2025 it bought Sertifi, a hospitality payments and software platform, for about $325 million in cash. How we measure earnings. We start from operating cash flow, remove the swings from client money passing through Flywire's hands (funds received from payment partners and owed to clients, which swing by tens of millions of dollars each year and are timing, not profit), and then deduct stock-based compensation as a real cost. We also deduct the part of capital spending, mostly capitalized software, that maintains the business rather than grows it. On that basis the business turned from losses (about -$0.15 per share in 2021 and -$0.32 in 2022) to owner earnings of about $0.08 in 2023, $0.12 in 2024 and $0.16 per share in 2025. Stock compensation is the key reason these are small: it was $71.8 million in 2025 against owner earnings of about $20.8 million. Cash flow from operations of about $100 million therefore overstates what shareholders actually keep. Our starting point is the median of 2023 to 2025, $0.12 per share, because the business only became profitable on this basis in 2023 and earlier years describe a different, loss-making company. Owner earnings grew about 34% in 2025; we assume 8% in the first year of the base case, below that pace, so no acceleration is needed. One item we could not fully reconcile: a $11.9 million foreign-exchange remeasurement gain in 2025 sits inside net income but is not cash, which explains why simple net income plus non-cash charges runs above our cash-based figure. Base case, about $1.60 per share. Owner earnings grow 8% a year, easing to zero by year ten, reaching roughly $0.18 per share. We credit this because revenue has grown every year since 2021 (from $201 million to $623 million), the client base is embedded through integrations with software providers such as Ellucian and Cerner, and payments recur with each tuition cycle or patient bill. We do not credit new verticals, share gains or Sertifi synergies, since none of these has yet shown up in owner earnings. After year ten, the embedded client base has a record of only about five years of profitability behind it, so we let earnings fade to zero over the following ten years instead of assuming they persist. Bear case, about $0.85 per share. Education is Flywire's largest vertical and the filing details tightening student policies in the countries that matter most: Canada's international study permits are down about 40% since the cap took effect, Australia has set enrollment ceilings (295,000 for 2026) and raised visa fees, the United Kingdom has shortened graduate visa terms, and the United States has announced a $100,000 H-1B filing fee and faces proposals affecting student work rights. In this case owner earnings shrink 5% a year from the $0.12 starting point for ten years, then fade to zero. Flywire also drew and repaid a $125 million revolving credit line during 2025 while paying for Sertifi, showing that acquisitions can be funded with borrowing; a further acquisition that disappoints would fall in this case, as would stock compensation continuing to absorb most of the cash generated. Bull case, about $2.80 per share. The business's owner earnings have already reached about $0.16 per share in 2025, so we start there and assume 12% annual growth for five years, then tapering to zero by year ten (about $0.35 per share), followed by a ten-year fade. That requires revenue growth to keep outrunning stock compensation, as it did from 2023 to 2025 when owner earnings roughly doubled on revenue up 55%. What the shares appear to be worth. Our estimates are $0.85, $1.60 and $2.80 per share. The margin-of-safety price is about $0.75, below even the bear case, because owner earnings are a thin margin over a large stock-compensation expense, education demand depends on government visa policy, and the record of profitability is short. We did not add or subtract cash or debt from these values; leverage is reflected in the bear case only. What would make this wrong. If stock compensation falls or stays flat as revenue grows, owner earnings could rise much faster than we assume. If visa restrictions spread or Sertifi and other acquisitions underperform, owner earnings could fall faster than our bear case.
