Nano Dimension is an industrial 3D-printing and electronics-manufacturing company. Today it is essentially Markforged (composite and metal 3D printers plus its Digital Forge software), acquired in April 2025, together with the smaller Nano businesses that make inkjet-based electronics printers, ink-delivery systems and surface-mount electronics equipment. It also bought Desktop Metal in April 2025, but Desktop Metal filed for Chapter 11 bankruptcy in July 2025 and was removed from Nano's results; our figures use only the continuing businesses. Revenue was $102.4 million in 2025 (up from $57.8 million in 2024, mainly because Markforged was added) and $58.7 million in the first half of 2026. The business does not make money. Cash used in continuing operations was $68.7 million in 2023, $18.9 million in 2024 and $70.3 million in 2025, and $31.0 million in the first half of 2026. After subtracting share-based pay and stripping out working-capital swings, owner earnings were roughly negative $0.37, negative $0.20 and negative $0.35 per share in 2023, 2024 and 2025. Because we can name no evidenced source of profit, the operating business itself is valued at zero, and the shares are worth what the company holds in cash and securities less what it is likely to spend before the burn stops. What the company holds: at June 30, 2026 it had $349.1 million of cash and about $83.0 million of marketable equity securities, whose value the company ties to the share price of Stratasys. That is about $432 million, or roughly $2.07 per share on 208.7 million shares. Total liabilities were about $75 million. The board has been running a strategic review with Guggenheim Securities and Houlihan Lokey since September 2025, and there is no outcome yet. We give no value to any sale or turnaround that has not happened. What we do credit is the record of returning cash: the company repurchased about $96 million of its shares in 2023, $70 million in 2024 and $25 million in 2025. Each case subtracts the present value of the cash burn from the cash and securities today, discounted at 6%. On a comparable basis the burn was about $70 million a year (the first-half 2026 cash use annualized, plus share-based pay). The number of years the burn continues is a judgement, since the review has produced no result: the cash alone would last about six years at this pace. Remaining installments of $2 million and $4 million to Continuous Composites, due in the fourth quarters of 2026 and 2027 under a patent settlement, are already part of that burn. Bear, $0.51 per share: the burn continues at about $70 million a year for five more years, and Quinn Emanuel wins its roughly $30 million claim against Nano (the case was pending as of the company's March 2026 annual report, with a motion to dismiss argued on March 16, 2026 and not yet decided). Base, $1.17 per share: the burn stays at about $70 million a year, with no improvement credited, and the review or management action ends the burn after three years. We assume nothing beyond the cash for the operating business. Bull, $1.54 per share: cost reductions already under way (restructuring charges of $9.9 million in the first half of 2026, and annualized cash use of about $62 million versus $70.3 million in 2025) continue, bringing the burn to about $60 million a year including share-based pay, and the burn ends after two years. Growth path check: owner earnings per share worsened from negative $0.20 in 2024 to negative $0.35 in 2025. The base case does not assume improvement; it holds the burn at the recent run rate of about $70 million, slightly better than 2025's $74.6 million because the first half of 2026 filings show a lower cash use. What could make this wrong: the value depends almost entirely on how long the company keeps spending. If management keeps spending for many years without a resolution, most of the cash is consumed; if the review returns cash faster, or a buyer pays something for Markforged, the shares are worth more than the base case. The Stratasys shares move with the market and are counted at their June 30, 2026 fair value. We could not reconcile 2022 revenue from the filing, so 2023 capital spending is treated in full as maintenance, which lowers that year's figure slightly.
